Общие условия сотрудничества с Visotsky Consulting Inc.

Настоящие общие условия (далее – Общие условия) постоянно располагаются по адресу: https://my.bbooster.online/terms_accelerator и являются неотъемлемой частью Договоров, заключаемых между Visotsky Consulting Inc. (368 9th Ave 6FL, New York, NY 10001), зарегистрированной в качестве юридического лица в соответствии с законодательством штата Нью-Йорк,  США, далее именуемой «Исполнитель», в лице президента Александра Высоцкого, и любым дееспособным лицом (Заказчиком/Клиентом). Заказчик, принимая условия Договора обязуется также соблюдать настоящие Общие условия сотрудничества Политику обработки и защиты персональных данных и предоставить свое согласие, Политику Cookies, Условия пользования.

1. Термины и определения

В соответствии с данными ниже определениями:

1.1. Заказчик – любое физическое или юридическое лицо, которое выразило намерение заключить Договор на указанных в нём условиях путём совершения действий, определённых в Договоре. В случае, если плательщиком по Договору является юридическое лицо, то оно должно определить физическое лицо (ответственное лицо), которое будет выполнять функции Заказчика по Договору при реализации прав и выполнении обязанностей из Договора. В таком случае все без исключения действия такого физического лица будут считаться исходящими по воле и в интересах соответствующего лица. При смене ответственного лица Заказчик обязан незамедлительно уведомить Исполнителя. В случае неисполнения указанной обязанности Заказчик самостоятельно несет риск наступления негативных последствий.

1.2. Сторона – Заказчик или Исполнитель, стороны Договора.

1.3. Акселератор - это набор услуг и сервисов, направленных на обучение собственников бизнеса и членов их команд бизнес-управлению. Акселератор предоставляет компаниям доступ к обучению, наставничеству, экспертам и другим ресурсам, необходимым для обучения с целью успешного развития бизнеса, его систематизации и управления.

1.4. Business Owner Program - это программа для Владельцев бизнеса, которая включает в себя обучающие материалы по управлению бизнесом и практические задания с пошаговыми инструкциями и шаблонами, позволяющие применить изученное на практике.

1.5. Team Academy - это программа для сотрудников Заказчика, которая включает обучающие курсы по инструментам управления. 

1.6. МВА и Executive МВА - это обучающие программы для руководителей компаний Заказчика, владельцы которых закончили и/или обучаются на Business Owner Program. Она включает обучение по использованию инструментов управления на практике.

1.7. Статус участия - выбранный Заказчиком на основании проведенной сессии с представителем Исполнителя тип участия Заказчика в Акселераторе.

1.8. Правообладатель – лицо, чьим творческим трудом создан и изменяется объект интеллектуальных прав и на основании соглашения, с которым Исполнитель предоставляет Доступ к Платформе. Правообладатель исключительного права Секрета производства (ноу-хау), право использования которого передается Заказчику на условиях Договора - Visotsky Consulting Inc. (368 9th Ave 6FL, New York, NY 10001), в лице Александра Высоцкого.

1.9. Услуги - услуги, оказываемые Исполнителем по Договору, включающие организацию участия Заказчика в Акселераторе, предоставление Доступа к платформе, а также к дополнительным сервисам, обучение Заказчика Исполнителем. Целью оказания услуг в рамках Договора является предоставление Заказчику участия в Акселераторе, обучение собственников бизнеса инструментам управления.

1.10. Доступ – возможность участия Заказчика в Акселераторе, просмотра материалов, размещенных на Платформе (доступ предоставляется в формате “как есть”); возможность участия в обучающих программах и сообществе Business Booster Board; получение содействия в прохождении Акселератора.

1.11. Программа BBPlatform - программный Продукт, разработанный Исполнителем, обеспечивающий автоматизацию систем управления для малого и среднего бизнеса на базе веб- и мобильного приложения.

1.12. Обучающая платформа - платформа, с использованием которой Исполнитель оказывает услуги обучения – часть сложного объекта интеллектуальных прав, мультимедийного продукта, исключительное право на который принадлежит Правообладателю, доступного в сети Интернет по адресу: https://my.bbooster.online. Платформа состоит из совокупности представленных в объективной форме данных и команд, предназначенных для функционирования ЭВМ и других компьютерных устройств в целях получения определенного результата, включая программную оболочку для интерактивного (мультимедийного) взаимодействия с содержащейся в программе информацией и порождаемые ею аудиовизуальные отображения.

1.13. Сайт – интернет-ресурс, состоящий из совокупности файлов и веб-страниц, включающих в себя информацию в виде текстов, графических элементов (в т.ч. шрифты, изображения, дизайны, фото- и видеоматериалы), кнопок и иных результатов интеллектуальной деятельности, содержащихся в информационной системе, обеспечивающей доступность такой информации в сети Интернет в пределах, как правило, доменной зоны https://my.bbooster.online.

1.14. Личный кабинет – специализированный раздел Платформы, представляющий из себя совокупность защищенных специальными средствами защиты страниц, созданный при помощи специальных программных средств в результате регистрации Заказчика на Сайте. Доступ к Личному кабинету и содержащейся в нём информации осуществляется при вводе аутентификационных данных Заказчика (логина и пароля) в предусмотренных для этого полях на платформе. Юридически значимые действия, совершенные в Личном кабинете Заказчика, признаются совершенными Заказчиком с его простой электронной подписью, где идентификатором и ключом электронной подписи являются его аутентификационные данные.

1.15. Программа Business Owner Program (далее по тексту - Программа) - перечень и последовательность Курсов, рекомендованные Исполнителем на основании проведенной диагностики бизнеса Заказчика. Состав и длительность Программы определяется с учетом продолжительности каждого Курса.

1.16. Период Доступа - период, в течение которого Заказчик может участвовать в Акселераторе, а также пользоваться  Обучающей платформой и Программой ВВPlatform. Продолжительность периода Доступа равняется количеству оплаченных месяцев.

1.17. Курс – часть Программы, состоящая из определенного набора инструкций, видео и практических рекомендаций, объединенных единой тематикой. Доступ к каждому следующему Курсу предоставляется после прохождения Заказчиком предыдущего Курса.

1.18. Материалы - результаты интеллектуальной деятельности (произведения науки, аудиовизуальные произведения, в том числе видеоматериалы, тесты, рекомендации, текстовые, графические материалы, программные средства и любые иные материалы), информационные и иные материалы, в том числе, составляющие содержание Технологии Business Booster.

1.19. Дата старта - начало участия в Акселераторе Заказчика. Дата старта указывается в Договоре.

1.20. Секрет производства (ноу-хау) - сведения любого характера (производственные, технические, экономические, организационные и другие), которые собраны Правообладателем и Исполнителем в процессе предпринимательской деятельности в сфере систематизации и повышения эффективности ведения бизнеса и которые имеют действительную или потенциальную коммерческую ценность в силу неизвестности их третьим лицам, к которым у третьих лиц нет свободного доступа на законном основании.

1.21. Технология Business Booster – Секрет производства (ноу-хау) - технология, включающая обучение инструментам управления «Business Booster» (далее по тексту - Технология), которая является специальным продуктом интеллектуальной деятельности, принадлежащим Правообладателю, и которая защищена авторским правом и законодательством США, а также нормами международных договоров.

1.22. Контент – все материалы, размещённые на Обучающей Платформе Правообладателем, Исполнителем, а также Заказчиком и третьими лицами (в случае наличия у них такой возможности), в том числе (но не исключительно) тексты (сообщения, комментарии), графические элементы, изображения, дизайны, фото-, аудио- и видеоматериалы, а также иные объекты авторских прав, размещаемые на Обучающей Платформе.

1.23. Представитель Заказчика – лицо, указанное Заказчиком и согласованное Исполнителем в качестве непосредственного получателя Услуг, которое не может быть изменено в одностороннем порядке; Представитель заказчика должен отвечать определённым квалификационным требованиям, установленным Исполнителем; все действия Представителя Заказчика признаются действиями Заказчика и не требуют дополнительного подтверждения со стороны Заказчика; Представитель Заказчика в отношениях с Исполнителем выполняет обязанности и реализует права Заказчика.

Данные представителя Заказчика для получения полного Доступа указываются в договоре. В случае изменения E-mail, Заказчик уведомляет об этом Исполнителя путем направления уведомления на его адрес, указанный при регистрации на Сайте. Указанные изменения вступают в силу с даты направления уведомления Заказчиком. 

1.24.  Уполномоченный адрес электронной почты – e-mail сторон, указанные в договоре.

2. Права и обязанности сторон

2.1. Исполнитель обязан:

2.1.1. Обеспечить Заказчику доступ к Акселератору, а также оказывать сопровождение Заказчика и оказывать иные услуги согласно выбранному Статусу, предоставлять Заказчику удаленный Доступ к соответствующей части Обучающей платформы через информационно-коммуникационную сеть «Интернет» и организовать обеспечение соответствующего обучения , Заказчика.

2.1.2. В случае отсутствия Доступа к Обучающей платформе в связи с техническими неполадками Сайта, Исполнитель обязан устранить неполадки своими силами и за свой счет в минимально возможный срок.

2.1.3. В течение периода доступа Заказчика к Акселератору, оказывать информационную поддержку Заказчику по вопросам оказания Услуг и работы Обучающей платформы по рабочим дням с 10:00 до 19:00 по времени часового пояса UTC +3. Все вопросы по поддержке направляются Заказчиком на уполномоченный адрес электронной почты Исполнителя. Исполнитель вправе изменять форму и содержание поддержки.

2.2. Исполнитель вправе:

2.2.1. Без согласования с Заказчиком привлекать третьих лиц для исполнения Договора, оставаясь ответственным за действия таких лиц как за свои собственные.

2.2.2. Запрашивать у Заказчика всю необходимую информацию, документы для надлежащего исполнения обязательств по Договору.

2.2.3. Исполнитель вправе менять стоимость участия в Акселераторе. О предстоящем изменении стоимости Исполнитель уведомляет Заказчика через личный кабинет на Обучающей платформе. Стороны согласовали, что при оплате Заказчиком доступа за первый и последний месяц стоимость участия остается неизменной для Заказчика в течение года с момента совершения первой оплаты. В случае внесения Заказчиком предоплаты в счет будущих месяцев, стоимость участия в Акселераторе для Заказчика остается неизменной в течение оплаченных месяцев.

2.2.4. Приостанавливать работу Обучающей платформы для проведения необходимых плановых профилактических и ремонтных работ на технических ресурсах Исполнителя с размещением соответствующего уведомления на Платформе.

2.2.5. Пресекать неправомерное использование Обучающей платформы или предоставляемых Услуг и приостановить Доступ, в том числе к Обучающей платформе в случае нарушения Заказчиком Договора или в случае непредоставления Заказчиком Исполнителю или указанным им лицам всей необходимой информации, либо предоставления неполной информации, необходимой для оказания Услуг в соответствии с законодательством, действующим на территории регистрации Исполнителя, или с требованиями владельца Обучающей платформы, либо в случае предоставления Заказчиком заведомо недостоверной (ложной) информации.

2.2.6. Изменять / дополнять содержание Программ, график размещения Курсов на Обучающей платформе и сроки открытия Доступов к Курсам, а также заменять экспертов и иных лиц, обеспечивающих оказание услуг. Информация о таких изменениях Доступна Заказчику в Личном кабинете.

2.2.7. Без каких-либо объяснений отказаться предоставлять Услуги (все Услуги либо их часть) конкретному Заказчику или третьему лицу, указанному Заказчиком.

2.2.8. Ограничить (заблокировать) Доступ к Личному кабинету в случае наличия подозрений о несанкционированном Доступе к нему третьих лиц (под несанкционированным доступом Стороны понимают доступ любых третьих лиц вне зависимости от того, каким образом им стали известны регистрационные данные (логин и пароль) по усмотрению и воле Заказчика или помимо его воли). В указанном случае блокировка производится до момента устранения причины, послужившей основанием для блокировки. При этом период блокировки не исключается из периода оказания Услуг.

2.2.9. В случае, если для освоения материалов или при обучении по ним организуются специализированные чаты в мессенджерах или иных каналах распространения информации или обмена информацией, то Исполнитель вправе (по своему усмотрению) дополнительно предоставлять Представителю Заказчика возможность Доступа к подобным каналам. На подобный Доступ распространяются все правила, касающиеся Услуг Исполнителя, а на пользование каналами – правила, относящиеся к пользованию Обучающей платформой.

2.2.10. Проводить оффлайн мероприятия для участников Акселератора и Заказчика, при этом Исполнитель вправе с обязательным заблаговременным уведомлением Заказчика переносить дату предстоящего оффлайн-мероприятия; при нарушении Заказчиком условий Договора или настоящих Общих условий сотрудничества не допускать Заказчика к участию в офлайн мероприятии.

2.3. Заказчик обязан:

2.3.1. Своевременно и в полном объеме оплатить стоимость Услуг Исполнителя.

2.3.2. Своевременно предоставить полную и достоверную информацию при регистрации в Личном кабинете на Сайте, а также при заполнении иных форм и опросников Исполнителя, поддерживать эту информацию в актуальном состоянии.

2.3.3. Обеспечить конфиденциальность логина и пароля от Личного кабинета на Платформе, не сообщать Логин и пароль никаким третьим лицам. При неисполнении указанной обязанности Заказчик самостоятельно несет риск наступления негативных последствий, включая предусмотренные п. 2.2.8 настоящего раздела. 

2.3.4. Соблюдать этические нормы поведения при получении Услуг, в частности не публиковать в общих чатах сообщения, не относящиеся к тематике освоения материалов, не допускать неуважительных высказываний и оскорблений в адрес других заказчиков Исполнителя, сотрудников Исполнителя и самого Исполнителя, Правообладателя и их партнёров в любой форме в любых источниках.

2.3.5. Поддерживать хорошую репутацию и высокий имидж Исполнителя, Правообладателя и их партнёров, а также иных пользователей Платформы.

2.3.6. Не разглашать Секрет производства (ноу-хау) Правообладателя и другую полученную от Исполнителя конфиденциальную информацию. В целях настоящего пункта под “разглашением” стороны определяют следующее: передавать третьим лицам и/или публично показывать аудио, видео, текстовые Материалы либо предоставлять Доступ к Акселератору или Обучающей платформе.

2.3.7. При этом не является разглашением предоставление информации лицам, указанным в п. 1.20 Общих условий сотрудничества и уполномоченным сотрудникам Заказчика, если это напрямую предусмотрено Технологией.

2.3.8. Использовать Технологию, полученную в рамках обучения, в соответствии с условиями Договора.

2.3.9. Проходить обучение, в том порядке, которые указаны в каждом составном Курсе.

2.3.10. В случае возникновения претензий Заказчика в рамках сотрудничества по Договору направлять соответствующие претензии в письменной форме исключительно Исполнителю, не разглашая соответствующую информацию никаким третьим лицам.

2.3.11. Не осуществлять предпринимательскую деятельность, направленную на оказание консультаций в любом виде третьим лицам с использованием материалов, размещенных на Обучающей платформе, а также иных материалов, полученных от Исполнителя, в течение срока действия Договора и в течение 10 (десяти) лет после его окончания. Кроме того, Заказчик соглашается не конкурировать с Исполнителем, то есть не оказывать услуги, аналогичные тем, что оказывает Исполнитель, любым третьим лицам, в течение срока действия Договора, а также в течение 5 лет с момента его окончания (исполнения).

2.4. Заказчик вправе:

2.4.1. Оплатить Услуги как за счёт собственных, так и за счет привлеченных средств. При этом Исполнитель не несет никакой ответственности за условия предоставления средств и их возврат, не становится должным перед лицом, от которого были привлечены средства.

2.4.2. Заказчик вправе отложить старт доступа не более, чем на 90 календарных дней. отсрочить начало Доступа При отложенном старте период предоставления Доступа исчисляется с даты уведомления Заказчика Исполнителя о готовности к получению Услуг.

2.5. Заказчик не вправе:

2.5.1. Обходить технические ограничения, установленные на Сайте, Обучающей платформе и в Личном кабинете.

2.5.2. Декомпилировать или дизассемблировать Сайт, Обучающую платформу, Личный кабинет, Материалы, Интеллектуальную собственность.

2.5.3. Создавать копии Сайта, Обучающей платформы, Материалов, Интеллектуальной собственности, а также копировать их внешнее оформление (дизайн).

2.5.4. Скачивать видеоматериалы размещенные на Обучающей платформе и в Личном кабинете.

2.5.5. Распространять недостоверную, порочащую либо наносящую вред деловой репутации Правообладателя и Исполнителя информацию о Правообладателе и (или) Исполнителе и/или о Технологии, любым способом, включая, без ограничений, посредством сети Интернет, в социальных сетях, посредством любого рода рассылок.

3. Порядок оказания услуг и правила предоставления Доступа

3.1. Исполнитель предоставляет Заказчику Доступ только после совершения всех следующих действий в установленной Исполнителем последовательности:

3.1.1. Регистрации Заказчика на Сайте;

3.1.2. Оплаты стоимости Услуг в порядке, предусмотренном разделом 3 Договора;

3.1.3. Заполнения анкеты, предоставленной Исполнителем.

При этом Исполнитель в любой момент до предоставления Доступа может без объяснения причин отказаться предоставлять Услуги Заказчику и вернуть ему уплаченные за Услуги средства на условиях Договора.

3.2. Исполнитель информирует Заказчика о предоставлении Доступа к Обучающей Платформе посредством направления ссылки Доступа на его электронную почту, указанную в договоре.

3.3. Содержание Программ может изменяться Исполнителем в одностороннем порядке путем увеличения или изменения услуг, мероприятий или  количества информации в Программе (в том числе, путем изменения и количества Курсов). При этом Исполнитель исходит из максимальной эффективности изучения соответствующей области знаний и применения полученных данных Заказчиком. Заказчик подтверждает, что вне зависимости от количества информации и структуры Программы Исполнитель, предоставив Доступ, оказал Услуги надлежащим образом.

3.4. Заключая Договор, Заказчик подтверждает свое согласие с тем, что в случае невыполнения Заказчиком его обязательств при получении Услуг (по выполнению определённых Исполнителем или владельцем Обучающей платформы действий в рамках оказания Услуг, по получению указанных Исполнителем результатов, представлению Исполнителю корректной информации о своих действиях и других, указанных в Договоре и настоящих Общих условиях сотрудничества) Исполнитель вправе в любой момент в одностороннем порядке,  отказаться от оказания Услуг в порядке, предусмотренном Договоре и настоящих Общих условиях сотрудничества.

3.5. Заказчик несет самостоятельную полную ответственность за действия своего Представителя, которые он совершает во время действия Договора, при получении Услуг и внедрении результатов оказания Услуг – как за свои собственные действия.

3.6. В рамках оказания Услуг и сотрудничества по Договору, а также после его окончания Стороны соглашаются соблюдать взаимное уважение и поддерживать хороший имидж, усиливать добрую репутацию друг друга, все возникающие вопросы решать исключительно путем переговоров, распространять друг о друге, сотрудниках и партнерах друг друга исключительно позитивную информацию как в публичном пространстве, так и перед любыми третьими лицами.

3.7 Доступ предоставляется поэтапно ежемесячно (по 2 курса в месяц) - в соответствии со внесенной платой. При неисполнении Заказчиком обязанности по оплате Исполнитель прекращает Доступ.

3.8. По договоренности стороны могут периодически подписывать акты оказанных услуг. При отсутствии подписанного акта факт оказания услуг Исполнителем и их получения Заказчиком подтверждается фактически предоставленным Доступом к Обучающей платформе, а также фактически представленными услугами. В связи с указанным, а также учитывая факт того, что каждый Курс обучающей программы имеет самостоятельную ценность, Стороны согласовали, что при наличии претензий или замечаний Заказчик обязан направить их Исполнителю по адресу, указанному в Договоре или на Сайте, не позднее чем в течение 10 календарных дней с момента окончания обучения по соответствующему Курсу. Стороны согласовали, что при отсутствии претензии в указанный срок услуги за соответствующий период считаются полученными Заказчиком в полном объеме, принятыми без замечаний, в связи с чем денежные средства, оплаченные за соответствующий период возврату не подлежат.

3.9. При проведении онлайн-встреч способ связи с Получателем Услуг выбирает Исполнитель.

3.10. Дистанционная поддержка в рамках оказания Услуг предоставляется Исполнителем удаленно с использованием телефона или электронных средств связи по выбору Исполнителя (включая Zoom, Skype, электронную почту и другие).

3.11. Обязательства Исполнителя считаются полностью исполненными с момента предоставления Заказчику доступа к участию в Акселераторе.

3.12. Стороны согласовали, что в случае досрочного расторжения настоящего Договора по инициативе Заказчика, не связанного с ненадлежащим исполнением обязательств Исполнителем, сумма в размере разницы между фактически уплаченными Заказчиком в счет оплаты Услуг Исполнителя денежными средствами и стоимостью фактически оказанных Исполнителем услуг признается компенсацией расходов Исполнителя на организацию заключения и исполнения настоящего Договора и Заказчику не возвращается. В рамках указанной суммы компенсируются прямые расходы Исполнителя (в том числе, расходы на: привлечение Заказчика, организацию предоставления доступа к Платформе, обеспечение работоспособности Платформы и личного кабинета Заказчика, подготовку и предоставление информации, организацию и обеспечение обучения Заказчика; подготовку онлайн и офлайн мероприятий в рамках предоставления Услуг с учётом заранее определённого количества участников включая Заказчика и другие).

3.13. Услуги предоставляются на условиях Договора с исполнением по требованию, что означает обязанность Заказчика вносить оплату и его право требовать исполнения в рамках оплаченной Программы. При этом отсутствие требования исполнения (оказания Услуг) или неиспользование материалов на Платформе не являются основанием для возврата уплаченных Заказчиком средств за исключением случаев, отдельно указанных в Договоре или Общих условиях сотрудничества. При этом объем фактически полученных Заказчиком Услуг, доступ к которым был использован Заказчиком в период оказания Услуг доступа) не имеет значения для факта оказания или неоказания Услуг – они в любом случае считаются надлежащим образом оказанными по истечении соответствующего Периода оказания Услуг.

4. Авторские права

4.1. Состав Акселератора, Обучающая платформа, в том числе ее части, а также все материалы, Доступ к которым предоставляется Исполнителем Заказчику, являются результатом интеллектуальной деятельности Правообладателя.

4.2. Исключительное авторское право (включая права на производные произведения), в том числе смежные с авторским права принадлежат Правообладателю, либо им получены все необходимые права и разрешения на использование соответствующих материалов. Все материалы, доступ к которым предоставляется Исполнителем Заказчику в процессе оказания Услуг, предназначены только для личного использования Заказчиком. Заказчик не вправе копировать, публично цитировать, распространять любым способом или обнародовать иным образом указанные материалы ни полностью, ни частично без получения предварительного письменного согласия Правообладателя (через Исполнителя).

4.3. Контент (как в целом, так и частично), размещенный на Обучающей платформе и на Сайте, не может быть скопирован, опубликован, воспроизведен, переработан, распространен, продан или распространен иным способом по частям или полностью без получения предварительного письменного согласия Правообладателя (через Исполнителя).

4.4. Заказчик имеет право пользоваться Обучающей платформой, ее содержимым и составляющим (как в целом, так и фрагментарно) и прочими разработанными Правообладателем техническими решениями в рамках предоставленного функционала и интерактивного взаимодействия с доступной информацией на все время Доступа к Обучающей платформе в соответствии с Договором, а также в соответствии с правилами, установленными законодательством, действующим на территории регистрации Исполнителя, и международными соглашениями.

4.5. Получение Заказчиком Доступа к Акселератору; к Обучающей платформе, её содержимому и составляющим (как в целом, так и к её частям) и прочим разработанным Правообладателем техническим решениям не означает передачи (отчуждения) Заказчику и / или любому третьему лицу прав на результаты интеллектуальной деятельности, как в целом, так и в части.

4.6. При получении Доступа к Обучающей платформе и во время её использования Заказчик обязан:

4.6.1. Воздерживаться от любых действий, которые нарушают права Правообладателя и третьих лиц на результаты интеллектуальной деятельности, в частности, не копировать, не записывать, не воспроизводить, не распространять любые результаты интеллектуальной деятельности Правообладателя без письменного разрешения последнего;

4.6.2. Немедленно сообщать Исполнителю о любых ставших известными фактах нарушения исключительных прав Правообладателя;

4.6.3. Использовать аутентификационные данные (логин и пароль) лично и не предоставлять данные для Доступа в Личный кабинет на Обучающей платформе третьим лицам. В случае утраты, а также в случаях незаконного получения Доступа к логину и паролю третьими лицами, Заказчик обязуется незамедлительно сообщить об этом Исполнителю, путем направления уведомления на уполномоченный адрес электронной почты Исполнителя. До момента получения Исполнителем указанного извещения все действия, совершенные с использованием Личного кабинета Заказчика, считаются совершенными Заказчиком.

4.7. После получения Доступа к Обучающей платформе, во время её использования и бессрочно после завершения такого использования Заказчик обязуется не использовать размещённую на Обучающей платформе информацию и материалы для создания аналогичных продуктов для коммерческого использования в любом виде и форме.

5. Конфиденциальность

5.1. К конфиденциальной относится любая информация, не опубликованная в открытом доступе и не являющаяся доступной для всеобщего сведения, в том числе: относящаяся к процессу оказания Услуг Исполнителем и к пользованию Обучающей платформой (а также каналами распространения информации или обмена информацией), а также вся информация, размещенная на Обучающей платформе, любая информация, полученная Исполнителем либо представителем Исполнителя от Заказчика. Стороны обязуются не разглашать конфиденциальную информацию и иные данные, предоставленные другой Стороной в ходе оказания Услуг (за исключением общедоступной информации), третьим лицам без предварительного письменного согласия Исполнителя.

5.2. В рамках оказания Услуг Заказчику может предоставляться Доступ к программному обеспечению сторонних правообладателей, в том числе к внутренним информационным системам, сайтам (далее — ПО) через Обучающую платформу. В таком случае Заказчик не может совершать с ПО никаких действий за исключением тех, которые необходимы для изучения материалов Курсов и связанных с ними. Срок предоставления права использования такого ПО ограничен сроком оказания Услуг (предоставления Доступа) для изучения материалов конкретного Курса. Заказчик обязан сохранять конфиденциальность сведений в отношении ПО и не вправе разглашать их без согласия правообладателя такого ПО. Если при этом происходит создание или переработка какого бы то ни было ПО, Заказчик безвозмездно передает исключительное право на переработанное ПО или созданное ПО лицу, предоставившему Доступ к ПО, с момента создания или переработки, если иное не было специально согласовано Сторонами.

6. Разрешение споров

6.1. Все споры и разногласия, которые могут возникнуть в связи с Договором, будут по возможности разрешаться Сторонами путем переговоров и консультаций.

6.2. В случае невозможности разрешения спора путем переговоров или при недостижении согласия Сторон по спорному вопросу в течение 15 (Пятнадцать) рабочих дней, он подлежит рассмотрению в суде штата Нью-Йорк, США.

6.3. Применимым правом к отношениям Сторон по Договору и Общим условиям сотрудничества является право штата Нью-Йорк, США.

6.4. Отказ от коллективных и групповых исков. Заказчик и Исполнитель соглашаются передавать любой спор в арбитраж в соответствии с настоящим разделом 6 Общих условий сотрудничества только на индивидуальной основе, а не на основании коллективного или группового иска. Соответственно:

а. Стороны согласились, что нет оснований для возбуждения, вынесения судебного решения или арбитражного разбирательства любого спора по коллективному или групповому иску. Отказ от коллективного или группового иска не может быть отделен от настоящего Арбитражного соглашения в любом случае, если:

(i) спор рассматривается на основании коллективного или группового иска; и

(ii) имеется окончательное решение о том, что отказ от коллективного иска является недействительным, не имеющим исковой силы, недобросовестным, некомпетентным или незаконным. В таких случаях коллективный иск должен рассматриваться в гражданском суде соответствующей юрисдикции.

б. Отказ от коллективного или группового иска не может быть отделен от настоящего Арбитражного соглашения в любом случае, если:

(i) спор рассматривается на основании группового иска; и

(ii) имеется окончательное решение о том, что отказ от коллективного иска является недействительным, не имеющим исковой силы, недобросовестным, некомпетентным или незаконным. В таких случаях коллективный иск должен рассматриваться в гражданском суде соответствующей юрисдикции.

в. Исполнитель может на законных основаниях обеспечить соблюдение настоящего Арбитражного соглашения, а также отказ от коллективных исков и групповых исков, а также потребовать отклонения такого коллективного или групповых исков, предъявляемых к Исполнителю Заказчиком или третьими лицами. Безотносительно к любому другому пункту, содержащемуся в настоящем Арбитражном соглашении, любой иск о том, что отказ от коллективного иска или отказ от группового иска, полностью или частично, не имеет исковой силы, недействителен, недействителен или оспаривается, должен рассматриваться только судом соответствующей юрисдикции, а не арбитром. Отказ от коллективного иска и отказ от группового иска должны быть разделены в любом случае, когда спор подается как индивидуальный иск, и такое разделение необходимо для обеспечения передачи индивидуального иска в арбитраж.

7. Ответственность сторон

7.1. За неисполнение или ненадлежащее исполнение обязательств по Договору Стороны несут ответственность в соответствии с законодательством, действующим на территории штата Нью-Йорк, США.

7.2. Исполнитель не несет ответственности за невозможность Заказчика воспользоваться Доступом к Обучающей платформе и/или каналам распространения информации или обмена информацией по причинам, не зависящим от Исполнителя, такие как качество соединения с сетью Интернет, ограничения работы сети Интернет, наличие и функционирование оборудования и программного обеспечения Заказчика.

7.3. При неисполнении Заказчиком обязательства, предусмотренного разделом 8 Общих условий сотрудничества, а также при выявлении Исполнителем факта Доступа третьих лиц к содержанию Акселератора, Программы Заказчик обязан во внесудебном порядке по письменному требованию Исполнителя оплатить штраф в размере одной кратной стоимости Услуг по Соглашению за каждый случай нарушения.

7.4. В случае нарушения Заказчиком условий Договора Исполнитель вправе прекратить доступ Заказчика к Личному кабинету, а также заблокировать Доступ Заказчика к Акселератору и к Обучающей платформе или конкретному Курсу.

7.5. Обучающая платформа и ее программные средства, в том числе Личный кабинет, предоставляются в виде «как есть». Исполнитель не несет ответственности за возможный ущерб, возникший в результате:

7.5.1. Сбоев в работе Обучающей платформы и (или) иного программного обеспечения, вызванных ошибками в коде, компьютерными вирусами и иными посторонними фрагментами кода в программном обеспечении;

7.5.2. Отсутствия (невозможности установления, прекращения и пр.) Интернет-соединений;

7.5.3. Установления государственного регулирования (или регулирования иными организациями) хозяйственной деятельности коммерческих организаций в сети Интернет и/или установления указанными субъектами разовых ограничений, затрудняющих или делающих невозможным исполнение Договора;

7.5.4. Других случаев, связанных с действием (бездействием) пользователей Интернета и/или других субъектов, направленными на ухудшение общей ситуации с использованием сети Интернет и/или компьютерного оборудования;

7.5.5. Использования (невозможность использования) и какие бы то ни было последствия использования (невозможности использования) Заказчиком выбранной им формы оплаты Услуг по Договору.

7.6. Никакая информация, Доступ к которым предоставляется Исполнителем в рамках оказания Услуг по Договору, и/или обратная связь, не могут рассматриваться как гарантии. Принятие решений на основе всей полученной Заказчиком информации находится в исключительной компетенции Заказчика. Заказчик принимает на себя полную ответственность за решения, действия/бездействия и риски, связанные с использованием информации и материалов, Доступ к которым предоставляется Исполнителем в рамках исполнения своих обязательств по Договору.

7.7. В случае неправомерного использования интеллектуальной собственности Исполнителя и третьих лиц, нарушения п. 2.5 Общих условий сотрудничества, Заказчик выплачивает каждому лицу, права которого нарушены, штраф в размере однократной стоимости Услуг по Договору за каждый случай нарушения, а также сверх штрафа компенсирует Исполнителю все убытки, причиненные таким нарушением.

7.8. Привлечение к ответственности по Договору является правом, а не обязанностью Сторон.

8. Контент и комментарии

8.1. В случае обнаружения Заказчиком на Сайте любой информации, в том числе Контента, нарушающей его законные права и интересы, Заказчик вправе обратиться с соответствующим заявлением исключительно к Исполнителю путем направления сообщения на уполномоченный адрес электронной почты Исполнителя. В заявлении необходимо изложить суть нарушенных прав и интересов, указав на соответствующую информацию, приложить документы, подтверждающие законность предъявляемых претензий, указать реквизиты, в том числе паспортные данные и контактные данные, предоставить согласие на обработку персональных данных в связи с направлением такого заявления.

8.2. Заказчик посредством Сайта и Личного кабинета, а также в иных профильных каналах распространения и обмена информацией, в т.ч. в мессенджерах имеет возможность размещать в специальных разделах Сайта информацию и комментарии с учетом следующего:

8.2.1. Такая информация должна соответствовать тематике Сайта. Исполнитель по своему усмотрению определяет соответствие такой информации тематике Сайта и имеет право удалять такую информацию, если она не соответствует данному критерию.

8.2.2. Запрещается размещение любых ссылок на другие интернет-сайты без согласования с Исполнителем. Исполнитель имеет право удалять такую размещенную Заказчиком информацию.

8.2.3. Запрещается размещение информации, нарушающей права и законные интересы третьих лиц, в том числе интеллектуальные, а также информации, которая:

8.2.3.1. Содержит угрозы, дискредитирует, оскорбляет, содержит нецензурную лексику, порочит честь и достоинство или деловую репутацию, или нарушает неприкосновенность частной жизни пользователей Сайта, третьих лиц, Исполнителя, Правообладателя и их партнёров;

8.2.3.2. Нарушает права несовершеннолетних лиц;

8.2.3.3. Является вульгарной или непристойной, содержит нецензурную лексику, содержит порнографические изображения и тексты или сцены сексуального характера с участием несовершеннолетних;

8.2.3.4. Содержит сцены насилия либо бесчеловечного обращения с животными;

8.2.3.5. Содержит описание средств и способов суицида, любое подстрекательство к его совершению;

8.2.3.6. Пропагандирует и/или способствует разжиганию расовой, религиозной, этнической, социальной ненависти или вражды, пропагандирует фашизм или идеологию расового превосходства;

8.2.3.7. Содержит экстремистские материалы;

8.2.3.8. Пропагандирует преступную деятельность или содержит советы, инструкции или руководства по совершению преступных действий;

8.2.3.9. Содержит информацию ограниченного доступа, включая, но не ограничиваясь государственной и коммерческой тайной, информацией о частной жизни третьих лиц;

8.2.3.10. Содержит рекламу или описывает привлекательность употребления наркотических веществ;

8.2.3.11. Носит мошеннический характер;

8.2.3.12. Содержит навязчивые способы привлечения внимания к своей публикации, в том числе (но не исключительно) заголовки заглавными буквами, несколько знаков препинания, нестандартный шрифт и т. п.;

8.2.3.13. Нарушает иные права и интересы граждан и юридических лиц или требования законодательства стран регистрации сторон договора или международных норм права.

8.2.4. Запрещается размещение рекламной информации без согласования с Исполнителем.

8.3. Исполнитель вправе редактировать или удалять любую информацию, размещенную Заказчиком на Сайте или в иных профильных каналах распространения и обмена информацией, в т.ч. в мессенджерах, в целях обеспечения соблюдения законодательства стран регистрации сторон договора или международных норм права, Договора, пресечения нарушения своих прав и/или прав третьих лиц.

8.4. Не допускается использовать Сайт и иные профильные каналы распространения и обмена информацией, в т.ч. в мессенджеры:

8.4.1. С целью массового распространения информации (в т. ч. спам-рассылки), а также загрузки, хранения, публикации, распространения, либо предоставления доступа третьим лицам к какому- либо программному обеспечению, позволяющему вносить изменения в нормальное функционирование Сайта, Обучающей платформы, каналов распространения информации в рамках оказания Услуг;

8.4.2. Для осуществления Заказчиком какой-либо предпринимательской деятельности или любой деятельности, направленной на извлечение дохода, за исключением случаев, прямо указанных в Договоре, Общих условиях сотрудничества или иных соглашениях между Исполнителем и Заказчиком, либо в односторонних документах и правилах Исполнителя, условия которых относятся к Заказчику, сотрудничеству в соответствии с условиями Договора, Доступу к Акселератору и которые Заказчик обязуется соблюдать.

9. Изменение условий Договора, Общих условий сотрудничества и замена участвующих сторон

9.1. Исполнитель оставляет за собой одностороннее и дискреционное право изменять условия Договора и Общих условий сотрудничества. Такие изменения вступают в силу с момента публикации новой версии Общих условий сотрудничества на Веб-сайте. Предыдущая редакция Общих условий Сотрудничества остается в силе для обеих Сторон, без изменений, касающихся оплаты уже оказанных услуг. Новые положения Общих условий Сотрудничества имеют обратную силу и, по взаимному согласию Сторон, распространяются на весь срок сотрудничества по Договору и Общих условий Сотрудничества с момента его начала. Следовательно, Заказчик обязан самостоятельно отслеживать все изменения в Общих условиях сотрудничества на Сайте.

9.2. Используя Обучающую платформу или осуществляя какие-либо платежи Исполнителю после публикации новой версии Общих условий Сотрудничества, Заказчик однозначно соглашается с условиями обновленного Общих условий Сотрудничества. В случае несогласия с пересмотренными условиями Заказчик обязан прекратить использование Платформы, уведомить об этом Исполнителя по авторизованному адресу электронной почты, воздержаться от оплаты услуг и воздержаться от их использования.

9.3. Заказчик имеет право передать свои права и обязанности третьему лицу. Такая передача допускается только после получения письменного согласия Исполнителя и оформления отдельного соглашения между Сторонами.

9.4.Исполнитель сохраняет за собой право переуступать права и передавать обязанности, включая привлечение субподрядчиков, связанные со всеми обязательствами, вытекающими из взаимоотношений Сторон. Заказчик настоящим дает согласие на уступку прав и передачу обязательств любой третьей стороне. Исполнитель обязуется уведомить Заказчика о такой уступке и/или передаче путем размещения соответствующей информации в Личном кабинете и/или на Сайте.

9.5. По отдельному соглашению Сторон и за отдельное вознаграждение, определяемое Исполнителем, третьи лица, оказывающие помощь и поддержку Заказчику в применении результатов Услуг, могут получать отдельные Услуги. Исполнитель оставляет за собой право отказать Заказчику в разрешении на оказание Услуг третьим лицам. Если разрешение на оказание Услуг таким третьим лицам получено, то они считаются равнозначными Заказчику с точки зрения получаемых Услуг. Заказчик принимает на себя полную ответственность за действия этих третьих лиц, как если бы они были его собственными.

10. Заключительные положения

10.1. По всем вопросам, прямо не оговоренным в Договоре или Общих условиях сотрудничества, Стороны подчиняются законодательству страны, в которой зарегистрирован Исполнитель.

10.2. В случае если суд признает какое-либо положение Договора и Общих условий сотрудничества недействительным или не имеющим исковой силы, такое решение не влияет на действительность или исковую силу остальных положений Договора и Общих условий сотрудничества.

10.3. Несмотря на вышесказанное, Исполнитель освобождается от ответственности за нарушение условий Договора или настоящих Общих условий сотрудничества, если такое нарушение является следствием форс-мажорных обстоятельств, включая, но не ограничиваясь: действия государственных органов (в том числе принятие правовых актов), пожар, наводнение, землетрясение, другие стихийные бедствия, отсутствие электроэнергии и/или сбои в работе компьютерной сети, забастовки, гражданские беспорядки, волнения, пандемии и эпидемии, а также ограничительные меры, введенные государственными и муниципальными органами. В таких случаях Исполнитель не несет ответственности за нарушение условий Договора или настоящих Общих условий сотрудничества.

10.4. Исполнитель оставляет за собой право в любое время изменять и дополнять условия настоящих Общих условий сотрудничества.

11. Перечень Услуг и наполнение Акселератора

11.1. Исполнитель, если это предусмотрено Статусом Заказчика, оказывает содействие последнему в прохождении Акселератора, в том числе предоставляет Услуги по проверке домашних заданий.

11.2. Описание Статуса участия в Акселераторе:

These General Terms of Cooperation (hereinafter referred to as "General Terms of Cooperation") are permanently located at: https://my.bbooster.online/terms_accelerator and are an integral part of the Contracts concluded between Visotsky Consulting Inc. (368 9th Ave 6FL, New York, NY 10001), registered as a legal entity under the laws of the State of New York, USA, hereinafter referred to as "Contractor", represented by President Oleksandr Vysotskyi, and any legally capable person (Client/Customer).

 

The Customer, accepting the terms and conditions of the Agreement also undertakes to comply with these General Terms of Cooperation Privacy Policy and provide its consent, Cookies Policy, Terms of Use.

1. Terms and definitions

 

In accordance with the following definitions:

1.1 The Customer shall mean any natural person or legal entity that has expressed its intention to conclude the Contract on the terms and conditions specified therein by performing the actions defined in the Agreement. In case the payer under the Agreement is a legal entity, it shall identify a natural person (responsible person) who will fulfil the functions of the Customer under the Agreement in exercising the rights and fulfilling the obligations under the Agreement. In this case, all actions of such natural person without exception shall be deemed to be performed at the will and in the interests of the respective person. In case of a change of the responsible person, the Customer is obliged to notify the Contractor immediately. In case of failure to fulfil this obligation, the Customer shall bear the risk of negative consequences.

1.2 Party shall mean the Customer or the Contractor, parties to the Agreement.

1.3 Accelerator shall mean a set of services and facilities aimed at training business owners and members of their teams in business management. The Accelerator provides companies with access to training, mentoring, experts and other resources necessary for training for successful business development, systematisation and management.

1.4 The Business Owner Programme shall mean is a programme for Business Owners, which includes training materials on business management and practical tasks with step-by-step instructions and templates that allow them to apply what they have learned in practice.

1.5. Team Academy shall means a programme for the Customer's employees, which includes training courses on management tools. 

1.6. MBA and Executive MBA shall means be training programmes for managers of the Customer's companies whose owners have graduated and/or are studying at the Business Owner Programme. It includes training on the use of management tools in practice.

1.7. Participation Status shall mean the type of the Customer's participation in the Accelerator selected by the Customer on the basis of the session held with the Contractor's representative.

1.8. Right holder shall mean a person by whose creative labour the object of intellectual rights is created and modified and on the basis of an agreement with whom the Contractor provides Access to the Platform. Right holder of the exclusive right to use the know-how transferred to the Customer under the terms of the Agreement - Visotsky Consulting Inc. (368 9th Ave 6FL, New York, NY 10001), represented by Oleksandr Vysotskyi.

1.9. Services shall mean the services rendered by the Contractor under the Agreement, including organisation of the Customer's participation in the Accelerator, provision of Access to the platform and additional services, training of the Customer by the Contractor. The purpose of rendering services under the Agreement is to provide the Customer with participation in the Accelerator, training of business owners in management tools.

1.10. Access shall mean an opportunity for the Customer to participate in the Accelerator, view materials posted on the Platform (access is provided in the "as is" format); an opportunity to participate in training programmes and the Business Booster Board community; receive assistance in passing the Accelerator.

1.11. BBPlatform Programme shall mean a software Product developed by the Contractor that provides automation of management systems for small and medium-sized businesses based on a web and mobile application.

1.12. Training Platform shall mean a platform with the use of which the Contractor renders training services - a part of a complex object of intellectual rights, a multimedia product, the exclusive right to which belongs to the Right Holder, available on the Internet at the address: https://my.bbooster.online. Platform consists of a set of data and commands presented in objective form, intended for functioning of computers and other computer devices in order to obtain a certain result, including a software shell for interactive (multimedia) interaction with the information contained in the programme and audiovisual displays generated by it.

1.13. Website shall mean an Internet resource consisting of a set of files and web pages that include information in the form of texts, graphic elements (including fonts, images, designs, photo and video materials), buttons and other results of intellectual activity contained in an information system that ensures the availability of such information on the Internet within, as a rule, the domain zone https://my.bbooster.online.

1.14. Personal Account shall mean a specialised section of the Platform, which is a set of pages protected by special security means, created with the help of special software as a result of the Customer's registration on the Website. Access to the Personal Account and the information contained therein is provided by entering the Customer's authentication data (login and password) in the fields provided for this purpose on the Platform. Legally significant actions performed in the Customer's Personal Account are recognised as performed by the Customer with his/her simple electronic signature, where the identifier and key of the electronic signature are his/her authentication data.

1.15. Business Owner Programme (hereinafter referred to as the Programme) shall mean the list and sequence of Courses recommended by the Contractor on the basis of the Customer's business diagnostics. The composition and duration of the Programme is determined taking into account the duration of each Course.

1.16. Access Period shall mean a period during which the Customer may participate in the Accelerator and use the Training Platform and BBPlatform Programme. The duration of the Access Period is equal to the number of paid months.

1.17. Course shall mean a part of the Programme consisting of a certain set of instructions, videos and practical recommendations united by a single topic. Access to each next Course is granted after the Customer has completed the previous Course.

1.18. Materials shall mean the results of intellectual activity (works of science, audiovisual works, including video materials, tests, recommendations, text, graphic materials, software and any other materials), information and other materials, including those constituting the content of the Business Booster Technology.

1.19. Start Date shall mean the start of participation in the Customer's Accelerator. The Start Date shall be specified in the Agreement.

1.20. Trade secret (know-how) shall mean information of any nature (production, technical, economic, organisational and other), which is collected by the Licensor and the Contractor in the course of entrepreneurial activity in the field of systematisation and improvement of business efficiency and which has actual or potential commercial value by virtue of their unknown to third parties, to which third parties do not have free access on a legal basis.

1.21. Business Booster Technology shall mean Production Secret (know-how) shall mean the technology including training in Business Booster management tools (hereinafter referred to as the Technology), which is a special product of intellectual activity belonging to the Rights Holder, and which is protected by copyright and US law, as well as the norms of international agreements.

1.22. Content shall mean all materials placed on the Learning Platform by the Rights Holder, the Contractor, as well as the Customer and third parties (if they have such an opportunity), including (but not limited to) texts (messages, comments), graphic elements, images, designs, photo, audio and video materials, as well as other copyright objects placed on the Learning Platform.

1.23. Customer's Representative shall mean a person specified by the Customer and agreed by the Contractor as a direct recipient of the Services, which cannot be changed unilaterally; the Customer's Representative must meet certain qualification requirements established by the Contractor; all actions of the Customer's Representative are recognised as the Customer's actions and do not require additional confirmation by the Customer; the Customer's Representative in relations with the Contractor fulfils the Customer's obligations and exercises the Customer's rights.

The data of the Customer's representative for full Access are specified in the agreement. In case of change of E-mail, the Customer shall notify the Contractor by sending a notice to the address specified during registration on the Website. The said changes come into force from the date of sending the notice by the Customer.

1.24. Authorised e-mail address shall mean e-mail of the parties specified in the agreement.

2. Rights and obligations of the parties

2.1 The Contractor shall:

2.1.1 Provide the Customer with access to the Accelerator, as well as provide support to the Customer and other services according to the selected Status, provide the Customer with remote Access to the relevant part of the Learning Platform through the information and communication network "Internet" and organise the provision of appropriate training, the Customer.

2.1.2 In case of the lack of Access to the Learning Platform due to technical failures of the Website, the Contractor shall be obliged to eliminate the failures by its own efforts and at its own expense within the shortest possible period of time.

2.1.3 During the period of the Customer's access to the Accelerator, the Contractor shall provide information support to the Customer regarding the provision of the Services and operation of the Learning Platform on working days from 10:00 to 19:00 UTC +3. All support questions shall be sent by the Customer to the Contractor's authorised e-mail address. The Contractor has the right to change the form and content of the support.

2.2 The Contractor shall have the right:

2.2.1 Engage third parties for fulfilment of the Agreement without agreement with the Customer, remaining responsible for the actions of such persons as his own.

2.2.2 Request from the Customer all necessary information and documents for proper fulfilment of obligations under the Agreement.

2.2.3 The Contractor has the right to change the cost of participation in the Accelerator. The Contractor shall notify the Customer about the forthcoming change of the cost through the Personal Account on the Learning Platform. The Parties have agreed that if the Customer pays for the first and the last month of access, the participation fee remains unchanged for the Customer for a year from the date of the first payment. In case the Customer pays in advance for future months, the cost of participation in the Accelerator for the Customer remains unchanged during the paid months.

2.2.4 Suspend operation of the Learning Platform for necessary scheduled preventive and repair works on the Contractor's technical resources with placement of a corresponding notice on the Platform.

2.2.5. Prevent unauthorised use of the Learning Platform or the provided Services and suspend the Access, including to the Learning Platform in case of violation of the Agreement by the Customer or in case of failure of the Customer to provide the Contractor or its designated persons with all necessary information, or provision of incomplete information required for provision of the Services in accordance with the legislation in force in the Contractor's registration territory or with the requirements of the owner of the Learning Platform, or in case of provision by the Customer of knowingly and intentionally incomplete information.

2.2.6. to change / supplement the content of the Programmes, the schedule of placing Courses on the Learning Platform and the terms of opening Access to the Courses, as well as to replace experts and other persons providing the services. Information about such changes is available to the Customer in the Personal Account.

2.2.7 Refuse to provide the Services (all or part of the Services) to a particular Customer or a third party specified by the Customer without any explanations.

2.2.8. restrict (block) Access to the Personal Account in case of suspicion of unauthorised access to it by third parties (under unauthorised access the Parties understand access of any third parties regardless of how they became aware of registration data (login and password) at the discretion and will of the Customer or against his will). In this case, the blocking is carried out until the reason for the blocking is eliminated. In this case the blocking period is not excluded from the period of rendering the Services.

2.2.9 If specialised chat rooms in messengers or other channels of information dissemination or exchange are organised for mastering the materials or training on them, the Contractor has the right (at its discretion) to additionally provide the Customer's Representative with the possibility of Access to such channels. Such Access shall be subject to all rules relating to the Contractor's Services, and the use of the channels shall be subject to the rules relating to the use of the Learning Platform.

2.2.10. To hold offline events for the participants of the Accelerator and the Customer, whereby the Contractor has the right to postpone the date of the forthcoming offline event with obligatory advance notice to the Customer; in case of violation by the Customer of the terms and conditions of the Agreement or these General Terms of Cooperation to prevent the Customer from participating in the offline event.

2.3 The Customer is obliged:

2.3.1 Timely and fully pay the cost of Contractor's Services.

2.3.2 Timely provide complete and accurate information when registering in the Personal Account on the Website, as well as when filling out other forms and questionnaires of the Contractor, keep this information up to date. 

2.3.3 Ensure confidentiality of the login and password from the Personal Account on the Platform, not to disclose the Login and password to any third parties. If the Customer fails to fulfil this obligation, the Customer shall bear the risk of negative consequences, including those stipulated in clause 2.2.8 of this Section.

2.3.4 Observe ethical norms of behaviour when receiving the Services, in particular, do not publish messages in the general chat rooms that do not relate to the subject matter of the materials, do not allow disrespectful statements and insults to other Contractor's customers, Contractor's employees and Contractor itself, the Rights Holder and their partners in any form in any sources.

2.3.5 Maintain a good reputation and high image of the Contractor, the Rights Holder and their partners, as well as other users of the Platform.

2.3.6. Not to disclose the Rightholder's Production Secret (know-how) and other confidential information received from the Contractor. For the purposes of this clause, the parties define "disclosure" as the following: to transfer to third parties and/or publicly display audio, video, text Materials or provide Access to the Accelerator or the Learning Platform.

2.3.7. Providing information to the persons specified in clause 1.20 of the General Terms of Cooperation and to the Customer's authorised employees, if it is directly provided for by the Technology, shall not be disclosed.

2.3.8. Use the Technology received as part of the training in accordance with the terms and conditions of the Agreement.

2.3.9. To undergo training in the order specified in each constituent Course.

2.3.10. In case of any claims of the Customer within the framework of cooperation under the Agreement to send the relevant claims in writing exclusively to the Contractor, without disclosing the relevant information to any third parties.

2.3.11. Not to carry out business activities aimed at providing consultations in any form to third parties using the materials posted on the Learning Platform, as well as other materials received from the Contractor, during the term of validity of the Agreement and within 10 (ten) years after its termination. In addition, the Customer agrees not to compete with the Contractor, i.e. not to provide services similar to those provided by the Contractor to any third parties, during the term of the Agreement, as well as within 5 years after its termination (fulfilment).

2.4 The Customer shall have the right:

2.4.1 Pay for the Services both at its own expense and at the expense of attracted funds. In this case the Contractor shall not be liable for the terms and conditions of the funds provision and their return, and shall not become indebted to the person from whom the funds were attracted.

2.4.2 The Customer has the right to postpone the start of access for no more than 90 calendar days. postpone the start of Access In case of a postponed start, the period of provision of Access shall be calculated from the date of the Customer's notification to the Contractor of readiness to receive the Services.

2.5 The Customer has no right to:

2.5.1. Bypass the technical restrictions set on the Site, the Learning Platform and the Personal Account.

2.5.2. Decompile or disassemble the Site, Learning Platform, Personal Account, Materials, Intellectual Property.

2.5.3. Create copies of the Site, Learning Platform, Materials, Intellectual Property, as well as copy their appearance (design).

2.5.4. Download video materials posted on the Learning Platform and in the Personal Account.

2.5.5. Distribute unreliable, defamatory or damaging to the business reputation of the Rights Holder and the Contractor information about the Rights Holder and (or) the Contractor and/or the Technology by any means, including, without limitation, through the Internet, social networks, through any kind of mailings.

3. Procedure of service providing and rules of Access providing

3.1 The Contractor shall provide the Customer with Access only after all the following actions have been performed in the sequence set by the Contractor:

3.1.1. Registration of the Customer on the Website;

3.1.2. Payment of the cost of Services in accordance with the procedure stipulated in Section 3 of the Agreement;

3.1.3. Filling in the questionnaire provided by the Contractor.

In this case, the Contractor may refuse to provide the Services to the Customer at any time prior to the provision of the Access without giving any reasons and return the funds paid for the Services to the Customer on the terms and conditions of the Agreement.

3.2 The Contractor informs the Customer about the provision of Access to the Learning Platform by sending the Access link to the Customer's e-mail specified in the Agreement.

3.3 The Contractor may unilaterally change the content of the Programmes by increasing or changing the services, activities or the amount of information in the Programme (including by changing the number of Courses). In this case, the Contractor proceeds from the maximum efficiency of the study of the relevant field of knowledge and application of the obtained data by the Client. The Client confirms that regardless of the amount of information and the structure of the Programme, the Contractor, having provided Access, has provided the Services properly.

3.4 By concluding the Agreement, the Customer confirms its consent to the fact that in case the Customer fails to fulfil its obligations when receiving the Services (to perform the actions defined by the Contractor or the owner of the Learning Platform within the framework of the Services, to receive the results specified by the Contractor, to provide the Contractor with correct information about its actions and other specified in the Agreement and these General Terms of Cooperation), the Contractor has the right to unilaterally refuse to provide the Services at any time in accordance with the procedure provided for in the Agreement and these General Terms of Cooperation.

3.5 The Customer is fully responsible for the actions of his Representative, which he performs during the validity of the Agreement, when receiving the Services and implementing the results of rendering the Services - as for his own actions.

3.6 Within the framework of rendering the Services and cooperation under the Agreement, as well as after its termination, the Parties agree to respect each other and maintain a good image, strengthen good reputation of each other, solve all arising issues exclusively by means of negotiations, disseminate exclusively positive information about each other, employees and partners of each other both in the public space and before any third parties.

3.7 Access is granted in stages on a monthly basis (2 courses per month) - in accordance with the paid fee. If the Customer fails to fulfil the payment obligation, the Contractor shall terminate the Access.

3.8 By mutual agreement, the parties may periodically sign acts of rendered services. In the absence of a signed act, the fact of rendering services by the Contractor and their receipt by the Customer shall be confirmed by the actually provided Access to the Learning Platform, as well as the actually provided services. In connection with the above, as well as taking into account the fact that each Course of the training programme has an independent value, the Parties agreed that in case of any claims or comments, the Customer is obliged to send them to the Contractor at the address specified in the Agreement or on the Website no later than within 10 calendar days from the date of completion of training on the relevant Course. The Parties have agreed that in the absence of a claim within the specified period of time, the services for the relevant period are considered to be received by the Customer in full, accepted without comments, in connection with which the funds paid for the relevant period are not subject to refund.

3.9 In case of online meetings, the method of communication with the Recipient of the Services shall be chosen by the Contractor.

3.10. Remote support within the framework of the Services shall be provided by the Contractor remotely using telephone or electronic means of communication at the Contractor's choice (including Zoom, Skype, email and others).

3.11. The Contractor's obligations shall be considered fully fulfilled from the moment of providing the Customer with access to participation in the Accelerator.

3.12. The Parties have agreed that in case of early termination of this Agreement at the initiative of the Customer, not related to improper performance of obligations by the Contractor, the amount in the amount of the difference between the money actually paid by the Customer in payment for the Contractor's Services and the cost of services actually rendered by the Contractor shall be recognised as compensation of the Contractor's expenses for the organisation of conclusion and execution of this Agreement and shall not be returned to the Customer. The Contractor's direct expenses are compensated within the specified amount (including expenses for: attracting the Customer, organising access to the Platform, ensuring operability of the Platform and the Customer's Personal Account, preparing and providing information, organising and providing training for the Customer; preparing online and offline events within the framework of the Services, taking into account a predetermined number of participants, including the Customer, and others).

3.13. The Services are provided under the terms and conditions of the Agreement with performance on demand, which means that the Customer is obliged to pay and has the right to demand performance within the framework of the paid Programme. At the same time, the absence of the performance requirement (provision of Services) or non-use of materials on the Platform shall not be the basis for refunding the funds paid by the Customer, except for the cases separately specified in the Agreement or General Terms of Cooperation. At the same time, the amount of actually received Services (access to which was used by the Customer during the period of provision of the Access Services) is irrelevant for the fact of provision or non-provision of the Services - they are in any case considered to be duly provided upon expiry of the relevant Service Period.

4. Copyrights

4.1 The Accelerator Composition, the Learning Platform, including its parts, as well as all materials, the Access to which is provided by the Contractor to the Customer, are the result of intellectual activity of the Rights Holder.

4.2 Exclusive copyright (including the rights to derivative works), including the rights related to the copyright belongs to the Rights Holder, or the Rights Holder has obtained all necessary rights and authorisations for the use of the relevant materials. All materials, access to which is provided by the Contractor to the Customer in the process of rendering the Services, are intended for the Customer's personal use only. The Customer may not copy, publicly quote, distribute in any way or otherwise make public the said materials either in full or in part without obtaining the prior written consent of the Rights Holder (through the Contractor).

4.3 The Content (both in whole and in part) posted on the Learning Platform and the Website may not be copied, published, reproduced, revised, distributed, sold or otherwise disseminated in part or in full without the prior written consent of the Rights Holder (through the Contractor).

4.4 The Customer has the right to use the Learning Platform, its content and components (both as a whole and in fragments) and other technical solutions developed by the Rightholder within the framework of the provided functionality and interactive interaction with the available information for the entire period of Access to the Learning Platform in accordance with the Agreement, as well as in accordance with the rules established by the legislation in force in the Contractor's registration territory and international agreements.

4.5 The Customer's access to the Accelerator; to the Learning Platform, its content and components (both as a whole and its parts) and other technical solutions developed by the Rightholder does not mean the transfer (alienation) to the Customer and/or any third party of the rights to the results of intellectual activity, both as a whole and in part.

 4.6 Upon gaining Access to the Learning Platform and during its use, the Customer shall:

4.6.1 Refrain from any actions that violate the rights of the Rights Holder and third parties to the results of intellectual activity, in particular, not to copy, record, reproduce, distribute any results of intellectual activity of the Rights Holder without the written permission of the latter;

4.6.2 Immediately notify the Contractor of any facts of violation of the Rightholder's exclusive rights that have become known;

4.6.3 Use authentication data (login and password) personally and do not provide data for Access to the Personal Account on the Learning Platform to third parties. In case of loss, as well as in cases of unlawful access to the login and password by third parties, the Customer undertakes to immediately notify the Contractor by sending a notice to the Contractor's authorised e-mail address. Until the Contractor receives this notification, all actions performed using the Customer's Personal Account are considered to be performed by the Customer.

4.7 After receiving Access to the Learning Platform, during its use and indefinitely after the end of such use, the Customer undertakes not to use the information and materials placed on the Learning Platform to create similar products for commercial use in any form or shape.

5. Confidentiality

5.1 Confidential information includes any information that is not published in the public domain and is not available to the public, including: related to the process of rendering the Services by the Contractor and to the use of the Learning Platform (as well as the channels of information dissemination or information exchange), as well as all information posted on the Learning Platform, any information received by the Contractor or the Contractor's representative from the Customer. The Parties undertake not to disclose confidential information and other data provided by the other Party in the course of rendering the Services (except for publicly available information) to third parties without prior written consent of the Contractor.

5.2 Within the framework of rendering the Services, the Customer may be provided with Access to the software of third-party right holders, including internal information systems, Websites (hereinafter referred to as the Software) via the Learning Platform. In such case the Customer may not perform any actions with the Software except for those necessary to study the Course materials and related materials. The term of granting the right to use such Software is limited by the term of rendering the Services (providing Access) for studying the materials of a particular Course. The Customer is obliged to keep the confidentiality of information regarding the Software and is not entitled to disclose it without the consent of the right holder of such Software. If at the same time any Software is created or reworked, the Customer transfers the exclusive right to the reworked Software or created Software free of charge to the person who provided Access to the Software from the moment of creation or rework, unless otherwise specifically agreed by the Parties".

6. Disputes Resolution

6.1 All disputes and disagreements that may arise in connection with the Agreement shall be resolved by the Parties through negotiations and consultations, if possible. 

6.2 If the dispute cannot be resolved through negotiations or if the Parties fail to reach an agreement on the disputed issue within 15 (Fifty) business days, it shall be considered in the court of the State of New York, USA. 

6.3 The applicable law to the relations of the Parties under the Agreement and General Terms of Cooperation shall be the law of the State of New York, USA.

6.4 Waiver of class and collective actions. Customer and Contractor agree to submit any dispute to arbitration under this Section 6 of the General Terms of Cooperation only on an individual basis and not on a class or collective action basis. Accordingly:

а. The parties agree that there is no basis for the initiation, adjudication or arbitration of any dispute on a class or collective action basis. A collective or class action waiver shall not be severable from this Arbitration Agreement in any case where:

(i) the dispute is being arbitrated on the basis of a class or collective action; and

(ii) there is a final determination that the waiver of the collective action is invalid, unenforceable, unconscionable, bad faith, incompetent or illegal. In such cases, the class action must be litigated in a civil court of competent jurisdiction.

b. No waiver of a class or collective action may be severed from this Arbitration Agreement in any case where:

(i) the dispute is being litigated on the basis of a class action; and

(ii) there is a final determination that the dismissal of the class action is invalid, unenforceable, unconscionable, bad faith, incompetent or unlawful. In such cases, the class action must be litigated in a civil court of competent jurisdiction.

c. Contractor may lawfully enforce this Arbitration Agreement and the waiver of class actions and class actions, and request dismissal of such class or collective actions brought against Contractor by Client or third parties. Notwithstanding any other clause contained in this Arbitration Agreement, any claim that a class action waiver or class action waiver, in whole or in part, is unenforceable, invalid, void, voidable or disputed shall be heard only by a court of competent jurisdiction and not by an arbitrator. A class action waiver and class action waiver must be severed in any case where the dispute is brought as an individual action, and such severance is necessary to ensure that the individual action is submitted to arbitration.

7. Liability of the Parties

7.1 The Parties shall be liable for failure to fulfil or improper fulfilment of their obligations under the Agreement in accordance with the legislation in force in the territory of the State of New York, USA.

7.2 The Contractor shall not be liable for the Customer's inability to use the Access to the Learning Platform and/or information distribution or exchange channels for reasons beyond the Contractor's control, such as the quality of the Internet connection, Internet limitations, availability and functioning of the Customer's equipment and software.

7.3 If the Customer fails to fulfil the obligation stipulated in Section 8 of the General Terms of Cooperation, as well as if the Contractor reveals the fact of third party access to the content of the Accelerator, the Programme, the Customer shall pay a fine in the amount of one multiple of the cost of the Services under the Agreement for each case of violation.

7.4 If the Customer violates the terms and conditions of the Agreement, the Contractor has the right to terminate the Customer's access to the Personal Account, as well as block the Customer's Access to the Accelerator and to the Learning Platform or a specific Course.

7.5 The Learning Platform and its software tools, including the Personal Account, are provided "as is". The Contractor shall not be liable for any possible damage resulting from:

7.5.1. malfunctions of the Learning Platform and (or) other software caused by code errors, computer viruses and other extraneous code fragments in the software;

7.5.2. Absence (impossibility to establish, terminate, etc.) of Internet connections;

7.5.3. Establishment of state regulation (or regulation by other organisations) of business activities of commercial organisations in the Internet and/or establishment by the said entities of one-time restrictions that complicate or make it impossible to perform the Agreement;

 

7.5.4 Other cases related to actions (inaction) of Internet users and/or other entities aimed at worsening the general situation with the use of the Internet and/or computer equipment;

7.5.5. Use (inability to use) and any consequences of the Customer's use (inability to use) of the form of payment for the Services under the Agreement.

7.6 No information, Access to which is provided by the Contractor as part of the provision of the Services under the Agreement, and/or feedback, can be regarded as guarantees. Decision-making on the basis of all information received by the Customer is the sole responsibility of the Customer. The Customer assumes full responsibility for decisions, actions/inactions and risks associated with the use of information and materials, Access to which is provided by the Contractor within the framework of fulfilment of its obligations under the Agreement.

7.7 In case of unlawful use of the Contractor's and third parties' intellectual property, violation of clause 2.5 of the General Terms of Cooperation, the Customer shall pay to each person whose rights have been violated a fine in the amount of one times the cost of the Services under the Agreement for each case of violation, and in addition to the fine shall compensate the Contractor for all losses caused by such violation.

7.8 The Parties have the right, but not the obligation, to be held liable under the Agreement.

8. Content and comments

8.1. In case the Customer discovers any information on the Website, including Content, violating his/her legal rights and interests, the Customer has the right to apply with a corresponding statement exclusively to the Contractor by sending a message to the Contractor's authorised e-mail address. In the application it is necessary to state the essence of the violated rights and interests, indicating the relevant information, attach documents confirming the legitimacy of the claims, provide details, including passport and contact information, provide consent to the processing of personal data in connection with the sending of such application.

8.2 The Customer through the Website and Personal Account, as well as in other profile channels of information distribution and exchange, including messengers, has the opportunity to post information and comments in special sections of the Website, subject to the following:

8.2.1 Such information shall correspond to the subject matter of the Website. The Contractor at its own discretion determines the compliance of such information with the subject matter of the Site and has the right to remove such information if it does not meet this criterion.

8.2.2 It is prohibited to place any links to other Internet sites without the Contractor's consent. The Contractor has the right to remove such information posted by the Customer.

8.2.3 It is prohibited to place information that violates the rights and legitimate interests of third parties, including intellectual rights, as well as information that:

8.2.3.1. contains threats, discredits, insults, contains foul language, defames honour and dignity or business reputation, or violates the privacy of the Website users, third parties, the Contractor, the Rightholder and their partners;

8.2.3.2. violates the rights of minors;

8.2.3.3. is vulgar or obscene, contains obscene language, contains pornographic images and texts or scenes of sexual nature involving minors;

8.2.3.4. Contains scenes of violence or inhuman treatment of animals;

8.2.3.5. Contains a description of means and methods of suicide, any incitement to commit suicide;

8.2.3.6. Propagates and/or promotes incitement of racial, religious, ethnic, social hatred or enmity, propagates fascism or ideology of racial superiority;

8.2.3.7. Contains extremist materials;

8.2.3.8. Propagandises criminal activity or contains advice, instructions or guidelines for committing criminal acts;

8.2.3.9. Contains restricted information, including but not limited to state and commercial secrets, information about the private life of third parties;

8.2.3.10. Contains advertising or describes the attractiveness of using narcotic substances;

8.2.3.11. Is fraudulent in nature;

8.2.3.12. Contains intrusive means of attracting attention to its publication, including (but not limited to) headings in capital letters, multiple punctuation marks, non-standard font, etc.;

8.2.3.13. Violates other rights and interests of citizens and legal entities or requirements of the legislation of the countries of registration of the parties to the agreement or international law.

8.2.4. It is prohibited to place advertising information without agreement with the Contractor.

8.3. The Contractor has the right to edit or delete any information posted by the Customer on the Website or other profile channels of distribution and exchange of information, including messengers, in order to ensure compliance with the laws of the countries of registration of the parties to the agreement or international law, the Agreement, to prevent the violation of its rights and/or the rights of third parties.

8.4. It is not allowed to use the Website and other profile channels of distribution and exchange of information, including messengers:

8.4.1. For the purpose of mass distribution of information (including spam mailings), as well as downloading, storing, publishing, distributing, or providing access to third parties to any software that allows to make changes to the normal functioning of the Site, Learning Platform, information distribution channels within the framework of rendering the Services;

8.4.2. To carry out by the Customer any business activity or any activity aimed at generating income, except as expressly stated in the Agreement, General Terms of Cooperation or other agreements between the Contractor and the Customer, or in unilateral documents and rules of the Contractor, the terms of which relate to the Customer, cooperation in accordance with the terms of the Agreement, Access to the Accelerator and which the Customer undertakes to comply with.

9. Amendment of the terms and conditions of the Agreement, General Terms of Cooperation and replacement of the parties involved

9.1. The Contractor reserves the unilateral and discretionary right to change the terms and conditions of the Agreement and the General Terms of Cooperation. Such amendments shall enter into force upon publication of a new version of the General Terms of Cooperation on the Website. The previous version of the General Terms of Cooperation shall remain in force for both Parties, without any changes regarding payment for services already rendered. The new provisions of the General Terms of Cooperation shall be retroactive and, upon mutual agreement of the Parties, shall apply to the entire term of cooperation under the Agreement and the General Terms of Cooperation from the moment of its commencement. Therefore, the Customer is obliged to independently monitor all changes to the General Terms of Cooperation on the Website.

9.2. By using the Learning Platform or making any payments to the Contractor after the publication of a new version of the General Terms of Cooperation, the Customer explicitly agrees to the terms and conditions of the updated General Terms of Cooperation. In case of disagreement with the revised terms and conditions, the Customer is obliged to stop using the Platform, notify the Contractor via an authorised email address, refrain from paying for the services and refrain from using them.

9.3. The Customer has the right to transfer its rights and obligations to a third party. Such transfer is allowed only after receiving the Contractor's written consent and executing a separate agreement between the Parties.

 9.4. The Contractor reserves the right to assign rights and transfer obligations, including the involvement of subcontractors, related to all obligations arising from the relationship between the Parties. The Customer hereby consents to the assignment of rights and transfer of obligations to any third party. The Contractor undertakes to notify the Customer of such assignment and/or transfer by placing relevant information in the Personal Account and/or on the Website.

 9.5. Upon a separate agreement of the Parties and for a separate remuneration determined by the Contractor, third parties assisting and supporting the Customer in applying the results of the Services may receive separate Services. The Contractor reserves the right to refuse to authorise the Customer to provide the Services to third parties. If authorisation to provide Services to such third parties is granted, they shall be deemed equivalent to the Customer in terms of the Services received. The Customer assumes full responsibility for the actions of these third parties as if they were its own.

10. Final Terms

10.1. In all matters not expressly agreed in the Agreement or the General Terms of Cooperation, the Parties shall be subject to the laws of the country in which the Contractor is registered.

10.2. If a court declares any provision of the Agreement and the General Terms of Cooperation invalid or unenforceable, such decision shall not affect the validity or enforceability of the remaining provisions of the Agreement and the General Terms of Cooperation.

10.3. Notwithstanding the foregoing, the Contractor shall be exempt from liability for breach of the terms and conditions of the Agreement or these General Terms of Cooperation if such breach is the result of force majeure, including but not limited to: actions of state authorities (including the adoption of legal acts), fire, flood, earthquake, other natural disasters, power outages and/or computer network failures, strikes, civil unrest, riots, pandemics and epidemics, as well as restrictive measures introduced by the Contractor. In such cases, the Contractor shall not be liable for breach of the terms and conditions of the Agreement or these General Terms of Cooperation.

10.4. The Contractor reserves the right to amend and supplement the terms and conditions of these General Terms of Cooperation at any time.

11. List of Services and content of the Accelerator

11.1. The Contractor, if provided for by the Client's Status, assists the latter in passing through the Accelerator, including providing Services for checking homework.

Procedure for concluding an Agreement

1. The text of the Agreement, permanently posted on the Internet at:https://my.bbooster.online/ofe... and available on the Website, contains all the essential terms of the Agreement and is an offer of Visotsky Consulting Inc. to conclude an Agreement on the conditions specified in the text with any fully capable person. The text of the Agreement is a public offer.
2. Prior to the conclusion of the acceptance, the client must complete the Application Form and obtain its approval from Visotsky Consulting Inc.; in confirmation of approval of the Application Form Visotsky Consulting Inc. sends an Invoice to the Client before the approval of the Application Form Visotsky Consulting Inc. has the right, without explanation and for any reason, to notify the Client of the refusal to approve the client's Application Form.
3. The proper acceptance by the Client of this offer (Agreement) is the payment of the License by the Client on the basis of the commercial offer.



THE AGREEMENT,

 between
Visotsky Consulting Inc. (315 W 36th Street, NYC, NY, 10018) incorporated as a legal entity pursuant to legislation of State of New-York, USA, in a person of Aleksander Visotsky (hereinafter referred to as LICENSOR)  and
any person who has duly accepted the Agreement (hereinafter referred to as the "LICENSEE"). (hereinafter- referred to as LICENSEE).
 
Taking into account that:
LICENSOR is an owner and developer of particular methods, processes and information used for creation of Technology for business efficiency upgrade;
whereas such methods and processes constitute LICENSOR’S commercial secrecy and property assets;
whereas LICENSOR wishes to provide Licensee with a non-exclusive license to LICENSOR’S production secret (know-how);
and since LICENSEE wishes to obtain a non-exclusive license to methods, processes and information that constitute LICENSOR’S production secret;
and WHEREAS LICENSOR is ready to provide LICENSOR with such license under terms specified below,
NOW THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Parties agree to the legally binding agreement and agreed to the following:



 1.  TERMS AND DEFINITIONS


1.1.Commercial secrecy (know-how) as used herein means any kind of information (production, technical, economic, organizational information, etc.) gathered by Licensor in the progress of its entrepreneurial activity in the field of business systematization and efficiency upgrade that has current or potential value due to its secrecy to third parties, to which third parties have no free legal access and in regard to which Licensor has introduced a commercial secrecy regime.  
1.1.1.   Any kind of information as used herein means Business Booster technology (hereinafter - Technology) owned by Licensor expressed in the following ways including, but not limited to, rules, recommendations, schemes, creative solutions, regardless of the form of its expression, that is transferred by Licensor to Licensee.
1.2.   Commercial secrecy means information confidentiality regime that allows its owner to increase income, avoid unjustified expenses, maintain position at the market of goods, works, services or obtain other commercial benefit under existing or potential circumstances.   
1.3.Nonexclusive license means granting a license to Licensee to use Commercial secrecy (know-how) with Licensor’s reservation of a right to grant such license to other persons
1.4. Materials mean Licensor’s deliverables of intellectual activity (works of science, audiovisual works, including video lectures, tests, homework, text, graphics, software and any other materials), information and other materials that make up the content of the Technology.
1.5. Platform means a software environment in terms of which Materials are presented, located in the Internet within a limit of domain zone https://my.bbooster.online;
1.6. Personal account means an aggregate of protected pages at the Platform: https://my.bbooster.online created in result of Licensee’s registration at the Platform, using which Licensee gains an access to Materials and events held within a Service Package. Personal account shall be accessed by login data (login and password) specified by Licensee when registered at the Platform;
1.7.Application form means Client’s notification on its intent to make an Agreement and Client’s answers to questions on the Application Form. Application Form shall be considered and approved by the Licensor.
1.8.Licensee’s representative means owner of the Company deemed a main representative by co-owners of the Company. Representative shall be recipient of Technology.

1.9 Tariff - a set of Materials and other results of intellectual activity, the rights to which are transferred under this Agreement. The list of charges and descriptions located on the Internet at: https://bbooster.su/mk30_bonus



2. SUBJECT OF THE AGREEMENT


2.1. Pursuant to the Agreement, for consideration and within a use term determined herein Licensor shall provide Licensee with a right to use (non-exclusive license) Commercial secrecy (know-how) in Licensee’s entrepreneurial activity (hereinafter -  Business Booster Technology) using which Licensee wishes to systematize its business and upgrade its efficiency, increase profit, reduce owner’s temporary operational expenses.
2.2.   Rights to use Business Booster Technology shall be transferred pursuant to i.2.1 of the Agreement. Business Booster Technology shall include the following Materials:
2.2.1.   Video-lessons.
2.2.2.Step-by-step programs;
2.2.3. Organizational scheme adapted to Licensee’s type of business;
2.2.4. Ready templates of regulations, instructions and policies (including step-by-step instructions for organizing staff coordination in the form of boards and meetings, organizing the company's written communication system, implementing post statistics, and job descriptions);
2.2.5.     Content and procedure for provision of Business Booster Technology is described in Appendix no. 2.
 
2.3.  License granted to Licensee under the Agreement shall be non-exclusive, meaning that Licensor shall reserve a right to grant license to other persons and shall independently use and apply know-how in the progress of its entrepreneurial activity.
 
2.4.  License under the Agreement shall be granted to Licensee for adaptation in 1 (one) direction of Licensee’s business. Should Licensee wish to use Business Booster Technology in several business directions, Parties agree to sign a separate agreement in this regard or sign an addendum to the Agreement where cost and terms of Technology provision will be agreed. Licensor shall not limit Licensee in use of skills and knowledge acquired by use (application) of the Technology upon an expiry of the license term.

2.5.  The Agreement shall come into effect when it is signed by Parties.  
2.6.  License under the Agreement shall be valid for 1 year after an access to Materials are provided pursuant to i. 4.2. of the Agreement. As agreed by the Parties non-exclusive license validity term may be amended under terms agreed in addendum.
2.7. Right to Business Booster Technology shall be exercised by provision of an access to Materials and recognition of legality of its use in the volume and under restrictions determined by the Agreement.  
2.8. Licensee is aware of and accepts Terms and Conditions of Successful adaptation of Business Booster Technology stated in Appendix n.1 to the Agreement.



3. RIGHTS AND OBLIGATIONS OF THE PARTIES


3.1.  Licensor shall:
3.1.1.Upon receipt of a fee provided by i.5.2. of the Agreement provide Licensee with a technological access to Materials required in order to exercise the rights granted by Licensee under the Agreement.

3.1.2.Through electronic mail provide consultations regarding implementation of the Agreement within Agreement Validity Term.
Licensor shall be entitled to change form and content of the support in order to held Licensee to optimally introduce Business Booster Technology to its business.

3.1.3. Inspect completeness and correctness of Licensee’s introduction and application of management tools (Business Booster Technology).
 
3.2.   Licensee shall be entitled to:
3.2.1.   Use Commercial secrecy (know-how) in its commercial activity;
3.2.2. Make contracts with Licensor’s affiliated companies on cooperation in Technology adaptation to the needs of Licensee’s business;
3.2.3.Obtain clarifications of all information contained in materials issued by Licensor and information regarding introduction of management tools to Licensees’ business.
 
3.3.   Licensee shall:

3.3.1.  Not disclose Licensor’s Commercial secrecy (know-how) and other confidential information provided by Licensor;
Therewith, provision of information to persons described in i.4.2. shall not be deemed a disclosure.
3.3.2.   Pay a fee to Licensor for the non-exclusive license within a term and under conditions provided by the Agreement.
3.3.3. Use Technology pursuant to current Agreement.
3.3.4.   Assist Licensor in detecting persons that illegally use Licensor’s deliverables of intellectual activity and means of individualization, namely, Business Booster trade mark (service mark) or Licensor’s trade name without legal grounds, or Business Booster Technology Commercial Secrecy, and take any actions required to suspend illegal use of Licensor’s trade mark by third parties.  

3.3.5. Licensee shall introduce Business Booster Technology in the order and within terms specified in each module of Technology.
Licensee’s representative shall personally visit all events aimed to transfer and adaptation of Technology, timely and fully implement all actions provided by the Program, timely and fully report on implementation of actions provided by the Program under a form determined by Licensor and posted in Personal account (and/or Platform) or sent to Licensee’s e-mail or provided otherwise.
Violation of these terms shall provide Licensor with a right to cancel warranties of successful Business Booster Introduction Technology to Licensee’s business within Agreement Validity Term.

3.4.   Licensee shall not be entitled to:
3.4.1.   Make sublicense transactions or other civil transactions, lease agreements, transfer agreements to agreements on disposal of a right to Commercial secrecy (know-how) granted to Licensee under the Agreements to the benefit of the third parties, except for agreements specified in i.3.2.2.
3.4.2.   Perform entrepreneurial activity aimed at provision of any kind of consultations to third parties using Commercial secrecy (know-how).

3.4.3. Get around technical restrictions of the Website, Platform and Personal Account.
3.4.4. Decompile and disassemble Website, Platform, Personal account, Materials and Intellectual property.
3.4.5. Copy Website, Platform, Materials and Intellectual property and copy external design.
3.4.6. Change Website, Platform, perform actions aimed at change of functioning and working capacity of Website, Platform.
3.4.7. Download video-materials posted at Platform and in Personal Account.
3.4.8. Without Licensor’s consent and within Agreement Validity Term make with third parties contracts on consultation services regarding company management issues.
3.4.9. Distribute information that is unreliable, defamatory or harmful to Licensor’s business reputation about Licensor and/or Business Booster Technology in any way, including, without limitation, via the Internet, social networks, any kind of newsletter.
3.5.   Parties shall:
3.5.1.   Observe all mutual obligations undertaken under the Agreement.


4.  ACCESS GRANTING


4.1. Access to Materials are granted via the Platform.   
4.2. A representative of the Licensee to get full access to the platform and transfer Technology:

4.3. Licensor shall send an e-mail to address specified in i.4.2, containing Platform authentication parameters.
4.4. Use of authentication parameters (login/password) by persons except those specified in i.4.2, shall be deemed a disclosure of confidential information.
4.5.Licensor’s obligations shall be deemed fully implemented when Client received the Technology aby all modules within the Agreement and in any case Technology shall be deemed fully transferred and accepted upon an expiry of 12 (twelve) calendar month after an access was submitted.
4.6. Date when ac access to materials of Technology was granted shall be date when ac access to the first module of Technology was granted (based on data on Platform).
4.7. Prior to granting an access Licensee shall provide the Jointbooster Application form for each representative and full and reliable answers to additional questions of Licensor (if any).
4.8. Licensor shall be entitled to limit Licensee’s access to Platform in the following cases:
(а) Licensee’s violation of payment terms determined by i.5 of the Agreement;
(б) Licensee’s violation of Technology use terms;
(в) Licensee’s violation of any terms of the Agreement.
4.9.   Access limitations set in i.4.5. of the Agreement shall not serve as a ground for change of license terms. 

 


5. LICENSE FEE, PAYMENT TERMS AND PAYMENT PROCEDURE


5.1. The amount of remuneration for granting a non-exclusive license is determined on the basis of the invoice issued after the approval of the application Form.
5.2. When payment is delayed (in case amount of Licensee fee was calculated with a discount) Licensee shall lose it right for a discount and shall pay a full Agreement price under terms specified in invoice issued.
Funds paid by the Client as of the moment when it has lost its discount shall not be returned and shall be carried forward to future payments.
5.3. The amount of remuneration is calculated based on the twelve-month period for the transfer of the license. If, for reasons that depend on the Licensee, the license transfer period exceeds 12 months, the Licensee may extend the program. Program renewal fee (more than 12 months) $800 for a full month.


6. CONFIDENTIALITY


6.1. Licensee shall agree that Technology and other Confidential information shall be Licensor’s property and a valuable asset due to the fact that such information is not publicly available. In this regard any violations of confidentiality regime may cause significant loss to Licensor and, therefore, shall reimburse such loss to Licensor.  
6.2.   Licensee shall guarantee confidentiality of documentation, information, knowledge and experience that form Commercial secrecy (know-how) received from Licensor.
6.3.Licensee shall guarantee that information and documents received from Licensor shall be viewed only by those Licensee’s employees that are directly involved to use of Business Booster Technology at Licensee’s enterprise and specified in i.4.2 of the Agreement.
6.4.   Should Licensee violate i. 3.3.1 of the Agreement Licensee shall pay Licensor a penalty in the amount of 15 000 (fifteen thousand) USD.
6.5. Should Licensee violate i. 3.4.1, 3.4.2 of the Agreement Licensee shall pay Licensor a penalty in the amount of 25 000 (twenty five thousand) USD.
6.6. Licensor shall take all necessary and sufficient legal, organizational and technical measures to protect confidential information and personal data of Licensee (Licensee’s representative). Therewith, by signing this Agreement Licensee give its consent to Licensor’s processing (collection, systematization, accumulation, storage, clarification (updates, changes), use, distribution (including transmission), depersonalization, blocking and destruction), including automated, of personal data of Licensee’s representatives specified in this Agreement, as well as personal data that is or will be additionally communicated within the Agreement validity term in a different manner in order to make and properly perform the Agreement or communicate informational data by Licensor to Licensee (representative of Licensee).
6.7. Within the Agreement Validity and five years afterwards each Party shall undertake not to disclose (without preliminary written consent of the other Party) any confidential information received from the disclosing Party.
Parties may make an agreement on observance of a confidentiality regime in the progress of the Agreement implementation.

 


7. WARRANTIES AND RESPONSIBILITIES


7.1. Licensor shall not provide software (including system software) for use of Website, Platform, Personal account and Service Package by the Client.  Such software shall be purchased and/or installed by the Client independently.
7.2. Licensor shall not be liable for actual use of management tool at Licensee’s enterprise, therewith, Licensor shall be fully liable for applicability of such tools. Licensee shall be liable for correct adaptation of Technology at its enterprise. Therewith, Licensor shall provide Licensee with all materials and action program required for successful adaptation.
7.3. .Licensor shall guarantee shall it has a legal right to provide Commercial secrecy (know-how) under the Agreement.  
7.4.   Non-performing Party shall reimburse the other Party all expenses incurred by such nonperformance of obligations under the Agreement.  
7.5.   Parties shall be excused for full or partial nonperformance of their obligations under the Agreement, should such non-performance be caused by force-majeure circumstances. Force-majeure circumstances shall be understood as circumstances that take place after the Agreement is signed, in result of emergency events, that could not be reasonably foreseen or prevented by Parties.
7.6.   In all other cases of non-performance Parties shall be held accountable pursuant to current legislation.



8.  RECOGNITION OF DOCUMENTS IN ELECTRONIC MEDIUM


8.1. Hereby Parties confirm that during implementation of the Agreement (execution, amendment, addition, termination) and in the course of correspondence regarding the abovementioned issues it is allowed to use analogues of signatures of the Parties. Hereby Parties confirm that all notifications, messages, agreements and documents related to implementation of the Agreement by Parties, signed by analogues of signatures of the Parties shall have a legal effect and shall be binding to Parties. Analogues of signatures of the Parties shall be understood as authorized e-mail addresses and login data to Personal account.
8.2.  Parties agree that all notification, messages, agreements, documents and letters sent through authorized e-mail addresses or personal account shall be deemed sent and signed by Parties, except when otherwise is stated in letters.
8.3.  Authorized e-mail addresses of the Parties shall be
8.3.1.  Licensor: support@bbooster.online
8.3.2.  Licensee: e-mail address specified in Application Form and/or Personal account.
8.4.  Parties shall ensure confidentiality of messages and information required for gaining an access to authorized e-mail addresses and Personal account, shall not disclose such information and shall not transfer such information too third parties. Parties shall independently determine access limitation regime in regard to such information.  
8.5.  Prior to receipt of information on violation of confidentiality regime sent by Licensee all actions and documents executed and made through Licensee’s authorized e-mail address or Personal account, even if such actions and documents were executed and made and sent to other persons shall be deemed executed and sent by Licensee.  In this case rights and obligations and responsibility shall accrue to Licensee.   
8.6. Prior to receipt of information on violation of confidentiality regime sent by Licensor all actions and documents executed and made through Licensee’s authorized e-mail address even if such actions and documents were executed and made and sent to other persons shall be deemed executed and sent by Licensor.
8.7. Licensor shall be entitled to assign rights, transfer debts (including a right to engage subcontractors) for all obligations that arise out of the Agreement. Hereby Licensee agrees to assign right and transfer debts to any third parties. Licensor shall inform Licensee on assigned right and/or transferred debt.

 


9. INTELLECTUAL PROPERTY


9.1. Non-exclusive right to all objects of Intellectual property, including Materials, Website, Platform and Personal Account, elements of design, texts, programs, etc, owned by Licensor and other third parties, rights to intellectual property for which are acquired by Licensor. Licensor shall guarantee that it has a legal rights to provide Commercial secrecy (know-how)
under the Agreement.
9.1.1. By using the Materials, Website, Platform, Personal Account and other Intellectual Property Licensee shall acknowledge and agree that content of Materials, Website, Platform, Personal Account and other Intellectual property is protected by copyright, trademark and other rights to intellectual deliverables, and that the rights specified are valid and protected in all forms, on all medium and in regard to all technologies both existing now and designed afterwards. Neither rights to any content of Materials, Website, Platform, Personal Account and other rights of Intellectual property shall transfer to Licensee or representative of Licensee when the Agreement is made.

9.2. Licensee’s representative specified in i.4.2. of the Agreement shall be entitled to use Materials and other objects of Intellectual property accessed under the Agreement by using Website, Platform and Personal Account and only within limits established by the Agreement.

9.3. Licensee (Licensee’s representative) shall not be entitled to use Materials and other objects of Intellectual property for any other purpose than defined by the Agreement, Licensee shall not be entitled as follows:

9.3.1.repproduce, distribute by sale or otherwise, publicly demonstrate, broadcast, communicate online, through cable, translation and/or otherwise, make publicly available or use in unauthorized manner any part of Materials and Intellectual property, except for those Materials and information that is marked by Licensor as Materials and Information that can be used by Licensee as a part of its business and use of Technology.

9.3.2. copy and/or distribute any parts of Technology, Materials and other Intellectual Property, including organization and holding or online and offline events similar to those held by Licensor to the extent of Services, organize and upgrade efficiency of the business based on Business Booster Technology.

9.3.3. copy or otherwise use software of Website or Platform.

9.4.When quoting Materials, Website or Platform and using parts of Intellectual property when it is directly permitted by Licensor Licensee shall include a link to Website and Business Booster.


 
  
10. WARRANTIES OF RESULTS AND REPAYMENT


10.1. Licensor shall guarantee that elements of Business Booster Technology are practical, applicable, and shall significantly upgrade efficiency of Licensee’s business. If after all elements of Business Booster Technology are received and Licensor has cooperated in adaptation of the Technology Licensee cannot adapt the Technology, Licensee shall be entitled to demand compensation of all monetary funds paid for Technology, provided that the following material terms are implemented:

10.1.1. After an access was granted one (1) calendar year has passed.
10.1.2. Licensee shall fully, bona fide and in a qualitative manner implement all instructions and recommendations of Licensor, its employees, engaged consultants and trainers, actively participate  in implementation of tasks and development of personal business, openly and regularly and fully report to Licensor information on results of Technology use, therewith, Licensees shall confirm implementation of all instructions and other tasks, recommendations provided by Licensor and other terms specified in item 10.1 of the Agreement, including, but not limited to, Licensee’s submission of the following information and documents to Licensor and implementation of the following terms:
a) Confirmation of the fact that Licensee has organized and held all meetings and discussions with its employees and/or contractors that are required by Technology, and such conformation shall include audio or video-recording of such meetings and discussions.
b)  Completed and accepted by the Contractor homework and action programs for all modules of the Technology;

10.1.3. Licensor has no reasons to terminate of suspend the Agreement.

10.1.4.Licensee has presented sufficient documentary evidence that by using Business Booster Technology and applying practical skills gained through Business Booster Technology
 Licensee could not develop and upgrade its enterprise.
10.1.5. Licensee has sent to Licensor a written notification signed personally at paper medium to postal address of Licensor stating all evidence and confirmations provided by item 10.1., in a way that allows to confirm Licensor’s receipt, within fourteen (14) calendar days upon expiry of a one (1)-year period after an access to Materials was granted. Should the specified term be violated or any ground/condition for repayment not be presented, or confirming documents and materials not be submitted, funds shall not be repaid.

10.2. Funds paid by Licensee, in case of the grounds named in i.10.1. or other grounds provided by the Agreement or current legislation. shall be repaid except for Licensor’s expenses, including bank changes, loss of profit, any other Licensor’s expenses spent on provision of payment by installment to Licensee, that in any case shall be at least 10 % (ten) of full price of the Agreement.

10.3. Repayment of funds to Licensee under any grounds shall be made within forty five (45) days after Licensor receives a justified demand of Licensee that complies with criteria for return of funds determined by the Agreement.

10.4. When the Licensee receives a demand on repayment of funds, Licensor shall be entitled to block an access to Platform, Personal Account, social network of Business Booster, including various groups, forums and pages with a limited access, for a period of inspection of reasons and grounds for repayment made due to Licensee’s demand.


 


11. AGREEMENT VALIDITY TERM AND TERMINATION PROCEDURE


11.1.  The Agreement was made for a period of time provided in i.2.6 of the Agreement.  
11.2.   Agreement Validity Term may be extended at mutual consent of the Parties.  
11.3.   Agreement may be preliminary terminated by Licensor ex-parte, should Licensee violate items 3.3.1 and 3.4 of the Agreement, therewith, Parties agreed that everything received by Licensor under the Agreement shall not be returned to Licensee, and Licensee in its turn shall suspend any use of Commercial secrecy (know-how) granted by the Agreement from the moment when Licensee receives notification on termination.
11.4.   Licensee shall be entitled to refuse the Agreement extrajudically and ex-parte, should Licensor not implement its obligations provided by i.3.1. of the Agreement.   
11.5.   Licensee shall be entitled to refuse the Agreement extrajudically and ex-parte anytime and without any explanations. In this case Licensee shall properly notify Licensor on its intention 30 days prior to planned date of termination.  All mutual obligations of the Parties terminate together with the Agreement, no penalties are provided on behalf of the Licensor, in its turn Licensee shall not be entitled to demand compensation of any loss, including return of remuneration paid by Licensee under the Agreement. Licensee shall cease use of Commercial secrecy and shall guarantee its confidentiality.


 
12. MISCELLANEOUS


12.1.   Issue not covered by the Agreement shall be controlled by current legislation.
12.2.Should any discrepancies arise between two version of the Agreement, version in Russian language shall prevail.  

12.3. Should any disputes take place between Licensor and Licensee that arise out of the Agreement Parties shall tale all measures in order to solve such disputes by negotiations.
12.4. Should it be impossible to solve such disputes by negotiations, disputes shall be solved at arbitration court at defendant’s location.

Appendix no. 1

to License Agreement  

Conditions for successful adaptation of Business Booster Technology

 

Main objective of the Business Booster Technology is to increase management efficiency of company through introduction of management tools and marketing.

 

These Conditions are intended to be fully understood by Licensee and Licensor of the initial data for successful adaptation of the Business Booster Technology in the Licensee enterprise.

Initial data for adaptation are the parameters of enterprise/Main representative that represent that the project can be implemented successfully.

 

For the purposes of this Appendix words “client”, “owner” and “holder” are synonymous and correspond to a concept of the Main Representative in paragraph 1.8. of the Agreement.

Below initial data for adaptation is stated which shows that a client is able to fully master the Technology and get the product for which it paid. Licensees that do not have these initial data probably will not be able to fully implement the Technology to their business and will not receive the result desired.

 

1.Client shall have an authority to set goals

If it is a single owner of the company and there are no co-owners, it is required that he /she has an authority to make her/his orders be carried out by managers at all levels. If there are several co-owners in a company, then one of them must have authority over the others. Such person is a goal setter and determines development of a company.

It shall also be understood that a spouse of the company’s owner, although not being a co-owner from a legal point of view, nevertheless owns half of assets acquired in the marriage. Therefore, very often a spouse is actually a co-owner. Also there is a situation when family members are not co-owners legally, but in fact are co-owners. Therefore, spouse and family members must always be considered as co-owners in terms of whether he goal-setter has a control over them. Besides, sometimes a part of company’s profits is received by someone who is not formally a co-owner, but in fact is, namely, investors, key employees or someone else. In terms of implementing management tools, they all are co-owners. For example, in one of the projects we found out that part of the profit is received by a consultant psychologist who is friendly with the owner and provides him/her with psychological support. In the process of implementing the tools it turned out that this is not a support, but a serious influence, and until this influence was eliminated, it was impossible to implement the tools. Because we did not find it out timely, lots of effort were in vain, and the project was never completed.

One of apparent symptoms that the goal setter does not have an authority is explicit or hidden disagreements among co-owners. For example, there are two co-owners in a company, they have divided their responsibilities very accurately and they never interfere in each other’s affairs, they do not communicate and do not coordinate their actions, it may seem that everything is great, but actually there is no authority in this company, instead there is a “cold war”. It looks very social, but an attempt to introduce management tools in such company would lead to imbalance in this “cold war”, a situation will escalate and cause harm to a company.

Same example is a company where a husband is the goal-setter, but all financial issues are settled by a wife, not allowing a husband into this area. Formally, everything looks very acceptable, but when trying to implement a financial planning or somehow change a financial scheme disputes will arise that will cause problems to the Company. We do not provide Business Booster Technology to companies where official or hidden co-owners have disputes to people with authority. We work only with the goal-setters.

 

2. You have money to invest in company’s development  

This criterion shows the owner’s ability to fully pay for the Business Booster Technology. Source of funding can be not only income of a company where management tools are planned to be implemented. Usually an owner has an opportunity to finance the Technology from other sources. For example, funding may come from other businesses, personal reserves of an owner, through investors and otherwise.

When there are no alternative sources for financing, income which is too low or there is a possibility of its reduction creates a threat to introduction of the management tools. If during the program the income reduces, we will not be able to produce the product.

Clients like this come to us from time to time, they want to introduce the management tools to solve a problem with company's income. But introduction of the tools does not provide a quick solution to income problems. Management tools do help to increase the income, but only when the product is competitive and the market condition is acceptable.

Sufficient condition for use of the Technology is that the owner has enough funds for the development of a company. Development is understood as payment of the full cost of Technology, hire of personnel, promotion costs and other expenses necessary in the process of Technology adaptation that can be evaluated at the research stage.

 

3. Owner’s personal motivation to development

This factor is often decisive when the owner has to break through existing difficulties in order to succeed in implementation of the management tools.

The owner must clearly understand that all changes that Technology helps to introduce to a company, first of all is needed to the owner herself/himself. It is his/her willingness to act, desire to change things for the better and succeed must be demonstrated during the program. That means that a client is willing to hire and train staff, invest in promotion, timely implement recommendations on adaptation and do everything to break through the difficulties. The desire to act must be strong enough to make the owner really work and act without additional pressure.

Participant with low motivation will not break through this program, will not implement even the first module.

 

4. Computer competence

Business Booster Technology does not provide for a training in use of social networks, internet, browser and e-mail and messengers. Therewith, these skills are required to past the program. Participants of our program are people with sufficient computer competence.

 

5. Owner’s trainability

It is important that the owner will be trainable, meaning the he/she reds, does not object a training, agrees with specialists, values professionalism and/or sends its employees to undergo training programs. 

A perfect picture is when the owner is interested in management and understands that in this filed she/he does not have a sufficient competence and ready to receive information and work such information through. Previously she/he had an experience in applying something that she/he read or heard. Such person usually tries to practically and successfully apply recommendations of friends and experts.

 

6. Company’s owner and key employees are fluent in Technology provision language.

Business Booster Technology is provided in Russian language. Licensor shall be find out whether Licensee and its key employees understand material and language is not a burden in implementation of the management tools.

 

7. Communicability

Business Booster Technology does not include communication training for the owner, we cannot influence her/his communication skills, which are basic management tool. Without the ability to create mutual understanding the owner will not be able to smoothly implement management tools, risk of losing key employees in the process of adaptation of Technology is very large. When the business owner has an ability to create understanding with people it allows her/him to change the point of view of employees without suppressing them, meaning that they make rational arguments and insist on receiving rational arguments in return. In this case, the owner decides every problem with employees by communicating with them.

 

8. Ability to get owner’s orders done

This is another ability that is a basic management skill, namely, an ability to influence people, put pressure so that people would start working. Any leader shall be able to put pressure, but not any leader has this ability. This ability can be trained, but Business Booster Technology does not provide such training. Should the owner not have this ability, employees do not listen to the owner and can impede owner’s initiatives. We will not consider reasons for this, but it is important to note the should the owner not be able to get its orders dine, the owner will be stuck in the program and will not be able to fully and effectively implement the Technology that will lead to a non-receipt of the desired product.

 

9. There full-time employees in the business

In the business field the owner wants to systematize should be at least 3 administrative employees. One of them must be responsible for sales, second for finance and third for provision/production. Owner without any subordinate employees cannot implement practical recommendations.

 

NOTES:

1. Licensor shall not be liable for company’s financial indicators both during and after the program. Growth and reduction of financial performance is conditions by effort put by the owners within the program. However, statistics shows increase of financial indicators averagely for 30-500%.

1. Licensor shall not be liable for amount of time that owner of the business spends to operational activity. This depends from efficiency of delegating executive and managerial functions. However, statistics shows that following the program owner’s involvement in operational activity reduced for 4-5 hours.

 

By signing these Conditions Licensee shall accept and understand that lack of particular initial parameters (described above) may result in non-receipt of the desired product from use of Business Booster Technology.

BOOTCAMP is a preparatory module that consists of 4 parts:

0.1. How to organize work with orders

It will help you to organize work with orders in such a way that it will raise your profile and influence in company and increase executive discipline among your employees.

0.2. How to get acts together

Dedicated to restoration of your creative abilities. Creativity depends on amount of your free attention. Simple recommendations on how to free your attention and clear-out your affairs!

0.3. Responsibility of employees and your spare time

Directors have a habit that consumes their time and reduces responsibility of employees. It’s so called “Superman’s habit” to solve all problems in the company. When the owner worked alone, this habit made the company successfull. When subordinates appeared, this habit began to stop company’s growth.

You will get a tool that will change this situation. You will spend less time making important daily decisions, as you will begin to receive a prepared action plan from your subordinates instead of unsolved problems.

0.4. Agreement with co-owners

For those who have business partners or who plan to introduce partners to the business. It describes functions of the owner, laws of leadership, matter of agreement among the co-owners regarding who is in charge and what is the role of each owners. You will receive an effective master agreement for business co-founders, which you can amend as you need and sign with partners.

The main purpose of BOOTCAMP  - part of the Business Booster program that helps to:

That’s where you start to introduce main management tools. In order to do this, you shall develop regulations on use of the organizational scheme and conduct a introduction training on the organizational scheme, and also agree a plan for task sharing with all employees involved in this plan.

2.2. Delegation

This part of the Technology is made in such a way for you to transfer some of your responsibilities regarding operational functions to specific managers who will take responsibility for such functions. And if future heads of departments are overloaded with other tasks, then in order to take responsibility for the departments, they delegate part of the functions that no longer belong to their zone of responsibility.

You will learn how to describe delegated work so that employees can do it effectively  and without your participation. You will learn how to properly delegate work so that it is properly performed.

2.3. Hire and introduction to official duties

Technology of hire is especially required when there are no employees in the company’s team who are ready to take responsibility for one of key functions in the company. Then such employee should be found and introduced to his/her official duties. 

Moreover, this technology of hire will allow you to create or enhance company’s system of hire.

2.3.1. Hire

You will learn about narrow places in hire and danger of such places for owner. You will learn how to prepare for a hire. You will learn to properly work with candidates so that you hire actual professional and not a wannabe. You will learn how to establish a hire system so it would provide for high-class goal-oriented employees.

2.3.2. Technology of introduction to official duties and carrying out a trial-period.

You will understand special features of a trial period, namely, how to carry it out and how and when to end it. You will learn to plan and control production of the end product by each employee at the first days of his/her work.

Module 3

Management system

3.1. Introduction of system of statistics

This part of technology is dedicated to development of extended company’s statistics that represents actual situation in your company.

You will develop and implement statistics for all departments of your company and will organize maintenance of statistics by employees. You will get a statistic reference book and you will learn to instruct employees on how to properly maintain such reference books. You will always see the result of each employee’s performance and all performance indicators “in digits”.

3.2. Operative planning. Regular activity is when statistics grows constantly. Such growth is provided by plans containing proper actions. How to cause grows of statistics and actively influence company’s activity using such plans. How to develop a system of operating planning.

Each employee will start to determine a clear action plan that will result in implementation of his/her personal plan and achievement of company’s goals. Head will follow priorities of each employee and will get a chance to adjust these priorities. Plans of all employees shall be controlled, no task shall be kept in head. All employees and heads will begin to prepare plans on a weekly basis, approve such plans with their teams and report by presenting particular results of his/her work.

3.3. System of written communication. What is the system of written communication and what does it consist of. What problems exist in written communication that have already became regular for modern business. Why system of written communication should be introduced before the system of briefings and meetings, and what should be done for introduction of such system.

3.4. System of briefings and meetings (coordination council and management council)

System of briefings and meetings shall free your company from conflicts between sub-departments and will help to organize effective team interaction.

3.4.1. Coordination council

You will learn about what coordination is, what types of coordination are required and who is in charge of coordination, under which Regulation coordination councils are operated, what tasks coordination council solve and how much time such councils should take. What is the role played by coordination in company’s management. How not to waste time for needless talks and make a coordination efficient.

You establish a smooth interaction inside the company, all actions of employees in the department are approved and aimed at achievement of a final result.

3.4.2 Coordination of heads (management councils). You will get a technology of briefing holding in such a manner so as to guarantee the fulfillment of tasks. You will learn important principles for motivating heads at such briefings. Heads will begin to come to you with actual results in digits and offer ready-made solutions to problems that you will approve or send for revision.

You will also learn how to effectively conduct meetings and coordination online from any place in the world and will be able to control your company remotely.

3.5. Introduction of financial planning

3.5.1 Preparation for introduction of financial planning. Financial planning holds all your management tools together like glue. You can develop a financial management system in your company. The financial field will become solid and transparent.

3.5.2 Preparation of the financial department. You will learn: principle of the invoice split, procedure for the weekly approval of costs, creation of reserves.

3.5.3 Introduction of financial planning. Your employees will become interested in increasing profits and reducing costs even more than you. They will be financially responsible.

3.5.4 This course is aimed to support the operation of the management system. You describe procedure of the management meetings, assess the income situation. You will implement an investment approach to expenses and start investing in resources that bring the greatest return.

Marketing and Sales 

4.1. Sales

After introduction of the main management tools we will upgrade company’s marketing and sales. Regardless of what level the Sales Department you have, you will receive information on how to upgrade efficiency of your Sales Department.

You will get a technology to increase conversions for sale. You will improve control over sales technology. You will get a detailed description of a perfect head of the Sales Department. 

You will learn how to control head of the Sales Department. If you do not have the Sales Department, we will provide you with an efficient technology on how to start it. You will learn how to hire salesmen efficiently.

4.2. Marketing

We will provide you with technology of efficient package. Should your product be packed properly, we will establish a step-by-step technology on how to package your product.

We will choose one product or main service and will get a described marketing package of your products, namely, main meanings and target audience.

You can transfer this marketing package to your contractors that will work with your product more efficiently.

to License Agreement
 
Conditions for successful adaptation of Business Booster Technology
 

Main objective of the Business Booster Technology is to increase management efficiency of company through introduction of management tools and marketing.
 
These Conditions are intended to be fully understood by Licensee and Licensor of the initial data for successful adaptation of the Business Booster Technology in the Licensee enterprise.
Initial data for adaptation are the parameters of enterprise/Main representative that represent that the project can be implemented successfully.
 
For the purposes of this Appendix words “client”, “owner” and “holder” are synonymous and correspond to a concept of the Main Representative in paragraph 1.8. of the Agreement.
Below initial data for adaptation is stated which shows that a client is able to fully master the Technology and get the product for which it paid. Licensees that do not have these initial data probably will not be able to fully implement the Technology to their business and will not receive the result desired.


1.Client shall have an authority to set goals

 

If it is a single owner of the company and there are no co-owners, it is required that he /she has an authority to make her/his orders be carried out by managers at all levels. If there are several co-owners in a company, then one of them must have authority over the others. Such person is a goal setter and determines development of a company.
It shall also be understood that a spouse of the company’s owner, although not being a co-owner from a legal point of view, nevertheless owns half of assets acquired in the marriage. Therefore, very often a spouse is actually a co-owner. Also there is a situation when family members are not co-owners legally, but in fact are co-owners. Therefore, spouse and family members must always be considered as co-owners in terms of whether he goal-setter has a control over them. Besides, sometimes a part of company’s profits is received by someone who is not formally a co-owner, but in fact is, namely, investors, key employees or someone else. In terms of implementing management tools, they all are co-owners. For example, in one of the projects we found out that part of the profit is received by a consultant psychologist who is friendly with the owner and provides him/her with psychological support. In the process of implementing the tools it turned out that this is not a support, but a serious influence, and until this influence was eliminated, it was impossible to implement the tools. Because we did not find it out timely, lots of effort were in vain, and the project was never completed.
One of apparent symptoms that the goal setter does not have an authority is explicit or hidden disagreements among co-owners. For example, there are two co-owners in a company, they have divided their responsibilities very accurately and they never interfere in each other’s affairs, they do not communicate and do not coordinate their actions, it may seem that everything is great, but actually there is no authority in this company, instead there is a “cold war”. It looks very social, but an attempt to introduce management tools in such company would lead to imbalance in this “cold war”, a situation will escalate and cause harm to a company.
Same example is a company where a husband is the goal-setter, but all financial issues are settled by a wife, not allowing a husband into this area. Formally, everything looks very acceptable, but when trying to implement a financial planning or somehow change a financial scheme disputes will arise that will cause problems to the Company. We do not provide Business Booster Technology to companies where official or hidden co-owners have disputes to people with authority. We work only with the goal-setters.
 
2. You have money to invest in company’s development  


This criterion shows the owner’s ability to fully pay for the Business Booster Technology. Source of funding can be not only income of a company where management tools are planned to be implemented. Usually an owner has an opportunity to finance the Technology from other sources. For example, funding may come from other businesses, personal reserves of an owner, through investors and otherwise.
When there are no alternative sources for financing, income which is too low or there is a possibility of its reduction creates a threat to introduction of the management tools. If during the program the income reduces, we will not be able to produce the product.
Clients like this come to us from time to time, they want to introduce the management tools to solve a problem with company's income. But introduction of the tools does not provide a quick solution to income problems. Management tools do help to increase the income, but only when the product is competitive and the market condition is acceptable.
Sufficient condition for use of the Technology is that the owner has enough funds for the development of a company. Development is understood as payment of the full cost of Technology, hire of personnel, promotion costs and other expenses necessary in the process of Technology adaptation that can be evaluated at the research stage.
 
3. Owner’s personal motivation to development


This factor is often decisive when the owner has to break through existing difficulties in order to succeed in implementation of the management tools.
The owner must clearly understand that all changes that Technology helps to introduce to a company, first of all is needed to the owner herself/himself. It is his/her willingness to act, desire to change things for the better and succeed must be demonstrated during the program. That means that a client is willing to hire and train staff, invest in promotion, timely implement recommendations on adaptation and do everything to break through the difficulties. The desire to act must be strong enough to make the owner really work and act without additional pressure.
Participant with low motivation will not break through this program, will not implement even the first module.
 

4. Computer competence

Business Booster Technology does not provide for a training in use of social networks, internet, browser and e-mail and messengers. Therewith, these skills are required to past the program. Participants of our program are people with sufficient computer competence.
 
5. Owner’s trainability


It is important that the owner will be trainable, meaning the he/she reds, does not object a training, agrees with specialists, values professionalism and/or sends its employees to undergo training programs. 
A perfect picture is when the owner is interested in management and understands that in this filed she/he does not have a sufficient competence and ready to receive information and work such information through. Previously she/he had an experience in applying something that she/he read or heard. Such person usually tries to practically and successfully apply recommendations of friends and experts.
 

6. Company’s owner and key employees are fluent in Technology provision language.


Business Booster Technology is provided in Russian language. Licensor shall be find out whether Licensee and its key employees understand material and language is not a burden in implementation of the management tools.
 
7. Communicability

Business Booster Technology does not include communication training for the owner, we cannot influence her/his communication skills, which are basic management tool. Without the ability to create mutual understanding the owner will not be able to smoothly implement management tools, risk of losing key employees in the process of adaptation of Technology is very large. When the business owner has an ability to create understanding with people it allows her/him to change the point of view of employees without suppressing them, meaning that they make rational arguments and insist on receiving rational arguments in return. In this case, the owner decides every problem with employees by communicating with them.
 

8. Ability to get owner’s orders done

This is another ability that is a basic management skill, namely, an ability to influence people, put pressure so that people would start working. Any leader shall be able to put pressure, but not any leader has this ability. This ability can be trained, but Business Booster Technology does not provide such training. Should the owner not have this ability, employees do not listen to the owner and can impede owner’s initiatives. We will not consider reasons for this, but it is important to note the should the owner not be able to get its orders dine, the owner will be stuck in the program and will not be able to fully and effectively implement the Technology that will lead to a non-receipt of the desired product.
 

9. There full-time employees in the business

In the business field the owner wants to systematize should be at least 3 administrative employees. One of them must be responsible for sales, second for finance and third for provision/production. Owner without any subordinate employees cannot implement practical recommendations.


 
NOTES:

1. Licensor shall not be liable for company’s financial indicators both during and after the program. Growth and reduction of financial performance is conditions by effort put by the owners within the program. However, statistics shows increase of financial indicators averagely for 30-500%.
1. Licensor shall not be liable for amount of time that owner of the business spends to operational activity. This depends from efficiency of delegating executive and managerial functions. However, statistics shows that following the program owner’s involvement in operational activity reduced for 4-5 hours.
 

By signing these Conditions Licensee shall accept and understand that lack of particular initial parameters (described above) may result in non-receipt of the desired product from use of Business Booster Technology.

BOOTCAMP is a preparatory module that consists of 4 parts:

0.2. How to get acts together


Dedicated to restoration of your creative abilities. Creativity depends on amount of your free attention. Simple recommendations on how to free your attention and clear-out your affairs!


0.3. Responsibility of employees and your spare time


Directors have a habit that consumes their time and reduces responsibility of employees. It’s so called “Superman’s habit” to solve all problems in the company. When the owner worked alone, this habit made the company successfull. When subordinates appeared, this habit began to stop company’s growth.

You will get a tool that will change this situation. You will spend less time making important daily decisions, as you will begin to receive a prepared action plan from your subordinates instead of unsolved problems.


0.4. Agreement with co-owners


For those who have business partners or who plan to introduce partners to the business. It describes functions of the owner, laws of leadership, matter of agreement among the co-owners regarding who is in charge and what is the role of each owners. You will receive an effective master agreement for business co-founders, which you can amend as you need and sign with partners.


The main purpose of BOOTCAMP  - part of the Business Booster program that helps to:

- Determine whether the company and the owner can complete the Business Booster program.

- To put things in order and deal with overloads so that incomplete cycles do not distract from urgent tasks.

- Introduce a system for submitting requests from employees so that they bring ready-made results for solving problems, rather than delegate such problems to the director.
