Порядок заключения Соглашения

 

1. Текст Соглашения, постоянно размещенный в сети Интернет по адресу: https://my.bbooster.online/ofe... и доступный на Сайте, содержит все существенные условия Соглашения и является предложением Visotsky Consulting Inc. заключить Соглашение на указанных в тексте условиях с любым полностью дееспособным лицом. Текст Соглашения является публичной офертой.
 
2. До заключения акцепта клиенту необходимо заполнить Заявку-Анкету и получить её одобрение от Visotsky Consulting Inc.; в подтверждение одобрения Заявки- Анкеты Visotsky Consulting Inc. направляет Клиенту Коммерческое предложение, при этом до момента одобрения Заявки-Анкеты Visotsky Consulting Inc. имеет право без объяснения и наличия каких-либо причин направить Клиенту уведомление об отказе в одобрении Заявки-Анкеты Клиента.


3. Надлежащим акцептом Клиентом настоящей оферты (Соглашения) считается оплата Клиентом Лицензии на основании предоставленного Коммерческого предложения.

 

НАСТОЯЩИЙ ДОГОВОР

между
Visotsky Consulting Inc. (315 W 36th Street, NYC, NY, 10018) зарегистрированная в качестве юридического лица в соответствии с законодательством штата Нью-Йорк, США, в лице Александра Высоцкого (в дальнейшем именуемая как «ЛИЦЕНЗИАР»)
 и
любым лицом надлежащим образом акцептовавшим Соглашение (далее именуемое «ЛИЦЕНЗИАТ»).

Принимая во внимание что: 

ЛИЦЕНЗИАР является владельцем и разработчиком определенных методов, процессов, информации используемых для создания Технологии для использования в целях повышения эффективности бизнеса;
и Поскольку, такие методы и процессы, представляют собой коммерческую тайну и имущественные активы ЛИЦЕНЗИАРА;
и Поскольку ЛИЦЕНЗИАР желает предоставить ЛИЦЕНЗИАТУ неисключительную лицензию на секрет производства (ноу-хау) ЛИЦЕНЗИАРА;
и ПОСКОЛЬКУ ЛИЦЕНЗИАТ желает получить неисключительную лицензию на использование методов, процессов, информации являющиеся секретом производства ЛИЦЕНЗИАРА;
и ПОСКОЛЬКУ ЛИЦЕНЗИАР готов предоставить ЛИЦЕНЗИАТУ такую лицензию на условиях, изложенных ниже.
ТЕПЕРЬ, ПОЭТОМУ, принимая во внимание обещания и соглашения, изложенные в настоящем документе, стороны, каждая из которых намеревается быть юридически связанными настоящим, соглашаются о нижеследующем:


1. ТЕРМИНЫ И ОПРЕДЕЛЕНИЯ 

1.1. Секрет производства (ноу-хау) - по настоящему Договору это сведения любого характера (производственные, технические, экономические, организационные и другие), которые собраны Лицензиаром в процессе предпринимательской деятельности в сфере систематизации и повышения эффективности ведения бизнеса и которые имеют действительную или потенциальную коммерческую ценность в силу неизвестности их третьим лицам, к которым у третьих лиц нет свободного доступа на законном основании и в отношении которых Лицензиаром введен режим коммерческой тайны.
1.1.1. Сведения любого характера - в настоящем Договоре это принадлежащая Лицензиару Технология Business Booster (Далее “Технология”) выраженная, но не исключительно: в системе правил, рекомендаций, схем, знаний, интеллектуальных решений, вне зависимости от их формы выражения, которая передается Лицензиаром Лицензиату.
1.2. Коммерческая тайна - режим конфиденциальности информации, позволяющий ее обладателю при существующих или возможных обстоятельствах увеличить доходы, избежать неоправданных расходов, сохранить положение на рынке товаров, работ, услуг или получить иную коммерческую выгоду. 
1.3. Неисключительная лицензия - предоставленное Лицензиату право использования Секрета производства (ноу- хау), с сохранением за Лицензиаром права выдачи лицензий другим лицам.
1.4. Материалы - результаты интеллектуальной деятельности (произведения науки, аудиовизуальные произведения, в том числе видеолекции, тесты, домашние задания, текстовые, графические материалы, программные средства и любые иные материалы), информационные и иные материалы, составляющие содержание Технологии. 
1.5. Платформа - программная среда в рамках которой осуществляется предоставление Материалов, расположенная в сети Интернет в пределах доменной зоны https://my.bbooster.online;
1.6. Личный кабинет - совокупность защищенных страниц, располагающаяся на Платформе: https://my.bbooster.online, используя которые Лицензиат имеет возможность получать доступ к Материалам и проводимым в рамках Тарифа мероприятия. Доступ к Личному Кабинету осуществляется по учетным данным (логину паролю), указанным Лицензиатом при регистрации на Платформе; 
1.7. Анкета-Заявка - уведомление Клиента о намерении заключить Договор, а также ответы Клиента на вопросы Заявки-Анкеты. Заявка-Анкета рассматривается и подлежит утверждению Лицензиаром.
1.8. Представитель Лицензиата - владелец компании, которого совладельцы по обоюдному решению посчитали основным представителем. Представитель является получателем Технологии.
1.9 Тариф -  совокупность Материалов и прочих результатов интеллектуальной деятельности, права на которые передаются по настоящему Договору. Перечень тарифов и их описание расположены в сети Интернет по адресу: https://my.bbooster.online/program#price


2. ПРЕДМЕТ ДОГОВОРА

2.1. По настоящему Договору Лицензиар предоставляет Лицензиату за вознаграждение и на указанный в Договоре срок право на использование (неисключительная лицензия) в предпринимательской деятельности Лицензиата Секрета производства (ноу-хау) (Далее “Технология Business Booster”), при помощи которого Лицензиат намерен систематизировать имеющийся бизнес с целью повышения его эффективности, увеличения прибыли, уменьшения операционных временных затрат собственника.
2.2. В состав Технологии Business Booster, права на использование которой передаются в соответствии с п.2.1 настоящего Договора, входят следующие Материалы:
2.2.1. Видеоуроки, видео мастер-классы.
2.2.2. Пошаговые программы действий (включая программу по внедрению финансового планирования);
2.2.3. Организующая схема под вид бизнеса Лицензиата;
2.2.4. Готовые шаблоны регламентов, инструкций, политик (включая пошаговые инструкции для организации координаций персонала в форме советов и собраний, организации письменной системы коммуникации компании, внедрению статистик постов и описание должностей);
2.2.5. Подробно Состав и порядок предоставления Технологии Business Booster описаны в Приложении №2
2.3. Лицензия, выдаваемая Лицензиату по настоящему Договору, является неисключительной, т.е. за Лицензиаром сохраняется право выдачи лицензий другим лицам, а также самостоятельного использования и применения ноу-хау в своей деятельности.
2.4. Лицензия по настоящему Договору выдается Лицензиату для адаптации в 1 (одном) бизнес направлении Лицензиата. В случае, если Лицензиат пожелает использовать Технологию Business Booster в более 1 (одном) бизнес направлении, Стороны договорились заключить об этом отдельный договор, либо дополнительное соглашение к настоящему Договору, в котором будут согласованы стоимость и условия предоставления Технологии. Лицензиар не ограничивает Лицензиата в использовании приобретенных навыков и умений после окончания сроков действия лицензии, полученных в результате изучения (применения) Технологии. 
2.5. Настоящий Договор вступает в силу с момента подписания Сторонами.
2.6. Лицензия по настоящему Договору выдается сроком на 1 год с момента предоставления доступа к Материалам в соответствии с пунктом 4.6. Договора. По соглашению Сторон срок предоставления неисключительной лицензии может быть изменен на условиях, согласованных в дополнительном соглашении.
2.7. Право на Технологию Business Booster реализуется посредством предоставления доступа к Материалам и признания правомерности использования в объеме и с ограничениями, установленными Договором.
2.8. Лицензиат ознакомлен и принимает “Условия успешной адаптации Технологии Business Booster”, изложенные в Приложении № 1 к настоящему Договору.


3. ПРАВА И ОБЯЗАННОСТИ СТОРОН

3.1. Лицензиар обязан:
3.1.1. После получения оплаты вознаграждения, предусмотренного п. 5.2 настоящего Договора, предоставить Лицензиату технологический доступ к Материалам, которые необходимы Лицензиату для осуществления прав, предоставленных ему по настоящему Договору.
3.1.2. В течение срока действия настоящего Договора посредством электронной почты, платформы, голосового сопровождения оказывать поддержку Лицензиату по вопросу исполнения настоящего Договора.
Лицензиар вправе изменять форму и содержание указанной поддержки таким образом, чтобы помочь Лицензиату наиболее оптимальным способом внедрить Технологию Business Booster в своем бизнесе;
3.1.3. Произвести проверку полноты и правильности внедрения и применения Лицензиатом на своем предприятии инструментов управления (Технологии Business Booster).
3.2. Лицензиат вправе:
3.2.1. Использовать Секрет производства (ноу-хау) в своей деятельности;
3.2.2. Заключать с компаниями-партнерами Лицензиара договоры о содействии в адаптации Технологии в бизнесе Лицензиата;
3.2.3. Получать разъяснения по всей информации, содержащейся в выдаваемых Лицензиаром материалах, а также относительно методики внедрения инструментов управления на предприятии Лицензиата.
3.3. Лицензиат обязуется:
3.3.1. Не разглашать Секрет производства (ноу-хау) Лицензиара и другую полученную от него конфиденциальную информацию. В целях настоящего пункта под “разглашением” стороны определяют следующее: передавать третьим лицам и/или  публично показывать  аудио, видео, текстовые Материалы либо  предоставлять  доступ к Платформе.
При этом не является разглашением предоставление информации лицам, указанным в п. 4.2. и  уполномоченным сотрудникам Лицензиата, если это напрямую предусмотрено “Технологией”.
3.3.2. Выплатить вознаграждение Лицензиару за право на неисключительную Лицензию в порядке и сроки, предусмотренные настоящим Договором.
3.3.3. Использовать Технологию в соответствии с условиями настоящего Договора.
3.3.4. Оказывать Лицензиару содействие в выявлении лиц, неправомерно использующих результаты интеллектуальной деятельности и средства индивидуализации Лицензиара: товарный знак (знак обслуживания) «Business Booster» либо фирменное наименование Лицензиара без правовых оснований, Секрет производства (ноу-хау) “Технология Business Booster”, а также предпринимать действия, необходимые для прекращения незаконного использования третьими лицами товарного знака Лицензиара.
3.3.5 Лицензиат обязуется внедрять Технологию Business Booster в том порядке и в те сроки, которые указаны в каждом составном модуле Технологии. 
Представитель Лицензиата обязуется посещать все мероприятия направленные на передачу и адаптацию Технологии лично, своевременно и в полном объеме выполнять все Программы действий, своевременно и в полном объеме отчитываться о выполнении Программ действий по форме, установленной Лицензиаром и размещенной в Личном кабинете (и/или на Платформе), либо направленной по адресу электронной почты Лицензиата или любым иным способом, доведенным до сведения Лицензиата.
Нарушение данных условий дает Лицензиару право отказаться от гарантий успешного внедрения Технологии в бизнесе Лицензиата за время действия настоящего Договора.
3.4. Лицензиат не вправе:
3.4.1. Заключать сублицензионные, либо любые иные гражданско-правовые сделки, договоры аренды, передачи, либо любого иного отчуждения права на Секрет производства (ноу-хау), предоставленное Лицензиату в рамках настоящего Договора в пользу третьих лиц, за исключением договоров, указанных в п. 3.2.2.
3.4.2. Осуществлять предпринимательскую деятельность направленную на оказание консультаций в любом виде третьим лицам с использованием Секрета производства (ноу-хау) - Материалов технологии, создавать копии Сайта, Платформы, Материалов, Интеллектуальной собственности, а также копировать их внешнее оформление (дизайн). В целях настоящего пункта термин “использовать” стороны определяют в следующем смысле: передавать путем продажи или иного отчуждения (возмездного и/или безвозмездного), публичного показа, доведения до всеобщего сведения аудио, видео, текстовых Материалов, предоставления доступа к Материалам.
3.4.3. Обходить технические ограничения, установленные на Сайте, Платформе и в Личном кабинете;
3.4.4. Декомпилировать или дизассемблировать Сайт. Платформу, Личный кабинет, Материалы, Интеллектуальную собственность;
3.4.5. Создавать копии Сайта, Платформы, Материалов, Интеллектуальной собственности, а также копировать их внешнее оформление (дизайн);
3.4.6 Изменять Сайт, Платформу совершать действия, направленные на изменение функционирования и работоспособности Сайта, Платформы
3.4.7 Скачивать видеоматериалы размещенные на Платформе и в Личном кабинете.
3.4.8. Заключать без согласия Лицензиара в период действия настоящего Договора с третьими лицами договоры, предусматривающие предоставление Лицензиату консультационных услуг по проблематике управления организацией.
3.4.9. Распространять недостоверную, порочащую либо наносящую вред деловой репутации Лицензиара информацию о Лицензиаре и/или о Технологии Business Booster, любым способом, включая, без ограничений, посредством сети Интернет, в социальных сетях, посредством любого рода рассылок.
3.5. Стороны обязуются:
3.5.1. Соблюдать все взаимные обязательства, принятые на себя настоящим Договором.


4. ПРЕДОСТАВЛЕНИЕ ДОСТУПА 

4.1. Доступ к Материалам осуществляется посредствам Платформы.
4.2. Представитель Лицензиата для получения полного доступа к платформе и передачи Технологии:

4.3. Лицензиар высылает электронное письмо, на адрес указанный в п. 4.2 с параметрами аутентификации к Платформе.
4.4. Использование параметров аутентификации (пары логин/пароль) иными, чем указаны в п. 4.2. лицами является фактом разглашения конфиденциальной информации.
4.5. Обязательства Лицензиара считаются полностью выполненными с момента получения Клиентом Технологии по всем модулям в рамках настоящего Договора, и в любом случае Технология считается полностью передана и принятыми по истечении 12 (двенадцати) календарных месяцев с даты предоставления доступа.
4.6. Датой предоставления доступа к материалам Технологии считается дата открытия доступа к первому модулю Технологии на основании данных Платформы.
4.7. До момента предоставления доступа, Лицензиат обязан предоставить Анкету joinbbooster на каждого представителя, а также полные и достоверные ответы на дополнительные вопросы Лицензиара, в случае их наличия.
4.8. Лицензиар вправе ограничить доступ Лицензиата к Платформе в случаях:
(а) нарушения Лицензиатом сроков оплаты, установленных в п. 5 Договора;
(б) нарушения Лицензиатом условий использования Технологии;
(в) нарушения Лицензиатом любого из условий настоящего Договора
4.9. Ограничения доступа к Платформе, установленные в п. 4.5 Договора, не являются основанием для изменение сроков предоставление лицензии.


5. РАЗМЕР, СРОКИ И ПОРЯДОК УПЛАТЫ ЛИЦЕНЗИОННОГО ВОЗНАГРАЖДЕНИЯ

5.1.   Размер вознаграждения за предоставление неисключительной лицензии  определяется на основании согласованного Условия участия, после утверждения Заявки-Анкеты.
5.2. При просрочке оплаты, исчисленной с учетом скидки, Лицензиат утрачивает право на получение скидки и обязуется уплатить полную стоимость Договора на условиях, установленных Условием участия.
Уплаченные Клиентом на момент его лишения скидки денежные средства не возвращаются, а зачитываются в счет внесения будущих платежей.
5.3. Размер вознаграждения рассчитан исходя из двенадцатимесячного срока передачи лицензии. В случае, если по причинам, зависящим от Лицензиата срок передачи лицензии превысит 12 месяцев, то Лицензиат может продлить  Плата за продление (свыше 12 мес.) $800 за полный месяц.


6. ОБЕСПЕЧЕНИЕ КОНФИДЕНЦИАЛЬНОСТИ

6.1. Лицензиат настоящим признает, что Технология и прочая Конфиденциальная информация является собственностью Лицензиара и представляет собой ценный актив за счет того, что такая информация не является общедоступной. При несанкционированном разглашении или использовании любой Конфиденциальной информации Лицензиат возмещает Лицензиару все понесенные убытки.
6.2. Лицензиат гарантирует сохранение конфиденциальности документации, информации, знаний и опыта, составляющие Секрет производства (ноу-хау) полученных от Лицензиара.
6.3. Лицензиат гарантирует, что с полученной документацией и информацией будут ознакомлены только те лица из персонала Лицензиата, которые непосредственно связаны с применением Технологии Business Booster и указаны в п. 4.2. Договора.
6.4. В случае нарушения Лицензиатом п. 3.3.1 настоящего договора  Лицензиат обязан выплатить Лицензиару штраф в размере суммы кратной стоимости настоящего договора.
6.5.  В случае нарушения Лицензиатом пп. 3.4.1, 3.4.2 Лицензиат обязан выплатить  Лицензиару штраф  в размере пятикратной стоимости настоящего договора
6.6. Лицензиар принимает необходимые и достаточные правовые, организационные и технические меры для защиты конфиденциальной информации и персональных данных Лицензиата (представителя Лицензиата). При этом Лицензиат, подписывая настоящий Договор, выражает свое согласие на осуществление Лицензиаром обработки (сбора, систематизации, накопления, хранения, уточнения (обновления, изменения), использования, распространения (в том числе передачи), обезличивания, блокирования и уничтожения), в том числе автоматизированной, персональных данных представителей Лицензиата, указанных в настоящем Договоре, а также которые сообщены или будут дополнительно сообщены в течение срока действия настоящего Договора иным образом в целях заключения и надлежащего исполнения настоящего Договора, сообщения Лицензиаром Лицензиату (представителю Лицензиата) сведений информационно-рекламного характера. 
6.7. В течение срока действия настоящего договора и в течение пяти лет после его окончания каждая Сторона обязуется не раскрывать без предварительного письменного согласия другой Стороны любые конфиденциальные сведения, полученные от раскрывающей Стороны. 
Стороны могут заключить соглашение о соблюдении режима коммерческой тайны при исполнении настоящего договора.

7. ГАРАНТИИ И ОТВЕТСТВЕННОСТЬ

7.1. Лицензиар не предоставляет программные средства (в том числе системные) для отображения Сайта, Платформы, Личного кабинета и Пакета Услуг на устройстве Клиента. Такие программные средства Клиент приобретает и/или устанавливает на свое устройство самостоятельно.
7.2. В соответствии с Технологией внедрение инструментов управления происходит через владельца бизнеса. Это позволяет ему сохранить полный контроль над своим бизнесом, усиливать свой авторитет перед командой и успешно управлять выстроенной системой после окончания внедрения. Поэтому ответственность за применение инструментов управления и корректную адаптацию Технологии на своем предприятии лежит на Лицензиате. При этом Лицензиар полностью отвечает за применимость Технологии для целей, описанных в п. 2.1 и обязуется обеспечить Лицензиата всеми необходимыми материалами и программой действий, чтобы способствовать успешной адаптации Технологии на его предприятии.
 
7.3. Лицензиар гарантирует, что он имеет законное право предоставлять Секрет производства (ноу- хау), предусмотренный настоящим Договором.
7.4. Сторона, которая не выполнила обязательства настоящего Договора, обязана возместить другой Стороне понесенные ею в связи с этим невыполнением прямые убытки.
7.5. Стороны освобождаются от ответственности за частичное или полное неисполнение обязательств по настоящему Договору, если это неисполнение явилось следствием обстоятельств непреодолимой силы. Под обстоятельствами непреодолимой силы понимаются обстоятельства, возникшие после заключения настоящего Договора в результате событий чрезвычайного характера, которые Стороны не могли ни предвидеть, ни предотвратить разумными мерами.
7.6. Во всех других случаях неисполнения обязательств по Договору Стороны несут ответственность в соответствии с действующим законодательством.

8. ПРИЗНАНИЕ ДОКУМЕНТОВ В ЭЛЕКТРОННОЙ ФОРМЕ

8.1. Настоящим Стороны подтверждают, что при исполнении (подписании, изменении, дополнении, прекращении) Договора, а также при ведении переписки по указанным вопросам, допускается использование аналогов собственноручной подписи Сторон. Стороны подтверждают, что все уведомления, сообщения, соглашения и документы в рамках исполнения Сторонами обязательств, возникших из Договора, подписанные аналогами собственноручной подписи Сторон, имеют юридическую силу и обязательны для исполнения Сторонами. Под аналогами собственноручной подписи понимаются уполномоченные адреса электронной почты и учетные данные к Личному кабинету.
8.2. Стороны признают, что все уведомления, сообщения, соглашения, документы и письма, направленные с использованием уполномоченных адресов электронной почты и Личного кабинета, считаются направленными и подписанными Сторонами, кроме случаев, когда в таких письмах прямо не указано обратное.
8.3. Уполномоченными адресами электронной почты Сторон признаются:
8.3.1. для Лицензиара: support@bbooster.online
8.3.2. для Лицензиата: адрес электронной почты, указанные в Заявке-Анкете и/или в Личном кабинете.
8.4. Стороны обязуются обеспечивать конфиденциальность сведений и информации, необходимых для доступа к уполномоченным адресам электронной почты и Личному кабинету, не допускать разглашение такой информации и передачу третьим лицам. Стороны самостоятельно определяют порядок ограничения доступа к такой информации.
8.5. До момента получения от Лицензиата информации о нарушении режима конфиденциальности, все действия и документы, совершенные и направленные с помощью уполномоченного адреса электронной почты Лицензиата или Личного кабинета, даже если такие действия и документы были совершены и направлены иными лицами, считаются совершенными и направленными Лицензиатом. В этом случае права и обязанности, а также ответственность наступают у Лицензиата.
8.6. До момента получения от Лицензиара информации о нарушения режима конфиденциальности, все действия и документы, совершенные и направленные с помощью уполномоченного адреса электронной почты Лицензиара, даже если такие действия и документы были совершены и направлены иными лицами, считаются совершенными и направленными Лицензиаром.
8.7. Лицензиар вправе уступать права, переводить долги (в том числе привлекать субагентов и субподрядчиков) по всем обязательствам, возникшим из Договора. Настоящим Лицензиат дает свое согласие на уступку прав и перевод долга любым третьим лицам. О состоявшейся уступке прав и/или переводе долга Лицензиар информирует Лицензиата.

9. ИНТЕЛЛЕКТУАЛЬНАЯ СОБСТВЕННОСТЬ

9.1. Исключительное право на все объекты Интеллектуальной собственности, в том числе на Материалы, Сайт, Платформу, Личный кабинет элементы дизайна, тексты, программы и т.п. принадлежит Лицензиару и иным третьим лицам, права на использование интеллектуальной собственности которых приобретаются Лицензиаром. Лицензиар гарантирует, что он имеет законное право предоставлять Секрет производства (ноу- хау), предусмотренный настоящим Договором.
9.1.1. Используя Материалы, Сайт, Платформу, Личный кабинет и иную Интеллектуальную собственность, Лицензиат признает и соглашается с тем, что все содержимое Материалов, Сайта, Платформы, Личного кабинета и иной Интеллектуальной собственности защищены авторским правом, правом на товарный знак и другими правами на результаты интеллектуальной деятельности, и что указанные права являются действительными и охраняются во всех формах, на всех носителях и в отношении всех технологий, как существующих в настоящее время, так и разработанных/созданных впоследствии. Никакие права на любое содержимое Материалов, Сайта, Платформы, Личного кабинета и любые права Интеллектуальной собственности не переходят ни к Лицензиату, ни к представителю Лицензиата в результате заключения настоящего Соглашения. В результате освоения Технологии Лицензиат (представитель Лицензиата) приобретает знания, навыки и опыт, которые может использовать в своей последующей предпринимательской деятельности.
9.2. Представитель Лицензиата, указанный в пункте 4.2. Договора имеет право использовать Материалы и иные объекты Интеллектуальной собственности, к которым получает доступ в рамках Договора, используя Сайт, Платформу и Личный кабинет только в пределах и способом, установленным настоящим Договором.
9.3. Лицензиат (представитель Лицензиата) не имеет право использовать Материалы, а также иные объекты Интеллектуальной собственности, к которым получает доступ, с иными целями, чем это определено в рамках Договора, в том числе Лицензиат не имеет право:
9.3.1. воспроизводить, распространять путем продажи или иного отчуждения, публичного показа, проката, сообщения в эфир, сообщения по кабелю, перевода и/или иной переработки, доведения до всеобщего сведения, иного не разрешенного использования в любой части Материалов и Интеллектуальной собственности, за исключением тех Материалов и информации, которая специально обозначается Лицензиаром, как Материалы и информация, на использование которых Лицензиатом в рамках его бизнеса и освоения Технологии Лицензиар дает согласие в явном виде;
9.3.2. копировать и/или распространять какие-либо составные части Технологии, Материалов и иной Интеллектуальной собственности, в том числе организовывать и любым образом проводить онлайн и офлайн мероприятия аналогичные по тематике тем, которые проводит Лицензиар в рамках оказания Услуг, организовывать и повышать эффективность бизнеса, основанного на тематике Технологии Business Booster;
9.3.3. копировать либо иным образом использовать программную часть Сайта, Платформы.
9.4. При цитировании Материалов, Сайта, Платформы, использовании фрагментов Интеллектуальной собственности в случаях, когда это прямо разрешено Лицензиаром, Лицензиат обязуется указывать ссылку на Сайт и Business Booster.


10. ГАРАНТИИ РЕЗУЛЬТАТА И ВОЗВРАТА СРЕДСТВ

10.1. Лицензиар гарантирует, что все элементы предоставляемой Технологии Business Booster являются практическими, применимыми и позволяют значительно повысить организованность и эффективность бизнеса Лицензиата. 
10.2. Лицензиат имеет право потребовать возврат уплаченных денежных средств в течении 21 дня с момента открытия доступов к платформе согласно п.3.1.1. Для этого Лицензиат направляет соответствующий запрос на адрес электронной почты Лицензиара support@bbooster.online. Лицензиат обязуется в течение не более 5 банковских дней после получения запроса связаться с Лицензиатом для организации процедуры возврата. При этом Лицензиат обязуется дать исчерпывающие данные о причинах принятого решения о возврате с целью улучшения качества и совершенствования Технологии Лицензиара. Лицензиар осуществляет возврат денежных средств Лицензиату в срок не более 15 банковских дней после получения запроса на возврат, за вычетом комиссий банков и уплаченных налогов.


11. СРОК ДЕЙСТВИЯ ДОГОВОРА И УСЛОВИЯ ЕГО РАСТОРЖЕНИЯ

11.1. Настоящий Договор заключен на срок, предусмотренный в п.2.6 настоящего Договора.
11.2. Срок действия настоящего Договора может быть продлен по взаимному согласию Сторон.
11.3. Договор может быть досрочно расторгнут в одностороннем порядке по инициативе Лицензиара в случаях нарушения Лицензиатом пунктов 3.3.1, 3.4 настоящего Договора, при этом Стороны договорились, что все полученное по настоящему Договору Лицензиаром не подлежит возврату Лицензиату, а Лицензиат, в свою очередь, со дня получения уведомления о расторжении настоящего Договора обязан прекратить любое использование Секрета производства (ноу-хау), предоставленное по настоящему Договору.
11.4. Лицензиат имеет право в одностороннем внесудебном порядке отказаться от исполнения настоящего Договора в случае неисполнения Лицензиаром обязательств, предусмотренных п. 3.1.
11.5. Лицензиат вправе расторгнуть договор по своей инициативе, предупредив об этом Лицензиара за 30 календарных дней. Лицензиар не возвращает Лицензиату уплаченные им на дату расторжения Договора денежные средства, являющиеся оплатой фактически предоставленных на дату расторжения Договора Лицензиаром прав и понесенных им расходов по исполнению Договора. Также не возвращаются комиссионные затраты, связанные с самим проведением платежа. Лицензиат прекращает использование Секрета производства и гарантирует сохранение его конфиденциальности.

12. ПРОЧИЕ УСЛОВИЯ

12.1. К отношениям Сторон по тем вопросам, которые не урегулированы или не полностью урегулированы настоящим Договором, применяются нормы действующего законодательства.
12.2. В случае возникновения разночтений или каких-либо несовпадений в смысловом содержании условий настоящего Договора преимуществом обладает текст настоящего Договора на Русском языке.
12.3. В случае возникновения споров между Лицензиаром и Лицензиатом по вопросам, предусмотренным настоящим Договором или в связи с ним, Стороны примут все меры к разрешению их путем переговоров.
12.4. В случае невозможности разрешения спора путем переговоров, он подлежит разрешению в арбитражном суде по месту нахождения ответчика.
12.5. Подписанием настоящего Договора Лицензиат дает свое согласие на  использование отзывов Лицензиата в обезличенном виде без персональных данных   в рекламных целях Лицензиара.

К Лицензионному договору 

Условия успешной адаптации Технологии Business Booster

Главная цель предоставления Технологии Business Booster - это повышение эффективности управления компанией путем внедрения инструментов управления и маркетинга.
Данные Условия предназначены для полного понимания Лицензиатом и Лицензиаром исходных данных для успешной адаптации Технологии Business Booster в компании Лицензиата.
Исходные данные для адаптации - это параметры предприятия/Основного представителя которые показывают, что проект может быть реализован успешно.
Для целей настоящего Приложения - слова "клиент", "собственник", "владелец" являются синонимами и соответствуют понятию Основной представитель в п. 1.8 Договора.
Ниже перечислены исходные данные для адаптации, которые показывают, что клиент, способен полностью освоить Технологию и получить продукт, за который он заплатил. Лицензиаты, не обладающие этими исходными данными, с большой вероятностью не в полном объеме внедрят Технологию в свой бизнес и не получат желаемого результата.

1. Клиент обладает властью постановщика целей

Если владелец компании один, совладельцев нет, необходимо чтобы он имел достаточно власти, чтобы распоряжения выполняли руководители всех уровней. Если в компании несколько совладельцев, то один из них должен обладать властью над остальными. Такой человек является постановщиком целей и определяет ее развитие.
Необходимо также понимать, что супруг(а) владельца компании, хоть и не является совладельцем с юридической точки зрения, тем не менее владеет половиной приобретенных в браке активов. Поэтому очень часто супруг(а) фактически является совладельцем. Также встречается ситуация, когда члены семьи юридически не являются совладельцами, а фактически являются. Поэтому супругу(а) и членов семьи необходимо всегда рассматривать в качестве совладельцев с точки зрения того, имеет ли власть над ними постановщик целей. Кроме того, иногда встречается ситуация, когда часть прибыли компании получает кто-то, кто формально не является совладельцем, но фактически является: инвесторы, ключевые сотрудники или кто-то еще. С точки зрения внедрения инструментов управления все они являются совладельцами. Например, в одном из проектов мы обнаружили, что часть прибыли получает консультант-психолог, который находится в дружеских отношениях с владельцем и оказывает ему психологическую поддержку. В процессе внедрения инструментов оказалось, что это не поддержка, а серьезное влияние, пока это влияние не было устранено, внедрить инструменты было невозможно. Так как мы своевременно это не распознали, потеряли много усилий зря, а проект так и не был завершен.
Одним из ярких симптомов того, что постановщик целей не имеет власти, является наличие явных или скрытых разногласий среди совладельцев. Например, в компании два совладельца, они очень точно разделили обязанности и никогда не вмешиваются в дела друг друга, не общаются, не согласовывают свои действия — может сложиться впечатление, что там все в порядке. Но фактически в этой компании власть отсутствует, вместо этого есть “холодная война”. Выглядит очень социально, но попытка внедрить инструменты управления в такой компании приведет к нарушению равновесия этой “холодной войны”, ситуация обострится и это нанесет вред компании. 
Таким же примером является компания, где муж выполняет функции постановщика целей, но все финансовые вопросы решает жена, не допуская его в эту область. Формально все выглядит очень приемлемо, но при попытке внедрить финансовое планирование или как-то изменить схему работы с финансами возникнут разногласия, которые принесут проблемы компании.
Мы не предоставляем Технологию Business Booster компании, где у официальных или скрытых совладельцев нет согласия с тем, кто обладает властью. Мы работаем только с обладающими властью постановщиками целей.


2. Есть деньги для развития компании

Данный критерий показывает способность владельца оплачивать Технологию Business Booster полностью. Источником финансирования может быть не только доход компании, где планируется внедрение инструментов управления. Как правило у владельца довольно часто есть возможность финансировать Технологию из других источников. Например, финансирование может быть из других бизнесов, личных резервов владельца, с помощью инвесторов и другие. 
В случае, когда альтернативных источников для финансирования развития нет, слишком низкий доход или возможность его падения создает угрозу внедрению инструментов управления. Если в течение программы доход рухнет, мы не сможем произвести свой продукт. 
Время от времени к нам такие клиенты обращаются, они хотят внедрить инструменты управления, чтобы решить проблему с доходом компании. Но внедрение инструментов не дает быстрого решения проблемы с доходом. Инструменты управления действительно способствуют повышению дохода, но только в случае, когда продукт конкурентоспособен и положение дел на рынке приемлемое. 
Достаточным условием для применения Технологии является то, что владелец имеет средства на развитие компании. Под развитием подразумевается оплата полной стоимости Технологии, найм персонала, расходы на продвижение и другие необходимые расходы в процессе адаптации Технологии, которые можно будет оценить на этапе исследования.


3. Личная мотивация владельца к развитию

Этот фактор довольно часто является решающим в случаях, когда владельцу необходимо прорваться через существующие трудности чтобы достичь успеха во внедрении инструментов управления. 
Владелец должен очень четко понимать, что все изменения, которые Технология помогает ему делать в компании, нужны прежде всего самому владельцу. Именно его готовность действовать, собственное желание изменить ситуацию к лучшему и получить победу, должны быть продемонстрированы во время прохождения программы. И это означает, что клиент готов нанимать и обучать персонал, вкладывать деньги в продвижение, вовремя выполнять рекомендации по адаптации и делать все, чтобы прорваться через трудности. Желание действовать должно быть достаточно сильным, чтобы владелец действительно прикладывал усилия и действовал без дополнительного давления со стороны. Участник с низкой мотивацией не прорвется через эту программу, не внедрит первый же модуль.


4. Навыки использования компьютера

Технология Business Booster не предполагает обучение пользованию социальными сетями, интернетом, браузером и электронной почтой, и мессенджерами. При этом эти навыки необходимы для прохождения программы. Участники нашей программы - уверенные компьютерные пользователи.


5. Способность владельца к обучению

Важно, чтобы у владельца было позитивное отношение к обучению — он читает, не возражает против обучения, общается со специалистами, ценит профессионализм и/или отправляет на обучение своих сотрудников. 
Идеальная картина — владелец интересуется управлением, понимает, что в этой области он не полностью компетентен, готов принимать информацию и проверять ее в работе. Ранее у него был опыт в применении знаний, которые он прочитал или услышал. Такой человек обычно пробует применить на практике советы друзей и экспертов и получает результаты. 
Достаточным для успешной адаптации Технологии является то, что состояние здоровья клиента не мешает его работе и длительному обучению, он может концентрировать свое внимание, и у него достаточно сил вынести дополнительную нагрузку в процессе программы.


6. Владелец компании и ключевые сотрудники владеют языком предоставления Технологии

Технология Business Booster предоставляется на русском языке, Лицензиару необходимо убедиться, что Лицензиат и его ключевые сотрудники понимают материал и язык не является для них барьером для внедрения инструментов


7. Способность строить взаимопонимание с людьми.

Технологии Business Booster не предполагает обучение владельца бизнеса общению с людьми, мы не можем влиять на его навыки общения, которые являются базовым инструментом управления. Без способности создавать взаимопонимание, владелец не сможет гладко внедрить инструменты управления, риски потерять ключевых сотрудников в процессе адаптации Технологии очень велики. 
Когда у владельца бизнеса есть способность создавать взаимопонимание с людьми, это позволяет ему менять точку зрения сотрудников, не подавляя их. То есть они приводят рациональные аргументы, они проявляют настойчивость в том, чтобы получить рациональные аргументы в ответ. В таком случае владелец решает все проблемы с сотрудниками через общение.

8. Способность добиваться выполнения своих приказов

Это другая способность, которая относится к базовым навыкам управления. Это способность воздействовать на людей, оказывать необходимое давление, чтобы люди начали двигаться. Такое давление должен быть способен оказывать любой руководитель, но не любой владелец бизнеса обладает этой способностью. Эту способность можно натренировать, но Технология Business Booster это не предоставляет. При отсутствии этой способности из владельца сотрудники вьют веревки, сотрудники могут остановить любую инициативу такого владельца, и тот пойдет у них на поводу. Причины этого мы здесь не будем рассматривать, важно отметить тот факт, что не обладая способностью добиваться выполнения приказа, владелец застрянет на программе и не сможет полностью и эффективно внедрить Технологию, что приведет к неполучению желаемого продукта.


9. В бизнесе есть сотрудники на полном рабочем дне

В направлении бизнеса, которое владелец хочет систематизировать должно быть минимум 3 административных сотрудника. Один из них должен отвечать за продажи, второй за финансы и третий за предоставление/производство. Владелец, у которого нет сотрудника в подчинении не сможет выполнить практические рекомендации.


ПРИМЕЧАНИЕ:

  1. Лицензиар не несет ответственности за финансовые показатели компании как во время, так и после проекта. Их рост или падение связаны с количеством усилий, приложенных владельцем в рамках проекта. Однако статистически по итогам проекта обычно происходит рост финансовых показателей в среднем на 30 - 500%.
  2. Лицензиар также не несет ответственности за количество времени которое владелец бизнеса затрачивает на операционную деятельность. Это зависит от эффективности делегирования исполнительских и управленческих функций. Однако статистически по итогам проекта обычно происходит уменьшение занятости владельца в операционной деятельности до 4-5 часов в неделю.

Подписывая данные Условия Лицензиат понимает и принимает, что при отсутствии определенных исходных параметров (перечисленных выше) участник может не получить желаемый продукт от использования Технологии Business Booster.


Приложение № 2

К Лицензионному договору

Модуль 0 “Bootcamp”. 

BOOTCAMP - это подготовительный модуль состоящий из 4х частей:

0.1. Как организовать работу с распоряжениями 
Поможет вам наладить работу с распоряжениями таким образом, чтобы это поднимало ваш авторитет и власть в компании и повышало исполнительскую дисциплину ваших сотрудников.
0.2. Как навести порядок в делах
Посвящен восстановлению ваших творческих способностей. Творческие способности зависят от количества вашего свободного внимания. Простые рекомендации, как высвободить внимание и сделать генеральную уборку в своих делах!
0.3. Ответственность сотрудников и ваше свободное время
У руководителей существует привычка, которая пожирает их время и снижает ответственность сотрудников. Это привычка "супермена" - решать все проблемы в компании. Когда владелец работал один, эта привычка двигала компанию вперед. Когда появились подчиненные, эта привычка стала останавливать рост компании.
 Вы получите инструмент, который изменит эту ситуацию: вы будет тратить гораздо меньше времени на принятие важных ежедневных решений, так как начнете получать от подчиненных готовый план действий вместо открытых проблем.
0.4. Соглашение с совладельцами

  • Внедрить систему подачи запросов от сотрудников, чтобы они приносили готовые результаты решения проблем, а не перекладывали их на плечи руководителя.
  • Внедрить систему контроля распоряжений - чтобы все распоряжения выполнялись, не было заброшенных проектов и задач.
  • Разобраться в отличии функций владельца и директора.
  • Разобраться в разделении функций между совладельцами (либо если владелец один - осознать свои функции).

Что такое «идеологические основы бизнеса», зачем они нужны, какие проблемы они решают. Александр Высоцкий развеет мифы о миссии компании. Вы создадите идеологические основы для своей компании — фундамент, на котором будет крепко стоять ваш бизнес.
1.4. Основные статистики бизнеса
Вы определите основные статистики своего бизнеса, которые будете отслеживать на протяжении всей программы. 
Вы начнете следить за основными показателями компании и видеть как инструменты управления влияют на них.
1.5. Разработка организующей схемы
Вы поймете как работает организующая схемы, какие проблемы она решает и как ее использовать в повседневной деятельности. В заключении вы сами создадите организующую схему, по которой будет строиться структура в вашей компании.
1.6 Подготовка к внедрению организующей схемы
Вы получите технологию расстановки на посты, как правильно совмещать функции, как определять почему одни сотрудники перегружены, а другие работают в пол силы.

Модуль 2 

Основные статистики в бизнесе

2.1. Подготовка к делегированию ключевых функций
Здесь вы начинаете внедрение главных инструментов управления. Для этого вы разрабатываете регламент по использованию оргсхемы и проводите ознакомительное занятие по оргсхеме, и согласуете план передачи функций со всеми сотрудниками, вовлеченными в этот план.
2.2. Делегирование
Эта часть Технологии построена таким образом, чтобы вы передали часть своей ответственности в отношении оперативных функций конкретным руководителям, которые теперь будут за них отвечать. И если будущие руководители отделений сейчас перегружены другими задачами, то чтобы взять ответственность за отделения, они будут делегировать часть функций, которые больше не относятся к их области ответственности.
Вы научитесь описывать делегируемую работу так, чтобы сотрудники выполняли ее эффективно без вашего участия. Научитесь корректно передавать делегируемую работу, чтобы она была выполнена в нужном качестве и количестве. 
2.3. Найм и введение в должность
Технология найма особенно нужна в тех случаях, когда в компании среди существующей команды сотрудников не оказалось никого, кто готов взять ответственность за одну из ключевых функций организации. Тогда такого человека необходимо найти и ввести в должность.
Кроме того, данная технология найма позволит вам полностью выстроить или значительно улучшить систему найма в компании.

3.2. Оперативное планирование

Procedure for concluding an Agreement

 

1. The text of the Agreement, permanently posted on the Internet at:https://my.bbooster.online/ofe... and available on the Website, contains all the essential terms of the Agreement and is an offer of Visotsky Consulting Inc. to conclude an Agreement on the conditions specified in the text with any fully capable person. The text of the Agreement is a public offer.
 

2. Prior to the conclusion of the acceptance, the client must complete the Application Form and obtain its approval from Visotsky Consulting Inc.; in confirmation of approval of the Application Form Visotsky Consulting Inc. sends an Invoice to the Client before the approval of the Application Form Visotsky Consulting Inc. has the right, without explanation and for any reason, to notify the Client of the refusal to approve the client's Application Form.

 
3. The proper acceptance by the Client of this offer (Agreement) is the payment of the License by the Client on the basis of the commercial offer.

 

THE AGREEMENT,

between
Visotsky Consulting Inc. (315 W 36th Street, NYC, NY, 10018) incorporated as a legal entity pursuant to legislation of State of New-York, USA, in a person of Aleksander Visotsky (hereinafter referred to as LICENSOR)  

and

any person who has duly accepted the Agreement (hereinafter referred to as the "LICENSEE"). (hereinafter- referred to as LICENSEE).

Taking into account that: 

LICENSOR is an owner and developer of particular methods, processes and information used for creation of Technology for business efficiency upgrade;
whereas such methods and processes constitute LICENSOR’S commercial secrecy and property assets;
whereas LICENSOR wishes to provide Licensee with a non-exclusive license to LICENSOR’S production secret (know-how);
and since LICENSEE wishes to obtain a non-exclusive license to methods, processes and information that constitute LICENSOR’S production secret;
and WHEREAS LICENSOR is ready to provide LICENSOR with such license under terms specified below,
NOW THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Parties agree to the legally binding agreement and agreed to the following:


1. TERMS AND DEFINITIONS

1.1.Commercial secrecy (know-how) as used herein means any kind of information (production, technical, economic, organizational information, etc.) gathered by Licensor in the progress of its entrepreneurial activity in the field of business systematization and efficiency upgrade that has current or potential value due to its secrecy to third parties, to which third parties have no free legal access and in regard to which Licensor has introduced a commercial secrecy regime.  
1.1.1. Any kind of information as used herein means Business Booster technology (hereinafter - Technology) owned by Licensor expressed in the following ways including, but not limited to, rules, recommendations, schemes, creative solutions, regardless of the form of its expression, that is transferred by Licensor to Licensee.
1.2. Commercial secrecy means information confidentiality regime that allows its owner to increase income, avoid unjustified expenses, maintain position at the market of goods, works, services or obtain other commercial benefit under existing or potential circumstances.   
1.3. Nonexclusive license means granting a license to Licensee to use Commercial secrecy (know-how) with Licensor’s reservation of a right to grant such license to other persons
1.4. Materials mean Licensor’s deliverables of intellectual activity (works of science, audiovisual works, including video lectures, tests, homework, text, graphics, software and any other materials), information and other materials that make up the content of the Technology.
1.5. Platform means a software environment in terms of which Materials are presented, located in the Internet within a limit of domain zone https://my.bbooster.online;
1.6. Personal account means an aggregate of protected pages at the Platform: https://my.bbooster.online created in result of Licensee’s registration at the Platform, using which Licensee gains an access to Materials and events held within a Service Package. Personal account shall be accessed by login data (login and password) specified by Licensee when registered at the Platform;
1.7. Application form means Client’s notification on its intent to make an Agreement and Client’s answers to questions on the Application Form. Application Form shall be considered and approved by the Licensor.
1.8. Licensee’s representative means owner of the Company deemed a main representative by co-owners of the Company. Representative shall be recipient of Technology.
1.9 Tariff - a set of Materials and other results of intellectual activity, the rights to which are transferred under this Agreement. The list of charges and descriptions located on the Internet at: https://my.bbooster.online/program#price


2. SUBJECT OF THE AGREEMENT

2.1. Pursuant to the Agreement, for consideration and within a use term determined herein Licensor shall provide Licensee with a right to use (non-exclusive license) Commercial secrecy (know-how) in Licensee’s entrepreneurial activity (hereinafter -  Business Booster Technology) using which Licensee wishes to systematize its business and upgrade its efficiency, increase profit, reduce owner’s temporary operational expenses.
2.2. Rights to use Business Booster Technology shall be transferred pursuant to i.2.1 of the Agreement. Business Booster Technology shall include the following Materials:
2.2.1. Video-lessons.
2.2.2.Step-by-step programs;
2.2.3. Organizational scheme adapted to Licensee’s type of business;
2.2.4. Ready templates of regulations, instructions and policies (including step-by-step instructions for organizing staff coordination in the form of boards and meetings, organizing the company's written communication system, implementing post statistics, and job descriptions);
2.2.5. Content and procedure for provision of Business Booster Technology is described in Appendix no. 2.
 2.3. License granted to Licensee under the Agreement shall be non-exclusive, meaning that Licensor shall reserve a right to grant license to other persons and shall independently use and apply know-how in the progress of its entrepreneurial activity.
 2.4.  License under the Agreement shall be granted to Licensee for adaptation in 1 (one) direction of Licensee’s business. Should Licensee wish to use Business Booster Technology in several business directions, Parties agree to sign a separate agreement in this regard or sign an addendum to the Agreement where cost and terms of Technology provision will be agreed. Licensor shall not limit Licensee in use of skills and knowledge acquired by use (application) of the Technology upon an expiry of the license term.
2.5. The Agreement shall come into effect when it is signed by Parties.  
2.6. License under the Agreement shall be valid for 1 year after an access to Materials are provided pursuant to i. 4.2. of the Agreement. As agreed by the Parties non-exclusive license validity term may be amended under terms agreed in addendum.
2.7. Right to Business Booster Technology shall be exercised by provision of an access to Materials and recognition of legality of its use in the volume and under restrictions determined by the Agreement.  
2.8. Licensee is aware of and accepts Terms and Conditions of Successful adaptation of Business Booster Technology stated in Appendix n.1 to the Agreement.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1. Licensor shall:
3.1.1.Upon receipt of a fee provided by i.5.2. of the Agreement provide Licensee with a technological access to Materials required in order to exercise the rights granted by Licensee under the Agreement.
3.1.2.Through electronic mail provide consultations regarding implementation of the Agreement within Agreement Validity Term.
Licensor shall be entitled to change form and content of the support in order to held Licensee to optimally introduce Business Booster Technology to its business.
3.1.3. Inspect completeness and correctness of Licensee’s introduction and application of management tools (Business Booster Technology).
3.2. Licensee shall be entitled to:
3.2.1. Use Commercial secrecy (know-how) in its commercial activity;
3.2.2. Make contracts with Licensor’s affiliated companies on cooperation in Technology adaptation to the needs of Licensee’s business;
3.2.3.Obtain clarifications of all information contained in materials issued by Licensor and information regarding introduction of management tools to Licensees’ business.
3.3. Licensee shall:
3.3.1. Not disclose Licensor’s Commercial secrecy (know-how) and other confidential information provided by Licensor.;
For the purposes of this clause, under the “disclosure”, the parties determine the following: transfer to third parties and / or publicly display audio, video, text Materials, or provide access to the Platform.
At the same time, the provision of information to the persons specified in clause 4.2 is not a disclosure and authorized employees of the  Licensee, if this is directly provided by the "Technology".
3.3.2. Pay a fee to Licensor for the non-exclusive license within a term and under conditions provided by the Agreement.
3.3.3. Use Technology pursuant to current Agreement.
3.3.4. Assist Licensor in detecting persons that illegally use Licensor’s deliverables of intellectual activity and means of individualization, namely, Business Booster trade mark (service mark) or Licensor’s trade name without legal grounds, or Business Booster Technology Commercial Secrecy, and take any actions required to suspend illegal use of Licensor’s trade mark by third parties.  
3.3.5. Licensee shall introduce Business Booster Technology in the order and within terms specified in each module of Technology.
Licensee’s representative shall personally visit all events aimed to transfer and adaptation of Technology, timely and fully implement all actions provided by the Program, timely and fully report on implementation of actions provided by the Program under a form determined by Licensor and posted in Personal account (and/or Platform) or sent to Licensee’s e-mail or provided otherwise.
Violation of these terms shall provide Licensor with a right to cancel warranties of successful Business Booster Introduction Technology to Licensee’s business within Agreement Validity Term.
3.4. Licensee shall not be entitled to:
3.4.1. Make sublicense transactions or other civil transactions, lease agreements, transfer agreements to agreements on disposal of a right to Commercial secrecy (know-how) granted to Licensee under the Agreements to the benefit of the third parties, except for agreements specified in i.3.2.2.
3.4.2. Perform entrepreneurial activity aimed at provision of any kind of consultations to third parties using Commercial secrecy (know-how) - Material technology, create copies of the Site, Platform, Materials, Intellectual Property, as well as copy their external design (design); In this case, the term "use" the definition in the following sense: paid and / or gratuitous display, bringing audio, video, text Materials to the public, providing access to the Materials.
3.4.3. Get around technical restrictions of the Website, Platform and Personal Account.
3.4.4. Decompile and disassemble Website, Platform, Personal account, Materials and Intellectual property.
3.4.5. Copy Website, Platform, Materials and Intellectual property and copy external design.
3.4.6. Change Website, Platform, perform actions aimed at change of functioning and working capacity of Website, Platform.
3.4.7. Download video-materials posted at Platform and in Personal Account.
3.4.8. Without Licensor’s consent and within Agreement Validity Term make with third parties contracts on consultation services regarding company management issues.
3.4.9. Distribute information that is unreliable, defamatory or harmful to Licensor’s business reputation about Licensor and/or Business Booster Technology in any way, including, without limitation, via the Internet, social networks, any kind of newsletter.
3.5. Parties shall:
3.5.1. Observe all mutual obligations undertaken under the Agreement.

4. ACCESS GRANTING

4.1. Access to Materials are granted via the Platform.   
4.2. A representative of the Licensee to get full access to the platform and transfer Technology:

4.3. Licensor shall send an e-mail to address specified in i.4.2, containing Platform authentication parameters.
4.4. Use of authentication parameters (login/password) by persons except those specified in i.4.2, shall be deemed a disclosure of confidential information.
4.5.Licensor’s obligations shall be deemed fully implemented when Client received the Technology aby all modules within the Agreement and in any case Technology shall be deemed fully transferred and accepted upon an expiry of 12 (twelve) calendar month after an access was submitted.
4.6. Date when ac access to materials of Technology was granted shall be date when ac access to the first module of Technology was granted (based on data on Platform).
4.7. Prior to granting an access Licensee shall provide the Jointbooster Application form for each representative and full and reliable answers to additional questions of Licensor (if any).
4.8. Licensor shall be entitled to limit Licensee’s access to Platform in the following cases:
(а) Licensee’s violation of payment terms determined by i.5 of the Agreement;
(б) Licensee’s violation of Technology use terms;
(в) Licensee’s violation of any terms of the Agreement.
4.9. Access limitations set in i.4.5. of the Agreement shall not serve as a ground for change of license terms.

5. LICENSE FEE, PAYMENT TERMS AND PAYMENT PROCEDURE

5.1. The amount of remuneration for granting a non-exclusive license is determined on the basis of the invoice issued after the approval of the application Form.
5.2. When payment is delayed (in case amount of Licensee fee was calculated with a discount) Licensee shall lose it right for a discount and shall pay a full Agreement price under terms specified in invoice issued.
Funds paid by the Client as of the moment when it has lost its discount shall not be returned and shall be carried forward to future payments.
5.3.The amount of remuneration is calculated based on a twelve-month license transfer period. If, for reasons that depend on the Licensee, the license transfer period exceeds 12 months, the Licensee may extend. Renewal fee (over 12 months) - $ 800 for a full month.

6. CONFIDENTIALITY

6.1. Licensee shall agree that Technology and other Confidential information shall be Licensor’s property and a valuable asset due to the fact that such information is not publicly available. In this regard any violations of confidentiality regime may cause significant loss to Licensor and, therefore, shall reimburse such loss to Licensor.  
6.2. Licensee shall guarantee confidentiality of documentation, information, knowledge and experience that form Commercial secrecy (know-how) received from Licensor.
6.3. Licensee shall guarantee that information and documents received from Licensor shall be viewed only by those Licensee’s employees that are directly involved to use of Business Booster Technology at Licensee’s enterprise and specified in i.4.2 of the Agreement.
6.4. In case of violation by the Licensee of clause 3.3.1 of this agreement, the Licensee is obliged to pay the Licensor a fine in the amount of a multiple of the value of this agreement.
6.5. In case of violation by the Licensee of paragraphs. 3.4.1, 3.4.2 The Licensee is obliged to pay the Licensor a fine in the amount of five times the cost of this agreement.
6.6. Licensor shall take all necessary and sufficient legal, organizational and technical measures to protect confidential information and personal data of Licensee (Licensee’s representative). Therewith, by signing this Agreement Licensee give its consent to Licensor’s processing (collection, systematization, accumulation, storage, clarification (updates, changes), use, distribution (including transmission), depersonalization, blocking and destruction), including automated, of personal data of Licensee’s representatives specified in this Agreement, as well as personal data that is or will be additionally communicated within the Agreement validity term in a different manner in order to make and properly perform the Agreement or communicate informational data by Licensor to Licensee (representative of Licensee).
6.7. Within the Agreement Validity and five years afterwards each Party shall undertake not to disclose (without preliminary written consent of the other Party) any confidential information received from the disclosing Party.
Parties may make an agreement on observance of a confidentiality regime in the progress of the Agreement implementation.


7. WARRANTIES AND RESPONSIBILITIES

7.1. Licensor shall not provide software (including system software) for use of Website, Platform, Personal account and Service Package by the Client.  Such software shall be purchased and/or installed by the Client independently.
7.2. In accordance with the Technology, the implementation of management tools occurs through the business owner. This allows him to retain full control over his business, strengthen his authority in front of the team and successfully manage the built system after the implementation is completed. Therefore, the responsibility for the use of management tools and the correct adaptation of the Technology at its enterprise lies with the Licensee. At the same time, the Licensor is fully responsible for the applicability of the Technology for the purposes described in clause 2.1 and undertakes to provide the Licensee with all the necessary materials and a program of actions to facilitate the successful adaptation of the Technology at his enterprise.
7.3. Licensor shall guarantee shall it has a legal right to provide Commercial secrecy (know-how) under the Agreement.  
7.4. Non-performing Party shall reimburse the other Party all expenses incurred by such nonperformance of obligations under the Agreement.  
7.5. Parties shall be excused for full or partial nonperformance of their obligations under the Agreement, should such non-performance be caused by force-majeure circumstances. Force-majeure circumstances shall be understood as circumstances that take place after the Agreement is signed, in result of emergency events, that could not be reasonably foreseen or prevented by Parties.
7.6. In all other cases of non-performance Parties shall be held accountable pursuant to current legislation.

8. RECOGNITION OF DOCUMENTS IN ELECTRONIC MEDIUM

8.1. Hereby Parties confirm that during implementation of the Agreement (execution, amendment, addition, termination) and in the course of correspondence regarding the abovementioned issues it is allowed to use analogues of signatures of the Parties. Hereby Parties confirm that all notifications, messages, agreements and documents related to implementation of the Agreement by Parties, signed by analogues of signatures of the Parties shall have a legal effect and shall be binding to Parties. Analogues of signatures of the Parties shall be understood as authorized e-mail addresses and login data to Personal account.
8.2. Parties agree that all notification, messages, agreements, documents and letters sent through authorized e-mail addresses or personal account shall be deemed sent and signed by Parties, except when otherwise is stated in letters.
8.3. Authorized e-mail addresses of the Parties shall be
8.3.1. Licensor: support@bbooster.online
8.3.2. Licensee: e-mail address specified in Application Form and/or Personal account.
8.4. Parties shall ensure confidentiality of messages and information required for gaining an access to authorized e-mail addresses and Personal account, shall not disclose such information and shall not transfer such information too third parties. Parties shall independently determine access limitation regime in regard to such information.  
8.5. Prior to receipt of information on violation of confidentiality regime sent by Licensee all actions and documents executed and made through Licensee’s authorized e-mail address or Personal account, even if such actions and documents were executed and made and sent to other persons shall be deemed executed and sent by Licensee.  In this case rights and obligations and responsibility shall accrue to Licensee.   
8.6. Prior to receipt of information on violation of confidentiality regime sent by Licensor all actions and documents executed and made through Licensee’s authorized e-mail address even if such actions and documents were executed and made and sent to other persons shall be deemed executed and sent by Licensor.
8.7. Licensor shall be entitled to assign rights, transfer debts (including a right to engage subcontractors) for all obligations that arise out of the Agreement. Hereby Licensee agrees to assign right and transfer debts to any third parties. Licensor shall inform Licensee on assigned right and/or transferred debt.


9. INTELLECTUAL PROPERTY

9.1. Non-exclusive right to all objects of Intellectual property, including Materials, Website, Platform and Personal Account, elements of design, texts, programs, etc, owned by Licensor and other third parties, rights to intellectual property for which are acquired by Licensor. Licensor shall guarantee that it has a legal rights to provide Commercial secrecy (know-how), under the Agreement.
9.1.1. By using the Materials, Website, Platform, Personal Account and other Intellectual Property Licensee shall acknowledge and agree that content of Materials, Website, Platform, Personal Account and other Intellectual property is protected by copyright, trademark and other rights to intellectual deliverables, and that the rights specified are valid and protected in all forms, on all medium and in regard to all technologies both existing now and designed afterwards. Neither rights to any content of Materials, Website, Platform, Personal Account and other rights of Intellectual property shall transfer to Licensee or representative of Licensee when the Agreement is made.
9.2. Licensee’s representative specified in i.4.2. of the Agreement shall be entitled to use Materials and other objects of Intellectual property accessed under the Agreement by using Website, Platform and Personal Account and only within limits established by the Agreement.
9.3. Licensee (Licensee’s representative) shall not be entitled to use Materials and other objects of Intellectual property for any other purpose than defined by the Agreement, Licensee shall not be entitled as follows:
9.3.1. Repproduce, distribute by sale or otherwise, publicly demonstrate, broadcast, communicate online, through cable, translation and/or otherwise, make publicly available or use in unauthorized manner any part of Materials and Intellectual property, except for those Materials and information that is marked by Licensor as Materials and Information that can be used by Licensee as a part of its business and use of Technology.
9.3.2. copy and/or distribute any parts of Technology, Materials and other Intellectual Property, including organization and holding or online and offline events similar to those held by Licensor to the extent of Services, organize and upgrade efficiency of the business based on Business Booster Technology.
9.3.3. copy or otherwise use software of Website or Platform.
9.4. When quoting Materials, Website or Platform and using parts of Intellectual property when it is directly permitted by Licensor Licensee shall include a link to Website and Business Booster.


10. WARRANTIES OF RESULTS AND REPAYMENT

10.1. Licensor shall guarantee that elements of Business Booster Technology are practical, applicable, and shall significantly upgrade efficiency of Licensee’s business. 
10.2. The licensee has the right to demand a refund of the money paid within 21 days from the moment of opening access to the platform in accordance with clause 3.1.1. To do this, the Licensee sends a corresponding request to the Licensor's email address support@bbooster.online. The Licensee undertakes to contact the Licensee within no more than 5 banking days after receiving the request to arrange the return procedure. At the same time, the Licensee undertakes to provide comprehensive data on the reasons for the decision to return in order to improve the quality and improve the Licensor's Technology. The Licensor refunds funds to the Licensee within 15 banking days after receiving a request for a refund, minus bank fees and taxes paid.


11. AGREEMENT VALIDITY TERM AND TERMINATION PROCEDURE

11.1. The Agreement was made for a period of time provided in i.2.6 of the Agreement.  
11.2. Agreement Validity Term may be extended at mutual consent of the Parties.  
11.3. Agreement may be preliminary terminated by Licensor ex-parte, should Licensee violate items 3.3.1 and 3.4 of the Agreement, therewith, Parties agreed that everything received by Licensor under the Agreement shall not be returned to Licensee, and Licensee in its turn shall suspend any use of Commercial secrecy (know-how) granted by the Agreement from the moment when Licensee receives notification on termination.
11.4. Licensee shall be entitled to refuse the Agreement extrajudically and ex-parte, should Licensor not implement its obligations provided by i.3.1. of the Agreement.   
11.5. Licensee shall be entitled to refuse the Agreement extrajudically and ex-parte anytime and without any explanations. In this case Licensee shall properly notify Licensor on its intention 30 days prior to planned date of termination.  All mutual obligations of the Parties terminate together with the Agreement, no penalties are provided on behalf of the Licensor, in its turn Licensee shall not be entitled to demand compensation of any loss, including return of remuneration paid by Licensee under the Agreement. Licensee shall cease use of Commercial secrecy and shall guarantee its confidentiality.


12. MISCELLANEOUS

12.1. Issue not covered by the Agreement shall be controlled by current legislation.
12.2. Should any discrepancies arise between two version of the Agreement, version in Russian language shall prevail.  
12.3. Should any disputes take place between Licensor and Licensee that arise out of the Agreement Parties shall tale all measures in order to solve such disputes by negotiations.
12.4. Should it be impossible to solve such disputes by negotiations, disputes shall be solved at arbitration court at defendant’s location.
12.5. By signing this Agreement, the Licensee consents to the use of the Licensee's reviews in an impersonal form without personal data for the advertising purposes of the Licensor.

Appendix no. 1

To License Agreement

Conditions for successful adaptation of Business Booster Technology

Main objective of the Business Booster Technology is to increase management efficiency of company through introduction of management tools and marketing.
These Conditions are intended to be fully understood by Licensee and Licensor of the initial data for successful adaptation of the Business Booster Technology in the Licensee enterprise.
Initial data for adaptation are the parameters of enterprise/Main representative that represent that the project can be implemented successfully.
 For the purposes of this Appendix words “client”, “owner” and “holder” are synonymous and correspond to a concept of the Main Representative in paragraph 1.8. of the Agreement.
Below initial data for adaptation is stated which shows that a client is able to fully master the Technology and get the product for which it paid. Licensees that do not have these initial data probably will not be able to fully implement the Technology to their business and will not receive the result desired.


1.Client shall have an authority to set goals

If it is a single owner of the company and there are no co-owners, it is required that he /she has an authority to make her/his orders be carried out by managers at all levels. If there are several co-owners in a company, then one of them must have authority over the others. Such person is a goal setter and determines development of a company.
It shall also be understood that a spouse of the company’s owner, although not being a co-owner from a legal point of view, nevertheless owns half of assets acquired in the marriage. Therefore, very often a spouse is actually a co-owner. Also there is a situation when family members are not co-owners legally, but in fact are co-owners. Therefore, spouse and family members must always be considered as co-owners in terms of whether he goal-setter has a control over them. Besides, sometimes a part of company’s profits is received by someone who is not formally a co-owner, but in fact is, namely, investors, key employees or someone else. In terms of implementing management tools, they all are co-owners. For example, in one of the projects we found out that part of the profit is received by a consultant psychologist who is friendly with the owner and provides him/her with psychological support. In the process of implementing the tools it turned out that this is not a support, but a serious influence, and until this influence was eliminated, it was impossible to implement the tools. Because we did not find it out timely, lots of effort were in vain, and the project was never completed.
One of apparent symptoms that the goal setter does not have an authority is explicit or hidden disagreements among co-owners. For example, there are two co-owners in a company, they have divided their responsibilities very accurately and they never interfere in each other’s affairs, they do not communicate and do not coordinate their actions, it may seem that everything is great, but actually there is no authority in this company, instead there is a “cold war”. It looks very social, but an attempt to introduce management tools in such company would lead to imbalance in this “cold war”, a situation will escalate and cause harm to a company.
Same example is a company where a husband is the goal-setter, but all financial issues are settled by a wife, not allowing a husband into this area. Formally, everything looks very acceptable, but when trying to implement a financial planning or somehow change a financial scheme disputes will arise that will cause problems to the Company. We do not provide Business Booster Technology to companies where official or hidden co-owners have disputes to people with authority. We work only with the goal-setters.


2. You have money to invest in company’s development 

This criterion shows the owner’s ability to fully pay for the Business Booster Technology. Source of funding can be not only income of a company where management tools are planned to be implemented. Usually an owner has an opportunity to finance the Technology from other sources. For example, funding may come from other businesses, personal reserves of an owner, through investors and otherwise.
When there are no alternative sources for financing, income which is too low or there is a possibility of its reduction creates a threat to introduction of the management tools. If during the program the income reduces, we will not be able to produce the product.
Clients like this come to us from time to time, they want to introduce the management tools to solve a problem with company's income. But introduction of the tools does not provide a quick solution to income problems. Management tools do help to increase the income, but only when the product is competitive and the market condition is acceptable.
Sufficient condition for use of the Technology is that the owner has enough funds for the development of a company. Development is understood as payment of the full cost of Technology, hire of personnel, promotion costs and other expenses necessary in the process of Technology adaptation that can be evaluated at the research stage.


3. Owner’s personal motivation to development

This factor is often decisive when the owner has to break through existing difficulties in order to succeed in implementation of the management tools.
The owner must clearly understand that all changes that Technology helps to introduce to a company, first of all is needed to the owner herself/himself. It is his/her willingness to act, desire to change things for the better and succeed must be demonstrated during the program. That means that a client is willing to hire and train staff, invest in promotion, timely implement recommendations on adaptation and do everything to break through the difficulties. The desire to act must be strong enough to make the owner really work and act without additional pressure.
Participant with low motivation will not break through this program, will not implement even the first module.


4. Computer competence

Business Booster Technology does not provide for a training in use of social networks, internet, browser and e-mail and messengers. Therewith, these skills are required to past the program. Participants of our program are people with sufficient computer competence.


5. Owner’s trainability

It is important that the owner will be trainable, meaning the he/she reds, does not object a training, agrees with specialists, values professionalism and/or sends its employees to undergo training programs. 
A perfect picture is when the owner is interested in management and understands that in this filed she/he does not have a sufficient competence and ready to receive information and work such information through. Previously she/he had an experience in applying something that she/he read or heard. Such person usually tries to practically and successfully apply recommendations of friends and experts.


6. Company’s owner and key employees are fluent in Technology provision language.

Business Booster Technology is provided in Russian language. Licensor shall be find out whether Licensee and its key employees understand material and language is not a burden in implementation of the management tools.


7. Communicability

Business Booster Technology does not include communication training for the owner, we cannot influence her/his communication skills, which are basic management tool. Without the ability to create mutual understanding the owner will not be able to smoothly implement management tools, risk of losing key employees in the process of adaptation of Technology is very large. When the business owner has an ability to create understanding with people it allows her/him to change the point of view of employees without suppressing them, meaning that they make rational arguments and insist on receiving rational arguments in return. In this case, the owner decides every problem with employees by communicating with them.


8. Ability to get owner’s orders done

This is another ability that is a basic management skill, namely, an ability to influence people, put pressure so that people would start working. Any leader shall be able to put pressure, but not any leader has this ability. This ability can be trained, but Business Booster Technology does not provide such training. Should the owner not have this ability, employees do not listen to the owner and can impede owner’s initiatives. We will not consider reasons for this, but it is important to note the should the owner not be able to get its orders dine, the owner will be stuck in the program and will not be able to fully and effectively implement the Technology that will lead to a non-receipt of the desired product.


9. There full-time employees in the business

In the business field the owner wants to systematize should be at least 3 administrative employees. One of them must be responsible for sales, second for finance and third for provision/production. Owner without any subordinate employees cannot implement practical recommendations.


NOTES:

  1. Licensor shall not be liable for company’s financial indicators both during and after the program. Growth and reduction of financial performance is conditions by effort put by the owners within the program. However, statistics shows increase of financial indicators averagely for 30-500%.
  2. Licensor shall not be liable for amount of time that owner of the business spends to operational activity. This depends from efficiency of delegating executive and managerial functions. However, statistics shows that following the program owner’s involvement in operational activity reduced for 4-5 hours.

By signing these Conditions Licensee shall accept and understand that lack of particular initial parameters (described above) may result in non-receipt of the desired product from use of Business Booster Technology.

BOOTCAMP is a preparatory module that consists of 4 parts:

0.1. How to organize work with orders
It will help you to organize work with orders in such a way that it will raise your profile and influence in company and increase executive discipline among your employees.
0.2. How to get acts together
Dedicated to restoration of your creative abilities. Creativity depends on amount of your free attention. Simple recommendations on how to free your attention and clear-out your affairs!
0.3. Responsibility of employees and your spare time
Directors have a habit that consumes their time and reduces responsibility of employees. It’s so called “Superman’s habit” to solve all problems in the company. When the owner worked alone, this habit made the company successfull. When subordinates appeared, this habit began to stop company’s growth.
You will get a tool that will change this situation. You will spend less time making important daily decisions, as you will begin to receive a prepared action plan from your subordinates instead of unsolved problems.
0.4. Agreement with co-owners
For those who have business partners or who plan to introduce partners to the business. It describes functions of the owner, laws of leadership, matter of agreement among the co-owners regarding who is in charge and what is the role of each owners. You will receive an effective master agreement for business co-founders, which you can amend as you need and sign with partners.
The main purpose of BOOTCAMP  - part of the Business Booster program that helps to:

What ideological foundations of business are, why we need them and what problems they solve. Aleksander Visotsky will dispel myths about company’s mission. You will create ideological foundations for your company, a foundation for your business to stand on.

You will determine main statistics of your business that you will trace throughout the program.
You will start to follow main company performance indicators and you will see how such indicators are affected by the tools.
1.5. Development of an organizational scheme
You will understand how organizational scheme works, what problems it solves, how it can be used in day-to-day activity. And, the most important, you will create an organizational scheme according to which structure in your company will be implemented.
1.6. Preparation to introduction of the organizational scheme
You will get a technology of arrangement of positions, how to combine functions correctly, how to determine why some employees are overloaded, while others are not fully loaded.


Module 2 

Introduction of the organizational scheme

2.1. Preparation to delegation of key functions
That’s where you start to introduce main management tools. In order to do this, you shall develop regulations on use of the organizational scheme and conduct a introduction training on the organizational scheme, and also agree a plan for task sharing with all employees involved in this plan.
2.2. Delegation
This part of the Technology is made in such a way for you to transfer some of your responsibilities regarding operational functions to specific managers who will take responsibility for such functions. And if future heads of departments are overloaded with other tasks, then in order to take responsibility for the departments, they delegate part of the functions that no longer belong to their zone of responsibility.
You will learn how to describe delegated work so that employees can do it effectively  and without your participation. You will learn how to properly delegate work so that it is properly performed.
2.3. Hire and introduction to official duties
Technology of hire is especially required when there are no employees in the company’s team who are ready to take responsibility for one of key functions in the company. Then such employee should be found and introduced to his/her official duties. 
Moreover, this technology of hire will allow you to create or enhance company’s system of hire.
2.3.1. Hire
You will learn about narrow places in hire and danger of such places for owner. You will learn how to prepare for a hire. Management system

3.1. Introduction of system of statistics
This part of technology is dedicated to development of extended company’s statistics that represents actual situation in your company.
You will develop and implement statistics for all departments of your company and will organize maintenance of statistics by employees. You will get a statistic reference book and you will learn to instruct employees on how to properly maintain such reference books. You will always see the result of each employee’s performance and all performance indicators “in digits”.
3.2. Operative planning. Regular activity is when statistics grows constantly. Such growth is provided by plans containing proper actions. How to cause grows of statistics and actively influence company’s activity using such plans. How to develop a system of operating planning.
Each employee will start to determine a clear action plan that will result in implementation of his/her personal plan and achievement of company’s goals. Head will follow priorities of each employee and will get a chance to adjust these priorities. Plans of all employees shall be controlled, no task shall be kept in head. All employees and heads will begin to prepare plans on a weekly basis, approve such plans with their teams and report by presenting particular results of his/her work.
3.3. System of written communication. What is the system of written communication and what does it consist of. What problems exist in written communication that have already became regular for modern business. Why system of written communication should be introduced before the system of briefings and meetings, and what should be done for introduction of such system.
3.4. System of briefings and meetings (coordination council and management council)
System of briefings and meetings shall free your company from conflicts between sub-departments and will help to organize effective team interaction.
3.4.1. Coordination council
You will learn about what coordination is, what types of coordination are required and who is in charge of coordination, under which Regulation coordination councils are operated, what tasks coordination council solve and how much time such councils should take. Procedure for concluding an Agreement

1. The text of the Agreement, permanently posted on the Internet at:https://my.bbooster.online/ofe... and available on the Website, contains all the essential terms of the Agreement and is an offer of Visotsky Consulting Inc. to conclude an Agreement on the conditions specified in the text with any fully capable person. The text of the Agreement is a public offer.
2. Prior to the conclusion of the acceptance, the client must complete the Application Form and obtain its approval from Visotsky Consulting Inc.; in confirmation of approval of the Application Form Visotsky Consulting Inc. sends an Invoice to the Client before the approval of the Application Form Visotsky Consulting Inc. has the right, without explanation and for any reason, to notify the Client of the refusal to approve the client's Application Form.
3. The proper acceptance by the Client of this offer (Agreement) is the payment of the License by the Client on the basis of the commercial offer.



THE AGREEMENT,

 between
Visotsky Consulting Inc. (315 W 36th Street, NYC, NY, 10018) incorporated as a legal entity pursuant to legislation of State of New-York, USA, in a person of Aleksander Visotsky (hereinafter referred to as LICENSOR)  and
any person who has duly accepted the Agreement (hereinafter referred to as the "LICENSEE"). (hereinafter- referred to as LICENSEE).
 
Taking into account that:
LICENSOR is an owner and developer of particular methods, processes and information used for creation of Technology for business efficiency upgrade;
whereas such methods and processes constitute LICENSOR’S commercial secrecy and property assets;
whereas LICENSOR wishes to provide Licensee with a non-exclusive license to LICENSOR’S production secret (know-how);
and since LICENSEE wishes to obtain a non-exclusive license to methods, processes and information that constitute LICENSOR’S production secret;
and WHEREAS LICENSOR is ready to provide LICENSOR with such license under terms specified below,
NOW THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Parties agree to the legally binding agreement and agreed to the following:



 1.  TERMS AND DEFINITIONS


1.1.Commercial secrecy (know-how) as used herein means any kind of information (production, technical, economic, organizational information, etc.) gathered by Licensor in the progress of its entrepreneurial activity in the field of business systematization and efficiency upgrade that has current or potential value due to its secrecy to third parties, to which third parties have no free legal access and in regard to which Licensor has introduced a commercial secrecy regime.  
1.1.1.   Any kind of information as used herein means Business Booster technology (hereinafter - Technology) owned by Licensor expressed in the following ways including, but not limited to, rules, recommendations, schemes, creative solutions, regardless of the form of its expression, that is transferred by Licensor to Licensee.
1.2.   Commercial secrecy means information confidentiality regime that allows its owner to increase income, avoid unjustified expenses, maintain position at the market of goods, works, services or obtain other commercial benefit under existing or potential circumstances.   
1.3.Nonexclusive license means granting a license to Licensee to use Commercial secrecy (know-how) with Licensor’s reservation of a right to grant such license to other persons
1.4. Materials mean Licensor’s deliverables of intellectual activity (works of science, audiovisual works, including video lectures, tests, homework, text, graphics, software and any other materials), information and other materials that make up the content of the Technology.
1.5. Platform means a software environment in terms of which Materials are presented, located in the Internet within a limit of domain zone https://my.bbooster.online;
1.6. Personal account means an aggregate of protected pages at the Platform: https://my.bbooster.online created in result of Licensee’s registration at the Platform, using which Licensee gains an access to Materials and events held within a Service Package. Personal account shall be accessed by login data (login and password) specified by Licensee when registered at the Platform;
1.7.Application form means Client’s notification on its intent to make an Agreement and Client’s answers to questions on the Application Form. Application Form shall be considered and approved by the Licensor.
1.8.Licensee’s representative means owner of the Company deemed a main representative by co-owners of the Company. Representative shall be recipient of Technology.

1.9 Tariff - a set of Materials and other results of intellectual activity, the rights to which are transferred under this Agreement. The list of charges and descriptions located on the Internet at: https://bbooster.su/mk30_bonus



2. SUBJECT OF THE AGREEMENT


2.1. Pursuant to the Agreement, for consideration and within a use term determined herein Licensor shall provide Licensee with a right to use (non-exclusive license) Commercial secrecy (know-how) in Licensee’s entrepreneurial activity (hereinafter -  Business Booster Technology) using which Licensee wishes to systematize its business and upgrade its efficiency, increase profit, reduce owner’s temporary operational expenses.
2.2.   Rights to use Business Booster Technology shall be transferred pursuant to i.2.1 of the Agreement. Business Booster Technology shall include the following Materials:
2.2.1.   Video-lessons.
2.2.2.Step-by-step programs;
2.2.3. Organizational scheme adapted to Licensee’s type of business;
2.2.4. Ready templates of regulations, instructions and policies (including step-by-step instructions for organizing staff coordination in the form of boards and meetings, organizing the company's written communication system, implementing post statistics, and job descriptions);
2.2.5.     Content and procedure for provision of Business Booster Technology is described in Appendix no. 2.
 
2.3.  License granted to Licensee under the Agreement shall be non-exclusive, meaning that Licensor shall reserve a right to grant license to other persons and shall independently use and apply know-how in the progress of its entrepreneurial activity.
 
2.4.  License under the Agreement shall be granted to Licensee for adaptation in 1 (one) direction of Licensee’s business. Should Licensee wish to use Business Booster Technology in several business directions, Parties agree to sign a separate agreement in this regard or sign an addendum to the Agreement where cost and terms of Technology provision will be agreed. Licensor shall not limit Licensee in use of skills and knowledge acquired by use (application) of the Technology upon an expiry of the license term.

2.5.  The Agreement shall come into effect when it is signed by Parties.  
2.6.  License under the Agreement shall be valid for 1 year after an access to Materials are provided pursuant to i. 4.2. of the Agreement. As agreed by the Parties non-exclusive license validity term may be amended under terms agreed in addendum.
2.7. Right to Business Booster Technology shall be exercised by provision of an access to Materials and recognition of legality of its use in the volume and under restrictions determined by the Agreement.  
2.8. Licensee is aware of and accepts Terms and Conditions of Successful adaptation of Business Booster Technology stated in Appendix n.1 to the Agreement.



3. RIGHTS AND OBLIGATIONS OF THE PARTIES


3.1.  Licensor shall:
3.1.1.Upon receipt of a fee provided by i.5.2. of the Agreement provide Licensee with a technological access to Materials required in order to exercise the rights granted by Licensee under the Agreement.

3.1.2.Through electronic mail provide consultations regarding implementation of the Agreement within Agreement Validity Term.
Licensor shall be entitled to change form and content of the support in order to held Licensee to optimally introduce Business Booster Technology to its business.

3.1.3. Inspect completeness and correctness of Licensee’s introduction and application of management tools (Business Booster Technology).
 
3.2.   Licensee shall be entitled to:
3.2.1.   Use Commercial secrecy (know-how) in its commercial activity;
3.2.2. Make contracts with Licensor’s affiliated companies on cooperation in Technology adaptation to the needs of Licensee’s business;
3.2.3.Obtain clarifications of all information contained in materials issued by Licensor and information regarding introduction of management tools to Licensees’ business.
 
3.3.   Licensee shall:

3.3.1.  Not disclose Licensor’s Commercial secrecy (know-how) and other confidential information provided by Licensor;
Therewith, provision of information to persons described in i.4.2. shall not be deemed a disclosure.
3.3.2.   Pay a fee to Licensor for the non-exclusive license within a term and under conditions provided by the Agreement.
3.3.3. Use Technology pursuant to current Agreement.
3.3.4.   Assist Licensor in detecting persons that illegally use Licensor’s deliverables of intellectual activity and means of individualization, namely, Business Booster trade mark (service mark) or Licensor’s trade name without legal grounds, or Business Booster Technology Commercial Secrecy, and take any actions required to suspend illegal use of Licensor’s trade mark by third parties.  

3.3.5. Licensee shall introduce Business Booster Technology in the order and within terms specified in each module of Technology.
Licensee’s representative shall personally visit all events aimed to transfer and adaptation of Technology, timely and fully implement all actions provided by the Program, timely and fully report on implementation of actions provided by the Program under a form determined by Licensor and posted in Personal account (and/or Platform) or sent to Licensee’s e-mail or provided otherwise.
Violation of these terms shall provide Licensor with a right to cancel warranties of successful Business Booster Introduction Technology to Licensee’s business within Agreement Validity Term.

3.4.   Licensee shall not be entitled to:
3.4.1.   Make sublicense transactions or other civil transactions, lease agreements, transfer agreements to agreements on disposal of a right to Commercial secrecy (know-how) granted to Licensee under the Agreements to the benefit of the third parties, except for agreements specified in i.3.2.2.
3.4.2.   Perform entrepreneurial activity aimed at provision of any kind of consultations to third parties using Commercial secrecy (know-how).

3.4.3. Get around technical restrictions of the Website, Platform and Personal Account.
3.4.4. Decompile and disassemble Website, Platform, Personal account, Materials and Intellectual property.
3.4.5. Copy Website, Platform, Materials and Intellectual property and copy external design.
3.4.6. Change Website, Platform, perform actions aimed at change of functioning and working capacity of Website, Platform.
3.4.7. Download video-materials posted at Platform and in Personal Account.
3.4.8. Without Licensor’s consent and within Agreement Validity Term make with third parties contracts on consultation services regarding company management issues.
3.4.9. Distribute information that is unreliable, defamatory or harmful to Licensor’s business reputation about Licensor and/or Business Booster Technology in any way, including, without limitation, via the Internet, social networks, any kind of newsletter.
3.5.   Parties shall:
3.5.1.   Observe all mutual obligations undertaken under the Agreement.


4.  ACCESS GRANTING


4.1. Access to Materials are granted via the Platform.   
4.2. A representative of the Licensee to get full access to the platform and transfer Technology:

4.3. Licensor shall send an e-mail to address specified in i.4.2, containing Platform authentication parameters.
4.4. Use of authentication parameters (login/password) by persons except those specified in i.4.2, shall be deemed a disclosure of confidential information.
4.5.Licensor’s obligations shall be deemed fully implemented when Client received the Technology aby all modules within the Agreement and in any case Technology shall be deemed fully transferred and accepted upon an expiry of 12 (twelve) calendar month after an access was submitted.
4.6. Date when ac access to materials of Technology was granted shall be date when ac access to the first module of Technology was granted (based on data on Platform).
4.7. Prior to granting an access Licensee shall provide the Jointbooster Application form for each representative and full and reliable answers to additional questions of Licensor (if any).
4.8. Licensor shall be entitled to limit Licensee’s access to Platform in the following cases:
(а) Licensee’s violation of payment terms determined by i.5 of the Agreement;
(б) Licensee’s violation of Technology use terms;
(в) Licensee’s violation of any terms of the Agreement.
4.9.   Access limitations set in i.4.5. of the Agreement shall not serve as a ground for change of license terms. 

 


5. LICENSE FEE, PAYMENT TERMS AND PAYMENT PROCEDURE


5.1. The amount of remuneration for granting a non-exclusive license is determined on the basis of the invoice issued after the approval of the application Form.
5.2. When payment is delayed (in case amount of Licensee fee was calculated with a discount) Licensee shall lose it right for a discount and shall pay a full Agreement price under terms specified in invoice issued.
Funds paid by the Client as of the moment when it has lost its discount shall not be returned and shall be carried forward to future payments.
5.3. The amount of remuneration is calculated based on the twelve-month period for the transfer of the license. If, for reasons that depend on the Licensee, the license transfer period exceeds 12 months, the Licensee may extend the program. Program renewal fee (more than 12 months) $800 for a full month.


6. CONFIDENTIALITY


6.1. Licensee shall agree that Technology and other Confidential information shall be Licensor’s property and a valuable asset due to the fact that such information is not publicly available. In this regard any violations of confidentiality regime may cause significant loss to Licensor and, therefore, shall reimburse such loss to Licensor.  
6.2.   Licensee shall guarantee confidentiality of documentation, information, knowledge and experience that form Commercial secrecy (know-how) received from Licensor.
6.3.Licensee shall guarantee that information and documents received from Licensor shall be viewed only by those Licensee’s employees that are directly involved to use of Business Booster Technology at Licensee’s enterprise and specified in i.4.2 of the Agreement.
6.4.   Should Licensee violate i. 3.3.1 of the Agreement Licensee shall pay Licensor a penalty in the amount of 15 000 (fifteen thousand) USD.
6.5. Should Licensee violate i. 3.4.1, 3.4.2 of the Agreement Licensee shall pay Licensor a penalty in the amount of 25 000 (twenty five thousand) USD.
6.6. Licensor shall take all necessary and sufficient legal, organizational and technical measures to protect confidential information and personal data of Licensee (Licensee’s representative). Therewith, by signing this Agreement Licensee give its consent to Licensor’s processing (collection, systematization, accumulation, storage, clarification (updates, changes), use, distribution (including transmission), depersonalization, blocking and destruction), including automated, of personal data of Licensee’s representatives specified in this Agreement, as well as personal data that is or will be additionally communicated within the Agreement validity term in a different manner in order to make and properly perform the Agreement or communicate informational data by Licensor to Licensee (representative of Licensee).
6.7. Within the Agreement Validity and five years afterwards each Party shall undertake not to disclose (without preliminary written consent of the other Party) any confidential information received from the disclosing Party.
Parties may make an agreement on observance of a confidentiality regime in the progress of the Agreement implementation.

 


7. WARRANTIES AND RESPONSIBILITIES


7.1. Licensor shall not provide software (including system software) for use of Website, Platform, Personal account and Service Package by the Client.  Such software shall be purchased and/or installed by the Client independently.
7.2. Licensor shall not be liable for actual use of management tool at Licensee’s enterprise, therewith, Licensor shall be fully liable for applicability of such tools. Licensee shall be liable for correct adaptation of Technology at its enterprise. Therewith, Licensor shall provide Licensee with all materials and action program required for successful adaptation.
7.3. .Licensor shall guarantee shall it has a legal right to provide Commercial secrecy (know-how) under the Agreement.  
7.4.   Non-performing Party shall reimburse the other Party all expenses incurred by such nonperformance of obligations under the Agreement.  
7.5.   Parties shall be excused for full or partial nonperformance of their obligations under the Agreement, should such non-performance be caused by force-majeure circumstances. Force-majeure circumstances shall be understood as circumstances that take place after the Agreement is signed, in result of emergency events, that could not be reasonably foreseen or prevented by Parties.
7.6.   In all other cases of non-performance Parties shall be held accountable pursuant to current legislation.



8.  RECOGNITION OF DOCUMENTS IN ELECTRONIC MEDIUM


8.1. Hereby Parties confirm that during implementation of the Agreement (execution, amendment, addition, termination) and in the course of correspondence regarding the abovementioned issues it is allowed to use analogues of signatures of the Parties. Hereby Parties confirm that all notifications, messages, agreements and documents related to implementation of the Agreement by Parties, signed by analogues of signatures of the Parties shall have a legal effect and shall be binding to Parties. Analogues of signatures of the Parties shall be understood as authorized e-mail addresses and login data to Personal account.
8.2.  Parties agree that all notification, messages, agreements, documents and letters sent through authorized e-mail addresses or personal account shall be deemed sent and signed by Parties, except when otherwise is stated in letters.
8.3.  Authorized e-mail addresses of the Parties shall be
8.3.1.  Licensor: support@bbooster.online
8.3.2.  Licensee: e-mail address specified in Application Form and/or Personal account.
8.4.  Parties shall ensure confidentiality of messages and information required for gaining an access to authorized e-mail addresses and Personal account, shall not disclose such information and shall not transfer such information too third parties. Parties shall independently determine access limitation regime in regard to such information.  
8.5.  Prior to receipt of information on violation of confidentiality regime sent by Licensee all actions and documents executed and made through Licensee’s authorized e-mail address or Personal account, even if such actions and documents were executed and made and sent to other persons shall be deemed executed and sent by Licensee.  In this case rights and obligations and responsibility shall accrue to Licensee.   
8.6. Prior to receipt of information on violation of confidentiality regime sent by Licensor all actions and documents executed and made through Licensee’s authorized e-mail address even if such actions and documents were executed and made and sent to other persons shall be deemed executed and sent by Licensor.
8.7. Licensor shall be entitled to assign rights, transfer debts (including a right to engage subcontractors) for all obligations that arise out of the Agreement. Hereby Licensee agrees to assign right and transfer debts to any third parties. Licensor shall inform Licensee on assigned right and/or transferred debt.

 


9. INTELLECTUAL PROPERTY


9.1. Non-exclusive right to all objects of Intellectual property, including Materials, Website, Platform and Personal Account, elements of design, texts, programs, etc, owned by Licensor and other third parties, rights to intellectual property for which are acquired by Licensor. Licensor shall guarantee that it has a legal rights to provide Commercial secrecy (know-how)
under the Agreement.
9.1.1. By using the Materials, Website, Platform, Personal Account and other Intellectual Property Licensee shall acknowledge and agree that content of Materials, Website, Platform, Personal Account and other Intellectual property is protected by copyright, trademark and other rights to intellectual deliverables, and that the rights specified are valid and protected in all forms, on all medium and in regard to all technologies both existing now and designed afterwards. Neither rights to any content of Materials, Website, Platform, Personal Account and other rights of Intellectual property shall transfer to Licensee or representative of Licensee when the Agreement is made.

9.2. Licensee’s representative specified in i.4.2. of the Agreement shall be entitled to use Materials and other objects of Intellectual property accessed under the Agreement by using Website, Platform and Personal Account and only within limits established by the Agreement.

9.3. Licensee (Licensee’s representative) shall not be entitled to use Materials and other objects of Intellectual property for any other purpose than defined by the Agreement, Licensee shall not be entitled as follows:

9.3.1.repproduce, distribute by sale or otherwise, publicly demonstrate, broadcast, communicate online, through cable, translation and/or otherwise, make publicly available or use in unauthorized manner any part of Materials and Intellectual property, except for those Materials and information that is marked by Licensor as Materials and Information that can be used by Licensee as a part of its business and use of Technology.

9.3.2. copy and/or distribute any parts of Technology, Materials and other Intellectual Property, including organization and holding or online and offline events similar to those held by Licensor to the extent of Services, organize and upgrade efficiency of the business based on Business Booster Technology.

9.3.3. copy or otherwise use software of Website or Platform.

9.4.When quoting Materials, Website or Platform and using parts of Intellectual property when it is directly permitted by Licensor Licensee shall include a link to Website and Business Booster.


 
  
10. WARRANTIES OF RESULTS AND REPAYMENT


10.1. Licensor shall guarantee that elements of Business Booster Technology are practical, applicable, and shall significantly upgrade efficiency of Licensee’s business. If after all elements of Business Booster Technology are received and Licensor has cooperated in adaptation of the Technology Licensee cannot adapt the Technology, Licensee shall be entitled to demand compensation of all monetary funds paid for Technology, provided that the following material terms are implemented:

10.1.1. After an access was granted one (1) calendar year has passed.
10.1.2. Licensee shall fully, bona fide and in a qualitative manner implement all instructions and recommendations of Licensor, its employees, engaged consultants and trainers, actively participate  in implementation of tasks and development of personal business, openly and regularly and fully report to Licensor information on results of Technology use, therewith, Licensees shall confirm implementation of all instructions and other tasks, recommendations provided by Licensor and other terms specified in item 10.1 of the Agreement, including, but not limited to, Licensee’s submission of the following information and documents to Licensor and implementation of the following terms:
a) Confirmation of the fact that Licensee has organized and held all meetings and discussions with its employees and/or contractors that are required by Technology, and such conformation shall include audio or video-recording of such meetings and discussions.
b)  Completed and accepted by the Contractor homework and action programs for all modules of the Technology;

10.1.3. Licensor has no reasons to terminate of suspend the Agreement.

10.1.4.Licensee has presented sufficient documentary evidence that by using Business Booster Technology and applying practical skills gained through Business Booster Technology
 Licensee could not develop and upgrade its enterprise.
10.1.5. Licensee has sent to Licensor a written notification signed personally at paper medium to postal address of Licensor stating all evidence and confirmations provided by item 10.1., in a way that allows to confirm Licensor’s receipt, within fourteen (14) calendar days upon expiry of a one (1)-year period after an access to Materials was granted. Should the specified term be violated or any ground/condition for repayment not be presented, or confirming documents and materials not be submitted, funds shall not be repaid.

10.2. Funds paid by Licensee, in case of the grounds named in i.10.1. or other grounds provided by the Agreement or current legislation. shall be repaid except for Licensor’s expenses, including bank changes, loss of profit, any other Licensor’s expenses spent on provision of payment by installment to Licensee, that in any case shall be at least 10 % (ten) of full price of the Agreement.

10.3. Repayment of funds to Licensee under any grounds shall be made within forty five (45) days after Licensor receives a justified demand of Licensee that complies with criteria for return of funds determined by the Agreement.

10.4. When the Licensee receives a demand on repayment of funds, Licensor shall be entitled to block an access to Platform, Personal Account, social network of Business Booster, including various groups, forums and pages with a limited access, for a period of inspection of reasons and grounds for repayment made due to Licensee’s demand.


 


11. AGREEMENT VALIDITY TERM AND TERMINATION PROCEDURE


11.1.  The Agreement was made for a period of time provided in i.2.6 of the Agreement.  
11.2.   Agreement Validity Term may be extended at mutual consent of the Parties.  
11.3.   Agreement may be preliminary terminated by Licensor ex-parte, should Licensee violate items 3.3.1 and 3.4 of the Agreement, therewith, Parties agreed that everything received by Licensor under the Agreement shall not be returned to Licensee, and Licensee in its turn shall suspend any use of Commercial secrecy (know-how) granted by the Agreement from the moment when Licensee receives notification on termination.
11.4.   Licensee shall be entitled to refuse the Agreement extrajudically and ex-parte, should Licensor not implement its obligations provided by i.3.1. of the Agreement.   
11.5.   Licensee shall be entitled to refuse the Agreement extrajudically and ex-parte anytime and without any explanations. In this case Licensee shall properly notify Licensor on its intention 30 days prior to planned date of termination.  All mutual obligations of the Parties terminate together with the Agreement, no penalties are provided on behalf of the Licensor, in its turn Licensee shall not be entitled to demand compensation of any loss, including return of remuneration paid by Licensee under the Agreement. Licensee shall cease use of Commercial secrecy and shall guarantee its confidentiality.


 
12. MISCELLANEOUS


12.1.   Issue not covered by the Agreement shall be controlled by current legislation.
12.2.Should any discrepancies arise between two version of the Agreement, version in Russian language shall prevail.  

12.3. Should any disputes take place between Licensor and Licensee that arise out of the Agreement Parties shall tale all measures in order to solve such disputes by negotiations.
12.4. Should it be impossible to solve such disputes by negotiations, disputes shall be solved at arbitration court at defendant’s location.

to License Agreement  

Conditions for successful adaptation of Business Booster Technology

 

Main objective of the Business Booster Technology is to increase management efficiency of company through introduction of management tools and marketing.

 

These Conditions are intended to be fully understood by Licensee and Licensor of the initial data for successful adaptation of the Business Booster Technology in the Licensee enterprise.

Initial data for adaptation are the parameters of enterprise/Main representative that represent that the project can be implemented successfully.

 

For the purposes of this Appendix words “client”, “owner” and “holder” are synonymous and correspond to a concept of the Main Representative in paragraph 1.8. of the Agreement.

Below initial data for adaptation is stated which shows that a client is able to fully master the Technology and get the product for which it paid. Licensees that do not have these initial data probably will not be able to fully implement the Technology to their business and will not receive the result desired.

 

1.Client shall have an authority to set goals

If it is a single owner of the company and there are no co-owners, it is required that he /she has an authority to make her/his orders be carried out by managers at all levels. If there are several co-owners in a company, then one of them must have authority over the others. Such person is a goal setter and determines development of a company.

It shall also be understood that a spouse of the company’s owner, although not being a co-owner from a legal point of view, nevertheless owns half of assets acquired in the marriage. Therefore, very often a spouse is actually a co-owner. Also there is a situation when family members are not co-owners legally, but in fact are co-owners. Therefore, spouse and family members must always be considered as co-owners in terms of whether he goal-setter has a control over them. Besides, sometimes a part of company’s profits is received by someone who is not formally a co-owner, but in fact is, namely, investors, key employees or someone else. In terms of implementing management tools, they all are co-owners. For example, in one of the projects we found out that part of the profit is received by a consultant psychologist who is friendly with the owner and provides him/her with psychological support. In the process of implementing the tools it turned out that this is not a support, but a serious influence, and until this influence was eliminated, it was impossible to implement the tools. Because we did not find it out timely, lots of effort were in vain, and the project was never completed.

One of apparent symptoms that the goal setter does not have an authority is explicit or hidden disagreements among co-owners. For example, there are two co-owners in a company, they have divided their responsibilities very accurately and they never interfere in each other’s affairs, they do not communicate and do not coordinate their actions, it may seem that everything is great, but actually there is no authority in this company, instead there is a “cold war”. It looks very social, but an attempt to introduce management tools in such company would lead to imbalance in this “cold war”, a situation will escalate and cause harm to a company.

Same example is a company where a husband is the goal-setter, but all financial issues are settled by a wife, not allowing a husband into this area. Formally, everything looks very acceptable, but when trying to implement a financial planning or somehow change a financial scheme disputes will arise that will cause problems to the Company. We do not provide Business Booster Technology to companies where official or hidden co-owners have disputes to people with authority. We work only with the goal-setters.

 

2. You have money to invest in company’s development  

This criterion shows the owner’s ability to fully pay for the Business Booster Technology. Source of funding can be not only income of a company where management tools are planned to be implemented. Usually an owner has an opportunity to finance the Technology from other sources. For example, funding may come from other businesses, personal reserves of an owner, through investors and otherwise.

When there are no alternative sources for financing, income which is too low or there is a possibility of its reduction creates a threat to introduction of the management tools. If during the program the income reduces, we will not be able to produce the product.

Clients like this come to us from time to time, they want to introduce the management tools to solve a problem with company's income. But introduction of the tools does not provide a quick solution to income problems. Management tools do help to increase the income, but only when the product is competitive and the market condition is acceptable.

Sufficient condition for use of the Technology is that the owner has enough funds for the development of a company. Development is understood as payment of the full cost of Technology, hire of personnel, promotion costs and other expenses necessary in the process of Technology adaptation that can be evaluated at the research stage.

 

3. Owner’s personal motivation to development

This factor is often decisive when the owner has to break through existing difficulties in order to succeed in implementation of the management tools.

The owner must clearly understand that all changes that Technology helps to introduce to a company, first of all is needed to the owner herself/himself. It is his/her willingness to act, desire to change things for the better and succeed must be demonstrated during the program. That means that a client is willing to hire and train staff, invest in promotion, timely implement recommendations on adaptation and do everything to break through the difficulties. The desire to act must be strong enough to make the owner really work and act without additional pressure.

Participant with low motivation will not break through this program, will not implement even the first module.

 

4. Computer competence

Business Booster Technology does not provide for a training in use of social networks, internet, browser and e-mail and messengers. Therewith, these skills are required to past the program. Participants of our program are people with sufficient computer competence.

 

5. Owner’s trainability

It is important that the owner will be trainable, meaning the he/she reds, does not object a training, agrees with specialists, values professionalism and/or sends its employees to undergo training programs. 

A perfect picture is when the owner is interested in management and understands that in this filed she/he does not have a sufficient competence and ready to receive information and work such information through. Previously she/he had an experience in applying something that she/he read or heard. Such person usually tries to practically and successfully apply recommendations of friends and experts.

 

6. Company’s owner and key employees are fluent in Technology provision language.

Business Booster Technology is provided in Russian language. Licensor shall be find out whether Licensee and its key employees understand material and language is not a burden in implementation of the management tools.

 

7. Communicability

Business Booster Technology does not include communication training for the owner, we cannot influence her/his communication skills, which are basic management tool. Without the ability to create mutual understanding the owner will not be able to smoothly implement management tools, risk of losing key employees in the process of adaptation of Technology is very large. When the business owner has an ability to create understanding with people it allows her/him to change the point of view of employees without suppressing them, meaning that they make rational arguments and insist on receiving rational arguments in return. In this case, the owner decides every problem with employees by communicating with them.

 

8. Ability to get owner’s orders done

This is another ability that is a basic management skill, namely, an ability to influence people, put pressure so that people would start working. Any leader shall be able to put pressure, but not any leader has this ability. This ability can be trained, but Business Booster Technology does not provide such training. Should the owner not have this ability, employees do not listen to the owner and can impede owner’s initiatives. We will not consider reasons for this, but it is important to note the should the owner not be able to get its orders dine, the owner will be stuck in the program and will not be able to fully and effectively implement the Technology that will lead to a non-receipt of the desired product.

 

9. There full-time employees in the business

In the business field the owner wants to systematize should be at least 3 administrative employees. One of them must be responsible for sales, second for finance and third for provision/production. Owner without any subordinate employees cannot implement practical recommendations.

 

NOTES:

1. Licensor shall not be liable for company’s financial indicators both during and after the program. Growth and reduction of financial performance is conditions by effort put by the owners within the program. However, statistics shows increase of financial indicators averagely for 30-500%.

1. Licensor shall not be liable for amount of time that owner of the business spends to operational activity. This depends from efficiency of delegating executive and managerial functions. However, statistics shows that following the program owner’s involvement in operational activity reduced for 4-5 hours.

 

By signing these Conditions Licensee shall accept and understand that lack of particular initial parameters (described above) may result in non-receipt of the desired product from use of Business Booster Technology.


Appendix no. 2

Module 0 “Bootcamp”.

BOOTCAMP is a preparatory module that consists of 4 parts:

0.1. How to organize work with orders

It will help you to organize work with orders in such a way that it will raise your profile and influence in company and increase executive discipline among your employees.

0.2. How to get acts together

Dedicated to restoration of your creative abilities. Creativity depends on amount of your free attention. Simple recommendations on how to free your attention and clear-out your affairs!

0.3. Responsibility of employees and your spare time

Directors have a habit that consumes their time and reduces responsibility of employees. It’s so called “Superman’s habit” to solve all problems in the company. When the owner worked alone, this habit made the company successfull. When subordinates appeared, this habit began to stop company’s growth.

You will get a tool that will change this situation. You will spend less time making important daily decisions, as you will begin to receive a prepared action plan from your subordinates instead of unsolved problems.

0.4. Agreement with co-owners

For those who have business partners or who plan to introduce partners to the business. It describes functions of the owner, laws of leadership, matter of agreement among the co-owners regarding who is in charge and what is the role of each owners. You will receive an effective master agreement for business co-founders, which you can amend as you need and sign with partners.

The main purpose of BOOTCAMP  - part of the Business Booster program that helps to:

- Determine whether the company and the owner can complete the Business Booster program.

- To put things in order and deal with overloads so that incomplete cycles do not distract from urgent tasks.

- Introduce a system for submitting requests from employees so that they bring ready-made results for solving problems, rather than delegate such problems to the director.

- Introduce the order control system - so that all orders will be executed and no projects and tasks will be abandoned.

- Understand the difference between functions of the owner and director.

- Understand task sharing between co-owners (or if there is a sole owner - to realize the functions).

- Sign an agreement that will control interaction between partners and determine the goal-setter (if there are co-owners).

What ideological foundations of business are, why we need them and what problems they solve. Aleksander Visotsky will dispel myths about company’s mission. You will create ideological foundations for your company, a foundation for your business to stand on.

1.4. Main business statistics.

You will determine main statistics of your business that you will trace throughout the program.

You will start to follow main company performance indicators and you will see how such indicators are affected by the tools.

1.5. Development of an organizational scheme

You will understand how organizational scheme works, what problems it solves, how it can be used in day-to-day activity. And, the most important, you will create an organizational scheme according to which structure in your company will be implemented.

1.6. Preparation to introduction of the organizational scheme

You will get a technology of arrangement of positions, how to combine functions correctly, how to determine why some employees are overloaded, while others are not fully loaded.

Module 2 Introduction of the organizational scheme

2.1. Preparation to delegation of key functions

That’s where you start to introduce main management tools. In order to do this, you shall develop regulations on use of the organizational scheme and conduct a introduction training on the organizational scheme, and also agree a plan for task sharing with all employees involved in this plan.

2.2. Delegation

This part of the Technology is made in such a way for you to transfer some of your responsibilities regarding operational functions to specific managers who will take responsibility for such functions. And if future heads of departments are overloaded with other tasks, then in order to take responsibility for the departments, they delegate part of the functions that no longer belong to their zone of responsibility.

You will learn how to describe delegated work so that employees can do it effectively  and without your participation. You will learn how to properly delegate work so that it is properly performed.

2.3. Hire and introduction to official duties

Technology of hire is especially required when there are no employees in the company’s team who are ready to take responsibility for one of key functions in the company. Then such employee should be found and introduced to his/her official duties. 

Moreover, this technology of hire will allow you to create or enhance company’s system of hire.

2.3.1. Hire

You will learn about narrow places in hire and danger of such places for owner. You will learn how to prepare for a hire. You will learn to properly work with candidates so that you hire actual professional and not a wannabe. You will learn how to establish a hire system so it would provide for high-class goal-oriented employees.

2.3.2. Technology of introduction to official duties and carrying out a trial-period.

You will understand special features of a trial period, namely, how to carry it out and how and when to end it. You will learn to plan and control production of the end product by each employee at the first days of his/her work.

Module 3

Management system

3.1. Introduction of system of statistics

This part of technology is dedicated to development of extended company’s statistics that represents actual situation in your company.

You will develop and implement statistics for all departments of your company and will organize maintenance of statistics by employees. You will get a statistic reference book and you will learn to instruct employees on how to properly maintain such reference books. You will always see the result of each employee’s performance and all performance indicators “in digits”.

3.2. Operative planning. Regular activity is when statistics grows constantly. Such growth is provided by plans containing proper actions. How to cause grows of statistics and actively influence company’s activity using such plans. How to develop a system of operating planning.

Each employee will start to determine a clear action plan that will result in implementation of his/her personal plan and achievement of company’s goals. Head will follow priorities of each employee and will get a chance to adjust these priorities. Plans of all employees shall be controlled, no task shall be kept in head. All employees and heads will begin to prepare plans on a weekly basis, approve such plans with their teams and report by presenting particular results of his/her work.

3.3. System of written communication. What is the system of written communication and what does it consist of. What problems exist in written communication that have already became regular for modern business. Why system of written communication should be introduced before the system of briefings and meetings, and what should be done for introduction of such system.

3.4. System of briefings and meetings (coordination council and management council)

System of briefings and meetings shall free your company from conflicts between sub-departments and will help to organize effective team interaction.

3.4.1. Coordination council

You will learn about what coordination is, what types of coordination are required and who is in charge of coordination, under which Regulation coordination councils are operated, what tasks coordination council solve and how much time such councils should take. What is the role played by coordination in company’s management. How not to waste time for needless talks and make a coordination efficient.

You establish a smooth interaction inside the company, all actions of employees in the department are approved and aimed at achievement of a final result.

3.4.2 Coordination of heads (management councils). You will get a technology of briefing holding in such a manner so as to guarantee the fulfillment of tasks. You will learn important principles for motivating heads at such briefings. Heads will begin to come to you with actual results in digits and offer ready-made solutions to problems that you will approve or send for revision.

You will also learn how to effectively conduct meetings and coordination online from any place in the world and will be able to control your company remotely.

3.5. Introduction of financial planning

3.5.1 Preparation for introduction of financial planning. Financial planning holds all your management tools together like glue. You can develop a financial management system in your company. The financial field will become solid and transparent.

3.5.2 Preparation of the financial department. You will learn: principle of the invoice split, procedure for the weekly approval of costs, creation of reserves.

4.1. Sales

After introduction of the main management tools we will upgrade company’s marketing and sales. Regardless of what level the Sales Department you have, you will receive information on how to upgrade efficiency of your Sales Department.

You will get a technology to increase conversions for sale. You will improve control over sales technology. You will get a detailed description of a perfect head of the Sales Department. 

You will learn how to control head of the Sales Department. If you do not have the Sales Department, we will provide you with an efficient technology on how to start it. You will learn how to hire salesmen efficiently.

4.2. Marketing

We will provide you with technology of efficient package. Should your product be packed properly, we will establish a step-by-step technology on how to package your product.

We will choose one product or main service and will get a described marketing package of your products, namely, main meanings and target audience.

You can transfer this marketing package to your contractors that will work with your product more efficiently.

Below initial data for adaptation is stated which shows that a client is able to fully master the Technology and get the product for which it paid. Licensees that do not have these initial data probably will not be able to fully implement the Technology to their business and will not receive the result desired.


1.Client shall have an authority to set goals

 

If it is a single owner of the company and there are no co-owners, it is required that he /she has an authority to make her/his orders be carried out by managers at all levels. If there are several co-owners in a company, then one of them must have authority over the others. Such person is a goal setter and determines development of a company.
It shall also be understood that a spouse of the company’s owner, although not being a co-owner from a legal point of view, nevertheless owns half of assets acquired in the marriage. Therefore, very often a spouse is actually a co-owner. Also there is a situation when family members are not co-owners legally, but in fact are co-owners. Therefore, spouse and family members must always be considered as co-owners in terms of whether he goal-setter has a control over them. Besides, sometimes a part of company’s profits is received by someone who is not formally a co-owner, but in fact is, namely, investors, key employees or someone else. In terms of implementing management tools, they all are co-owners. For example, in one of the projects we found out that part of the profit is received by a consultant psychologist who is friendly with the owner and provides him/her with psychological support. In the process of implementing the tools it turned out that this is not a support, but a serious influence, and until this influence was eliminated, it was impossible to implement the tools. Because we did not find it out timely, lots of effort were in vain, and the project was never completed.
One of apparent symptoms that the goal setter does not have an authority is explicit or hidden disagreements among co-owners. For example, there are two co-owners in a company, they have divided their responsibilities very accurately and they never interfere in each other’s affairs, they do not communicate and do not coordinate their actions, it may seem that everything is great, but actually there is no authority in this company, instead there is a “cold war”. It looks very social, but an attempt to introduce management tools in such company would lead to imbalance in this “cold war”, a situation will escalate and cause harm to a company.
Same example is a company where a husband is the goal-setter, but all financial issues are settled by a wife, not allowing a husband into this area. Formally, everything looks very acceptable, but when trying to implement a financial planning or somehow change a financial scheme disputes will arise that will cause problems to the Company. We do not provide Business Booster Technology to companies where official or hidden co-owners have disputes to people with authority. We work only with the goal-setters.
 
2. You have money to invest in company’s development  


This criterion shows the owner’s ability to fully pay for the Business Booster Technology. Source of funding can be not only income of a company where management tools are planned to be implemented. Usually an owner has an opportunity to finance the Technology from other sources. For example, funding may come from other businesses, personal reserves of an owner, through investors and otherwise.
When there are no alternative sources for financing, income which is too low or there is a possibility of its reduction creates a threat to introduction of the management tools. If during the program the income reduces, we will not be able to produce the product.
Clients like this come to us from time to time, they want to introduce the management tools to solve a problem with company's income. But introduction of the tools does not provide a quick solution to income problems. Management tools do help to increase the income, but only when the product is competitive and the market condition is acceptable.
Sufficient condition for use of the Technology is that the owner has enough funds for the development of a company. Development is understood as payment of the full cost of Technology, hire of personnel, promotion costs and other expenses necessary in the process of Technology adaptation that can be evaluated at the research stage.
 
3. Owner’s personal motivation to development


This factor is often decisive when the owner has to break through existing difficulties in order to succeed in implementation of the management tools.
The owner must clearly understand that all changes that Technology helps to introduce to a company, first of all is needed to the owner herself/himself. It is his/her willingness to act, desire to change things for the better and succeed must be demonstrated during the program. That means that a client is willing to hire and train staff, invest in promotion, timely implement recommendations on adaptation and do everything to break through the difficulties. The desire to act must be strong enough to make the owner really work and act without additional pressure.
Participant with low motivation will not break through this program, will not implement even the first module.
 

4. Computer competence

Business Booster Technology does not provide for a training in use of social networks, internet, browser and e-mail and messengers. Therewith, these skills are required to past the program. Participants of our program are people with sufficient computer competence.
 
5. Owner’s trainability


It is important that the owner will be trainable, meaning the he/she reds, does not object a training, agrees with specialists, values professionalism and/or sends its employees to undergo training programs. 
A perfect picture is when the owner is interested in management and understands that in this filed she/he does not have a sufficient competence and ready to receive information and work such information through. Previously she/he had an experience in applying something that she/he read or heard. Such person usually tries to practically and successfully apply recommendations of friends and experts.
 

6. Company’s owner and key employees are fluent in Technology provision language.


Business Booster Technology is provided in Russian language. Licensor shall be find out whether Licensee and its key employees understand material and language is not a burden in implementation of the management tools.
 
7. Communicability

Business Booster Technology does not include communication training for the owner, we cannot influence her/his communication skills, which are basic management tool. Without the ability to create mutual understanding the owner will not be able to smoothly implement management tools, risk of losing key employees in the process of adaptation of Technology is very large. When the business owner has an ability to create understanding with people it allows her/him to change the point of view of employees without suppressing them, meaning that they make rational arguments and insist on receiving rational arguments in return. In this case, the owner decides every problem with employees by communicating with them.
 

8. Ability to get owner’s orders done

This is another ability that is a basic management skill, namely, an ability to influence people, put pressure so that people would start working. Any leader shall be able to put pressure, but not any leader has this ability. This ability can be trained, but Business Booster Technology does not provide such training. Should the owner not have this ability, employees do not listen to the owner and can impede owner’s initiatives. We will not consider reasons for this, but it is important to note the should the owner not be able to get its orders dine, the owner will be stuck in the program and will not be able to fully and effectively implement the Technology that will lead to a non-receipt of the desired product.
 

9. There full-time employees in the business

In the business field the owner wants to systematize should be at least 3 administrative employees. One of them must be responsible for sales, second for finance and third for provision/production. Owner without any subordinate employees cannot implement practical recommendations.


 
NOTES:

1. Licensor shall not be liable for company’s financial indicators both during and after the program. Growth and reduction of financial performance is conditions by effort put by the owners within the program. However, statistics shows increase of financial indicators averagely for 30-500%.
1. Licensor shall not be liable for amount of time that owner of the business spends to operational activity. This depends from efficiency of delegating executive and managerial functions. However, statistics shows that following the program owner’s involvement in operational activity reduced for 4-5 hours.
 

By signing these Conditions Licensee shall accept and understand that lack of particular initial parameters (described above) may result in non-receipt of the desired product from use of Business Booster Technology.

Module 0 “Bootcamp”.


BOOTCAMP is a preparatory module that consists of 4 parts:



0.1. How to organize work with orders


It will help you to organize work with orders in such a way that it will raise your profile and influence in company and increase executive discipline among your employees.


0.2. How to get acts together


Dedicated to restoration of your creative abilities. Creativity depends on amount of your free attention. Simple recommendations on how to free your attention and clear-out your affairs!


0.3. Responsibility of employees and your spare time


Directors have a habit that consumes their time and reduces responsibility of employees. It’s so called “Superman’s habit” to solve all problems in the company. When the owner worked alone, this habit made the company successfull. When subordinates appeared, this habit began to stop company’s growth.

You will get a tool that will change this situation. You will spend less time making important daily decisions, as you will begin to receive a prepared action plan from your subordinates instead of unsolved problems.


0.4. Agreement with co-owners


For those who have business partners or who plan to introduce partners to the business. It describes functions of the owner, laws of leadership, matter of agreement among the co-owners regarding who is in charge and what is the role of each owners. You will receive an effective master agreement for business co-founders, which you can amend as you need and sign with partners.


The main purpose of BOOTCAMP  - part of the Business Booster program that helps to:

- Determine whether the company and the owner can complete the Business Booster program.

- To put things in order and deal with overloads so that incomplete cycles do not distract from urgent tasks.

- Introduce a system for submitting requests from employees so that they bring ready-made results for solving problems, rather than delegate such problems to the director.

- Introduce the order control system - so that all orders will be executed and no projects and tasks will be abandoned.

- Understand the difference between functions of the owner and director.

- Understand task sharing between co-owners (or if there is a sole owner - to realize the functions).

- Sign an agreement that will control interaction between partners and determine the goal-setter (if there are co-owners).

«Foundation of systematic business»


1.1 How to complete the Business Booster Program


It will help you to establish everything you need to successfully complete the program. 


1.2. Effective learning


You will get an effective training technology that will allow you to get maximal benefit from the program.


1.3. Business idea


What ideological foundations of business are, why we need them and what problems they solve. Aleksander Visotsky will dispel myths about company’s mission. You will create ideological foundations for your company, a foundation for your business to stand on.


1.4. Main business statistics.


You will determine main statistics of your business that you will trace throughout the program.


You will start to follow main company performance indicators and you will see how such indicators are affected by the tools.


1.5. Development of an organizational scheme


You will understand how organizational scheme works, what problems it solves, how it can be used in day-to-day activity. And, the most important, you will create an organizational scheme according to which structure in your company will be implemented.


1.6. Preparation to introduction of the organizational scheme


You will get a technology of arrangement of positions, how to combine functions correctly, how to determine why some employees are overloaded, while others are not fully loaded.


Module 2 

Introduction of the organizational scheme


2.1. Preparation to delegation of key functions


That’s where you start to introduce main management tools. In order to do this, you shall develop regulations on use of the organizational scheme and conduct a introduction training on the organizational scheme, and also agree a plan for task sharing with all employees involved in this plan.


2.2. Delegation


This part of the Technology is made in such a way for you to transfer some of your responsibilities regarding operational functions to specific managers who will take responsibility for such functions. And if future heads of departments are overloaded with other tasks, then in order to take responsibility for the departments, they delegate part of the functions that no longer belong to their zone of responsibility.

You will learn how to describe delegated work so that employees can do it effectively  and without your participation. You will learn how to properly delegate work so that it is properly performed.


2.3. Hire and introduction to official duties


Technology of hire is especially required when there are no employees in the company’s team who are ready to take responsibility for one of key functions in the company. Then such employee should be found and introduced to his/her official duties.


Moreover, this technology of hire will allow you to create or enhance company’s system of hire.

2.3.1. Hire


You will learn about narrow places in hire and danger of such places for owner. You will learn how to prepare for a hire. You will learn to properly work with candidates so that you hire actual professional and not a wannabe. You will learn how to establish a hire system so it would provide for high-class goal-oriented employees.


2.3.2. Technology of introduction to official duties and carrying out a trial-period.


You will understand special features of a trial period, namely, how to carry it out and how and when to end it. You will learn to plan and control production of the end product by each employee at the first days of his/her work.



Module 3
Management system

3.1. Introduction of system of statistics


This part of technology is dedicated to development of extended company’s statistics that represents actual situation in your company.


You will develop and implement statistics for all departments of your company and will organize maintenance of statistics by employees. You will get a statistic reference book and you will learn to instruct employees on how to properly maintain such reference books. You will always see the result of each employee’s performance and all performance indicators “in digits”.

3.2. Operative planning. Regular activity is when statistics grows constantly. Such growth is provided by plans containing proper actions. How to cause grows of statistics and actively influence company’s activity using such plans. How to develop a system of operating planning.


Each employee will start to determine a clear action plan that will result in implementation of his/her personal plan and achievement of company’s goals. Head will follow priorities of each employee and will get a chance to adjust these priorities. Plans of all employees shall be controlled, no task shall be kept in head. All employees and heads will begin to prepare plans on a weekly basis, approve such plans with their teams and report by presenting particular results of his/her work.


3.3. System of written communication. What is the system of written communication and what does it consist of. What problems exist in written communication that have already became regular for modern business. Why system of written communication should be introduced before the system of briefings and meetings, and what should be done for introduction of such system.


3.4. System of briefings and meetings (coordination council and management council)


System of briefings and meetings shall free your company from conflicts between sub-departments and will help to organize effective team interaction.


3.4.1. Coordination council
You will learn about what coordination is, what types of coordination are required and who is in charge of coordination, under which Regulation coordination councils are operated, what tasks coordination council solve and how much time such councils should take. What is the role played by coordination in company’s management. How not to waste time for needless talks and make a coordination efficient.


You establish a smooth interaction inside the company, all actions of employees in the department are approved and aimed at achievement of a final result.


3.4.2 Coordination of heads (management councils). You will get a technology of briefing holding in such a manner so as to guarantee the fulfillment of tasks. You will learn important principles for motivating heads at such briefings. Heads will begin to come to you with actual results in digits and offer ready-made solutions to problems that you will approve or send for revision.

You will also learn how to effectively conduct meetings and coordination online from any place in the world and will be able to control your company remotely.


3.5. Introduction of financial planning


3.5.1 Preparation for introduction of financial planning. Financial planning holds all your management tools together like glue. You can develop a financial management system in your company. The financial field will become solid and transparent.

3.5.2 Preparation of the financial department. You will learn: principle of the invoice split, procedure for the weekly approval of costs, creation of reserves.

After introduction of the main management tools we will upgrade company’s marketing and sales. Regardless of what level the Sales Department you have, you will receive information on how to upgrade efficiency of your Sales Department.
You will get a technology to increase conversions for sale. You will improve control over sales technology. You will get a detailed description of a perfect head of the Sales Department. 
You will learn how to control head of the Sales Department. If you do not have the Sales Department, we will provide you with an efficient technology on how to start it. You will learn how to hire salesmen efficiently.

4.2. Marketing


We will provide you with technology of efficient package. Should your product be packed properly, we will establish a step-by-step technology on how to package your product.
We will choose one product or main service and will get a described marketing package of your products, namely, main meanings and target audience.
